HomeMy WebLinkAboutReso 2007-1060 RESOLUTION NO, 2007- \ 6(.,0 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING AN AGREEMENT WITH STREETER'S CATERING FOR CATERING SERVICE FOR THE CITY'S TENTH ANNIVERSARY CELEBRATION ON SATURDAY, JUNE 16,2007, IN THE AMOUNT NOT TO EXCEED FORTY-EIGHT THOUSAND DOLLARS ($48,000,00), ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach desires to celebrate the City's IOlh anniversary with an event at two (2) locations with an estimated attendance of 4,000 people on Saturday, June 16,2007; and WHEREAS, the 10lh Anniversary Committee selected a menu, reviewed proposals, and sampled the work of several vendors, and Streeter's Catering offered the best value for the specified menu, and the food was considered to be of high quality by the Committee; and WHEREAS, four (4) separate proposals for the required services were made, and Streeter's Catering is the lowest responsible, responsive bidder, submitting a proposal in the amount of Forty-Eight Thousand Dollars ($48,000.00); and WHEREAS, the City wishes to enter into an Agreement with Streeter's Catering, in the amount not to exceed $48,000.00, attached hereto as Exhibit "A", for catering services at the City's 10"1 anniversary celebration on Saturday, June 16,2007. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of Agreement. The City Commission hereby approves the agreement with Streeter's Catering for catering services on Saturday, June 16,2007, in the amount not to exeeed Forty-Eight Thousand Dollars ($48,000.00). Section 2. Authorization of Mavor. The Mayor IS hereby authorized to execute said Agreement. Section 3. Authorization of Citv Manager. The City Manager is hereby authorized to do all things necessary to effectuate the terms of this resolution. Section 4. Effective Date. This Resolution shall become effective upon adoption. CITY OF SUNNY ISLES BEACH CATERING SERVICE AGREEMENT WITH STREETER'S CATERING CONTRACT NO, C0607-036 THIS AGREEMENT ("Agreement") entered into this I S~ay of M~rc..h 2007, by and between the CITY OF SUNNY ISLES BEACH (hereinafter referred to as "City"), a municipal corporation of the State of Florida, and STREETER'S CATERING authorized to do business in the State of Florida (hereinafter referred to as "Contractor") whose Federal Employer Identification # is RECITALS WHEREAS, the City is in need of a contractor to provide catering services for the City's 10'" Anniversary Celebration for an estimated 4,000 people on Saturday, June 16,2007, ("Services); and WHEREAS, City has secured four (4) separate proposals for the requircd Services, and Contractor is the lowest responsible responsive bidder; and WHEREAS, Contractor has expressed the ability and desire to provide these Services subject to the terms and conditions contained in its proposal as more fully described in Attachment "A", which is attached hereto and made a part hereof; and WHEREAS, the City desires to enter into an Agreement with Contractor to provide the Services. NOW THEREFORE, in consideration of the premIses and the mutual covenants herein named, the parties agree as follows: TERMS 1. RECIT ALS: The recitals set forth above are hereby incorporated into this Agreement and made a part hereof. 2. SERVICES: Contractor agrees to furnish all labor and materials in a good workmanlike and professional manner and to perform the Services designated in Attachment "A" attached hereto, and incorporated herein by reference. The Services shall be performed by Contractor to the full satisfaction of the City. Contractor agrees to immediately inform the City via telephone and in writing of any problems that could cause damage to the City's property, improvements and persons. In the event that the Contractor fails to complete the Services pursuant to the terms of this contract and City must undertake the completion of performance of Services, Contractor agrees to indemnify the City for all costs incurred with respect to Ihe completion of those Services and any damages the City may suffer as a result of the Contractor's failure to perform the Services. 3. COMPENSATION: Contractor shall be compensated a tolal fee not to cxceed Forty Eight Thousand Dollars ($48,000.00), inclusive of an optional Eighteen Percent (18%) gratuity, as the total estimated cost to provide catering services for approximately 4,000 people. Fifty Percent (50%) of the catering total without the optional gratuity, in the amount of Nineteen Thousand and Seven Hundred Dollars ($19,700.00), is due to the Contractor upon execution of this Agreement and the balance is due within ten (10) days after the event. All charges under this Agreement shall be in accordance with this Agreement and a schedule of charges as reflected in Attachment "A". The Contractor shall make no other charges to the City for supplies, labor, licenses, permits, overhead or any other expenses or costs unless any such expense or cost is incurrcd by Contractor with the prior written approval of the City. If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. 4. A V AILABILITY OF FUNDS: The City's performance and obligation to pay under this Agreement is contingent upon an annual appropriation for its purpose by the City Commission. 5. UNDISCLOSED CONDITIONS: In the event that undisclosed conditions are discovered during the performance of this Agreement, the City shall have the right to cancel this Agreement upon thirty (30) days written notice to contractor. Upon termination, the City may re-bid the project if the contractor fails to perform under this Agreement due to the undisclosed conditions. 6. INSURANCE: Contractor shall, at its sole cost and expense, during the period of any work being performed under this Agreement, procure and maintain the following minimum insurance coverage to protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents, sub-Contractors or employees, as indicated below: o Comprehensive General liability insurance, including broad form contractual liability coverage for all operations, including, but not limited to, contractual, products, and completed operations, personal injury and property damage liability with minimum limits of One Million Dollars ($1,000,000) per occurrence and Two Million Dollars ($2,000,000) aggregate. o Worker's Compensation, as required by law, but with no less than $1,000,000 for Employer's Liability. o Business Automobile Liability which shall include coverage for all owned, non-owned and hired vehicles for minimum limits of not less than One Million Dollars C0607-036 Streeter's Catering Service Agreement 2 SIB, Ci(V of SIIIIII)' Isle" Beaell 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax ($1,000,000) per oeeurrence, One Million Dollars ($1,000,000) per aecident for bodily injury and Five Hundred Thousand Dollars ($500,000) per accident for property damage. o Umbrella/Exeess Liability coverage in addition to the foregoing limits that when combined with the foregoing limits provide total coverage of at least Five Million Dollars ($5,000,000). Insurance required of the Contractor shall be primary to, and not contribute with, any insurance or self- insurance maintained by the City. Such insurance shall not diminish Contractor's indemnification and obligations hereundcr. The insurance policy(ies) shall be issued by companies authorized to do business under the laws of the State of Florida and acceptable to the City wilh a minimum Best rating of A-Excellent. Before any worle under this Agreement is performed, and at any time upon request, Contractor shall furnish to the City certificates of insurance evidencing the minimum required coverage and shall be appropriately endorsed fot. contractual liability, with the City named as additional insured. All policies shall contain a waiver of subrogation endorsement. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City's Risk Management Dcparlment. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) days prior written notice to the City. The City reserves the right from time to time to change the insurance coverage and limits of liability required to be maintained by Contractor hereunder. Contractor shall also require and ensure that each of its sub-Contractors providing services hereunder (if any) procures and maintains, until the completion of the services, insurance of the types and to the limits specified herein. ANY EXCEPTIONS TO THE INSURANCE REQUIREMI~NTS IN THIS SECTION MUST BE APPROVED IN WRITING BY THE CITY. 7. OWNERSHIP OF DOCUMENTS:The parties agree that all documentation and work product produced pursuant to this Agreement shall become the exclusive property of the City and shall be provided to the City upon request. 8. INDEPENDENT CONTRACTOR RELATIONSHIP: It is understood and agreed that nothing contained in this Agreement shall be deemed to create a partnership, joint venture, other association, or an employer/employee relationship between the Contractor and the City. Contractor shall be in the relation of an independent contractor and is to have entire charge, control and supervision of the work to be performed hereunder. COMPLIANCE WITH LAW: Contractor shall comply with all laws, regulations and ordinances of any federal, state, or local governmental authority having jurisdiction with respect to this Agreement ("Applicable Laws") and shall obtain and maintain any and all material permits, licenses, approvals and consents necessary for the lawful conduct of the activities contemplated under this Agreement. Specifically, Contractors shall comply with all applicable conflict of interest provisions as provided in state statutes, Miami-Dade County Code and the Code of the City of Sunny Isles Beach (Section 62-16 entitled "Ethics in Public Contracting." As provided in Section 62-16, Code of the City of Sunny Isles Beach, the City Commission may terminate this Contract for violation of the above-referenced ethical standards. 10. WAIVER OF LlABlLlTY/INDEMNITY:The City shall not in any way be answerable or accountable for any violations of applicable laws or for any injury, loss or damage arising from the negligence or omission of Contractor or anyone of its employees, contractors or agents. Contractor hereby agrees to indemnify, defend and hold harmless the City from and against any claim, loss, damage, liability, cost or expense, including attorneys' fees, whether or not due to or caused in whole or in part by City or its employees, arising out of (i) the performance or breach by the Contractor of its obligations under this Agreement, (ii) any personal or bodily injury, including death, to any person and destruction of property resulting from the performance or breach by Contractor. Contractors indemnify obligation shall extend up to but shall not exceed the higher limits of that insurance. Contractor hereby irrevocably waives any right and agrees not to file any mechanic's or materialman's lien against City property. II. ASSIGNMENT: This Agreement shall be binding upon and shall inure to the benefit of the City and to any and all of its successors and assigns, whether by merger, consolidation, transfer of substantially all assets or any similar transaction. Notwithstanding the foregoing, this Agreement is pcrsonal to the Contractor and it may not, either directly or indircctly, assign its rights or delegate its obligations to City hereunder without first obtaining the City's consent in writing. Any such attempted assignment or delegation shall be deemed of no legal force and effect whatsoever. 12, TERM: Subject to the provisions relating to the termination of this Agreement as set forth hereunder, the term of this Agreement shall begin upon the execution of this Agreement and shall end Monday, June 18,2007. If a rain date is scheduled and Contractor is required to deliver Services on the rain day, termination of this Agreement shall end on the Monday following the rain date. The term of this Agreement may be extended for an additional term at the option of the City. Payment will be made only for work completed to the satisfaction of the City. Contractor is to commence performance of work on the Commencement Date and continue in a diligent manner until work is complete. Contractor acknowledges that compliance with the commencement and completion schedule is the essence of this Agreement. The terms of Sections 9 and 10 entitled "Compliance with Law" and "Waiver of Liability/lndemnity," respectively, shall survive termination of this Agreement. TERMINATION: The City shall have the right to cancel this Agreemenl, at any time during the term hereof, upon thirty (30) days notice to the Contractor. 14. NOTICES: All notices and other communications required or permitted to be given under this Agreement by either party to the other shall be in writing and shall be sent (except as otherwise provided herein) (i) by certified or registered mail, first class postage prepaid, return receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized courier service, or (iii) by facsimile with confirmation receipt (with a copy simultaneously sent by certified or registered mail, first class postage prepaid, return receipt requested or by overnight delivery by traditionally recognized courier service), addressed to such party as follows: If to the City: A. GOVERNING LAW: The validity of this Agreement and the interpretation and performance of all of its terms shall be construed and enforced in accordance with the laws of the State of Florida, without regard to principles of conflict of laws thereof. The location of any legal action or proceeding commenced under or pursuant to this Agreement shall be in Miami-Dade County, Florida. 16. CONFIDENTIAL INFORMATION: The Contractor shall not, either during the term of this Agreement or any time for a period of TEN (10) years subsequent to that date upon which the Contractor shall leave the employment of the City for any reason whatsoever, disclose to any person or entity, other than in the discharge of the duties of the Contractor under this Agrccment, any information which the City designates in writing as "confidential." REMEDIES FOR BREACH: Should Contractor fail to perform, City shall notify Contractor in writing of such failure to perform and Contractor shall have ten (10) days of receiving such notice to cure such failure. If Contractor is unable to cure such failure to perform, then City shall receive a refund from the Contractor in an amount equal to the actual cost of a third party to cure such failure. The City may sue for damages in circuit court. If Contractor fails, refuses or is unable to perform any term of this Agreement, City shall pay for services rendered as of the date of tennination. 18. ATTORNEY'S FEES: If this matter is placed in the hands of an attorney for collection, or in the event suit or action is instituted to enforce any of the terms or conditions of this agreement, the losing party shall pay to the prevailing party, in such suit or action in both trial court and appellate court, together with reasonable attorney's fees for the anticipated cost of collection and judgment enforcement. 19. MISCELLANEOUS: A. In the event any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable provisions had been severed and deleted. B. This Agreement may be executed in multiple identical counterparts, each of which shall be deemed an original for all purposes. C. This Agreement shall constitute the entire agreement between the parties with respect to the subject matter hereof, and it shall supersede all previous and contemporaneous oral and written negotiations, commitments, agreements and understanding relating hereto. D. Any modification of this Agreement shall be effective only if in writing and signed by the parties to this Agreement. E. No waiver of any provision of this Agreement shall be valid or enforceable unless such waiver is in writing and signcd by the party granting such waiver. 20. CONFLICTING PROVISIONS: The terms and conditions in this Agreement supersede any other conflicting provisions that are contained in any other document. Susan Simpson, Glltural and Human Services Dir~ March 15, 2007 APPROVAL OF AGREEMENT WIlli STREETER'S CATERING FOR CATERING SERVICE FOR 1HE OTY'S TENTI-IANNIVERSARYEVENT RECOMMENDATION It is recommended that the Gty Commission adopt the attached Resolution to approve an agreement with Streeter's Catering to provide catering service, on Saturday, June 16, 2007 for the Oty's Tenth Anniversary celebration in the amount not to exceed Forty Eight Thousand Dollars ($48,000.00) . REASONS Gty Commission wishes to celebrate the Gty's tenth anniversary with an event at two locations with an estimated attendance of 4,000 people. Streeter's Catering has submitted a proposal for catering service for 4,000 people as attached. The Tenth Anniversary Committee selected a menu, reviewed proposals, and sampled the work of several vendors. Streeter's offered the best value for the specified menu and the food was considered to be of high quality by the Committee. This vendor has extensive experience in providing catering service to large groups of people. Referrals confirmed that their service was more than satisfactory. The lowest bidder, mentioned above, was not considered as they did not have experience in serving large crowds, which was reflected in their proposed number of service staff.
