HomeMy WebLinkAboutReso 2007-1102 RESOLUTION NO. 2007---L.l.1J..b A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, ("CITY") APPROVING A SETTLEMENT AGREEMENT BETWEEN THE CITY AND MARINA BAY CLUB ASSOCIATION, L TD, ("MARINA BAY"), TO SETTLE ALL DISPUTES RELATING TO FIVE PERCENT (5%) OCCUPANCY RESTRICTION RULE FOR THE MARINA BAY CONDOMINIUM-HOTEL FOR A TOTAL LUMP SUM OF TWO HUNDRED AND TWENTY FIVE THOUSAND DOLLARS, ($225,000.00) AND A COMMITMENT TO COMPLY WITH THE CITY'S OCCUPANCY RESTRICTION RULE, SUBJECT TO CERTAIN CONDITIONS; AUTHORIZING THE CITY ATTORNEY AND THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF THIS AGREEMENT; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the zoning history of the Marina Bay Condominium-Hotel reflects that the development project was approved for 100 residential units with one of the units being designated on the site plan as the Manager's apartment; and WHEREAS, the City of Sunny Isles Beach issued two (2) warning notices to Marina Bay Condominium Association requesting compliance with the five percent (5%) occupancy restriction rule imposed on apartment-hotels; and WHEREAS, Marina Bay has made an offer to the City to settle all disputes relating to occupancy restriction for the 100 units for a total lump sum of Two Hundred Thousand Dollars, ($200,000.00) and has proffered a commitment to comply with the City's occupancy restriction rule; and WHEREAS, Marina Bay further agrees to donate to the non-profit school committee a voluntary contribution of $25,000.00 for school purposes; and WHEREAS, the City has agreed to accept the settlement offer of $200,000.00, and the $25,000.00 voluntary contribution subject to celiain terms and conditions. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section I. Approval of Agreement. The City Commission hereby approves the Settlement Agreement between the City of Sunny Isles Beach and Marina Bay Club Association, Ltd. attached hereto as Exhibit "A", with the condition that Marina Bay tender $200,000.00 to the City for use with the Arts-In-Public place projects and tender $25,000.00 to the non-profit school committee for school purposes. The funds shall be provided to the City no more than ten (10) days from date of approval of this Resolution. Section 2. Authorization of the City Attorney and the City Manager. The City Attorney and the City Manager are hereby authorized to do all things necessary to effectuate the intent of this Rcsolution. Effective Date. ("Marina Bay") and the CITY OF SUNNY ISLES BEACH, FLORIDA (the "City"). WHEREAS, the zoning history of the Marina Bay Condominium-Hotel reflects that the development project was approved for 100 residential units with one of the units being designated on the site plan as the Manager's apartment; and WHEREAS, the City of Sunny Isles Beach issued two (2) warning notices to Marina Bay Condominium Association requesting compliance with the five percent (5%) occupancy restriction rule imposed on apartment-hotels; and WHEREAS, Marina Bay has made an offer to the City to settle all disputes relating to occupancy restriction for the 100 units for a total lump sum of Two Hundred Thousand Dollars, ($200,000.00) and has proffered a commitment to comply with the City's occupancy restriction rule; and WHEREAS, Marina Bay furthcr agrees to donate to the non-profit school committee a voluntary contribution of $25,000.00 for school purposes; and WHEREAS, the City has agreed to accept the settlement offer of $200,000.00, and the $25,000.00 voluntary contribution subject to certain terms and conditions. NOW, THEREFORE, THE PARTIES HEREBY AGREE: 1. Marina Bay shall tender to the City a total lump sum of $200,000.00 to be used for Arts-In-Public place projects. Marina Bay shall also tender $25,000.00 to the non- profit school committee to be used for school purposes. These funds shall be received by the City no later than ten (IO) days from the date of approval of this Settlement Agreement by the City Commission. 2. Marina Bay agrees to indemnify, defend and hold harmless the City, its elected officers, and officials from any and against any claim, loss, damage, liability, cost or expense, including attorneys' fees arising out the sale of the Manager's apartment, more specifically Unit 304 owned by Mr. and Mrs. Nobre. 3. Marina Bay agrees to comply with all requirements set forth in Resolution No.98-Z-20, adopted on September 17, 1998, and Resolution No. 98-Z-25, adopted on November 12, 1998. Notwithstanding, the City will consistently enforce its code in the event that Marina Bay fails to comply with the terms of this settlement. 4. This Agreement shall be effective upon execution by all of the parties thereto. (7) Modification. Amendment. Release. (8) EJ;lforcemellt. Enforcement shall be by action against any parties or person violating, or attempting to violate, any covenants, the prevailing party in any action or suit, pertaining to or arising out of this Declaration, shall be entitled to recover, in addition to costs and disbursements allowed by law, such sum as the Court may adjudge to be reasonable for the services ofhis attorney. This enforcement provision shall be in addition to any other remedies available at law or in equity or both. (9) Authorization for Denartment ofBuildin~ and Zoninl!to Withhold Permits and Inspections. In the event payments or improvements are not made in accordance with the terms of this Declaration, in addition to any other remedies available, the City of S\UIDY Isles Beach Department of Building and Zoning is hereby authorized to withhold any further permits, and refuse to make any inspections or grant any approvals, until such time as this Declaration is complied with, (10) Election 01 Remedies. All rights, remedies and privileges granted herein shall be deemed to be cumulative and the exercise of anyone or more shall neither be deemed to constitute an election of remedies, nor shall it preclude the party exercising the same from exercising such other additional rights, remedies or privileges. (11) PresumDtlon ofCompUance. Where consln1ction has occurred on the Property or any portion thereof, pursuant to a lawful permit issued by the City of Sunny Isles Beach, and inspections made and approval of occupancy given by the City, then such construction, inspection and approval shall create a rebuttable presumption that the buildings or structures thus constructed comply with the intent and spirit of this Declaration. (12) Severability. Invalidation of anyone of these covenants, by judgment or Conn, in no way shall affect any of tbe other provisions which shall remain in full force iIIld effect. (13) ll.eeordin~. REASONS: The purpose of the attached settlement is resolved all disputes involving code violations committed by Marina Bay Condominium-Hotel ("Madna Bay") with respect to the occupancy restriction imposed on apartment-hotels. Zoning History By Resolution No. 98-2-20, adopted on September 17, 1998, and Resolution No. 98-2-26, adopted on November 12, 1998 (collectively the "Resolution"), the City Commission approved the Marina Bay project as an apartment-hotel. A copy of the Resolution is attached hereto. The zoning history reflects that Marina Bay was approved for one hundred (100) residential units with one of the units being designated as the Manager's apartment on the site plan. A copy of the pertinent section of the site plan is attached. At the time of the original approval, the developer as a matter of right could have sought approval for 103 units for the Marina Bay project. As you know, apartment-hotels are permitted to have greater density than a condominium under the City Code because apartment-hotels are transient uses which have less, or no long term capital impact on the City's infrastructure. Under the County Code, as amended by the City, apartment-hotels like Marina Bay are subject to an occupancy restriction which provides that no more than five percent (5%) of the overall apartment-hotel units shall be occupied by the same owner more than six (6) months within a twelve (12) month period. As such, in the Marina Bay Agenda Item Date City Commission May 9, 2007 Page 2 project, 95 of the units are subject to the 6 months occupancy restriction and 5 of the units are not subject to the restriction. In other words, the Marina Bay project consists of 95 transient apartment-hotel units and 5 condominium units. The Manager's apartment is included in the 95 transient apartment-hotel units because there is nothing in the approval Resolution or an unrecorded Declaration of Restrictions which restricts the use of the unit for office use. In fact, the Resolution or Declaration of Restrictions does not reflect a commercial unit being approved as part of the project. . The zoning history also reflects confusion about the number of units approved for the project. The Declaration of Condominium indicates the project consists of 100 units. A copy of the Declaration is attached. The site plan indicates ] 00 units with one of the units designated as Manager's apartment. The impact fees documents indicate 100 units. The developer of Marina Bay claims that they have paid impact fees and other fees for 100 units. Copies of the impact fees documents are attached. The building permit fee application indicates 100 units. The application is attached. Documents from DERM indicate 102 units and 99 units. A copy of the pertinent documents is attached. Overall, the 100 units seems to be a consistent number in most of the documents. Code Enforcement History Upon investigation, the City had determined that Marina Bay had violated the City Code by exceeding the 5% occupancy rule and failing to comply with the City's reporting requirements relating to the rule. On February 7, 2006, the City initiated enforcement action against Marina Bay with the issuance of two warning notices for failing to comply with requirements of the 5% rule. The warning notices are attached. Upon further investigation, the City had determined that the Manager's apartment had been sold to a husband and wife ("buyers") in 2003. The buyers purchased the unit in good faith with no notice or actual knowledge that the unit was designated as a transient apartment for the Manager. A copy of the letter from the buyers' attorney is attached, The City had initially demanded that the apartment be converted to office use. The buyers' attorney objected because his clients had purchased the unit through the proper legal channels. The buyer's attorney further stated that he intended to bring legal action against all the parties to remedy problems experienced by his clients in the purchasing the unit. The City did not issue a code violation for the sale of the unit because the sale of the unit was not prohibited by the Resolution, the Declaration of Restrictions or any other document. Settlement Offer At this time, Marina Bay has come into compliance with the 5% occupancy rule. To settle all disputes relating to the occupancy restriction and the sale of the Manager's apartment, the developer of Marina Bay agrees to donate $225,000.00 to the City for public purposes. Twenty Five Thousand ($25,000.00) will go to the non-profit school committee, which is organized to raise funds for the new school. A copy of the offer letter is attached. The funds will be provided within ten (10) days of the approval of the settlement agreement by the City Commission. City Commission May 9, 2007 Page 3 I celiainly recommend acceptance of this settlement offer because the critical documents do not contain a prohibition against the sale of the unit as a residential condominium, The documents also do not preclude the unit from being used as a residential condominium. Thus, it will probably be difficult for the City to require the buyers to vacate the unit when the buyer had no notice as to the unit being designated as the Manager's apartment. More importantly, the settlement will probably eliminate any legal claim that the buyers may have against the City. There is a strong likelihood that the City would be named as a party if the buyers had to sue the developer. Furthermore, under the settlement offer, the developer has agreed to hold harmless the City and its officials for all legal claims that may arise out of the sale of the Manager's unit. Additional Information This settlement is consistent with the Land Development Regulations and the Comprehensive Plan. There is no increase in density since the unit in question was approved as a residential unit. The Resolution, the Declaration of Restrictions, and the site plan do not indicate that a commercial unit was approved in the project. For information purposes, the developer asserts that that all impact fees, ad valorem taxes, and other fees have been paid for 100 units. / Attachments
