A RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF SUNNY ISLES BEACH, FLORIDA, APPROVING AN
AGREEMENT FOR CHARITABLE GIFT BETWEEN THE
CITY OF SUNNY ISLES BEACH AND RAANAN KATZ IN
THE AMOUNT OF $525,000.00 AND NAMING THE
GYMNASIUM LOCATED AT THE PELICAN COMMUNITY
PARK THE "RAANAN AND PHYLLIS KATZ SPORTS
CENTER" IN ACCORDANCE WITH EXHIBIT "A"
ATTACHED HERETO; DIRECTING THE CITY MANAGER
OR DESIGNEE TO COMPLY WITH THE TERMS AND
CONDITIONS OF THE A TT ACHED EXHIBIT "A";
PROVIDING THE CITY MANAGER AND CITY ATTORNEY
WITH THE AUTHORITY TO DO ALL THINGS NECESSARY
TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, the City of Sunny Isles Beach, Florida (the '"City") received a philanthropic
offer from Raanan Katz to name the gymnasium located at the Pelican Community Park, 18115
North Bay Road, the "Raanan and Phyllis Katz Sports Center"; and
WHEREAS, Raanan Katz and the City have agreed to enter into a Revised Letter
Agreement for Gymnasium Naming Rights, wherein Raanan Katz will pay the sum of
$525,000.00 (Five Hundred and Twenty Five Thousand Dollars) to the City over a seven year
period, with yearly payments of$75,000.00 (Seventy Five Thollsand Dollars); and
WHEREAS, the specific terms and conditions of the Revised Letter Agreement are
outlined in the attached Exhibit "A".
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Directive to the City Manager. The City Commission hereby directs the City
Manager or designee to comply with the terms and conditions of the Revised Letter Agreement,
attached hereto as Exhibit "A", and to schedule a dedication ceremony at a convenient time.
Section 2. Authorization of City Manager and City Attorney. The City Manager and the
City Attorney are hereby authorized to do all things necessary to effectuate the terms of this
Resolution.
Section 3.
Effective Date. This Resolution will become effective upon adoption.

As a follow-up to our conversation, this letter is written to confirm your philanthropic offer to
name the gymnasium located at the Pelican Community Park the "Raanan and Phyllis Katz
Sports Center".
In consideration of the mutual understanding between the parties, the City is willing to provide
you with the naming rights to the gymnasium if you agree to pay the sum of $525,000.00 to the
City over a seven year period. The agreed payment schedule is as follows: (1) $150,000.00
upfront payment for the first two years and (2) $75,000.00 for each one of the remaining five
years, for a total combined payment of $525,000.00.
The Payments must be made on an annual basis no later than September 30 of each year. Failure
to provide the annual payment wi II cause the termination of the naming rights. At the end of the
seventh year, YOll will have the option to continue the naming rights by providing payment of
$75,000.00 per year for any additional years. Finally, the City agrees to have your trademark RK
logo placed near the designated area for the name.
Please note that the naming rights are personal and not assignable to anyone or any entity. If the
offer discussed herein is acceptable to you, please execute below and fax an executed copy of
this letter to me.

RE: Gymnasium Naming Rights
Dear Norman and John:
I am in receipt of your letter to me dated May 15, 2008 regarding the
uRaanan and Phyllis Katz Sports Center" naming rights. As you know, I
have always supported the City of Sunny Isles Beach and plan to
continue to do so.
I have reviewed the proposal in your letter and I would like to clarify
same. I plan to commit and pay to the City of Sunny Isles Beach
$75,000 per year in exchange for the naming rights of this facility. I
intend to make an upfront payment in the amount of $150,000, which
will cover the' first two years of the agreement.
I fully understand that if I do not make the $75,000 annual payment, then
the City has the right to remove my name from the facility.
My charitable gift is based upon my strong business relationship with the
City of Sunny Isles Beach.
