RESOLUTION NO. 2010- ~ A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING THE SELECTION OF PREFERRED GOVERNMENT INSURANCE TRUST (PGIT) AS THE CITY'S PROVIDER FOR PROPERTY, CASUALTY, AUTO, AND WORKERS' COMPENSATION INSURANCE FOR A ONE-YEAR PERIOD, IN THE AMOUNT OF FIVE HUNDRED TWENTY-ONE THOUSAND FIFTEEN DOLLARS ($521,015.00), AS OUTLINED IN EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO ENTER INTO AGREEMENTS WITH THE PROVIDER, PROVIDED SAID AGREEMENTS ARE APPROVED AS TO FORM AND LEGAL SUFFICIENCY BY THE CITY ATTORNEY; FURTHER AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach is in need of Property, Casualty, Auto, and Workers' Compensation Insurance; and WHEREAS, staff sought proposals from qualified firms on behalf of the City to provide for the same level of benefits with a national provider; and WHEREAS, the City's Insurance Broker, Brown & Brown Insurance, Inc. has provided a proposal by Preferred Governmental Insurance Trust (PGIT), with the renewal premium for the Commercial Package Policy (Property, Casualty, Auto) in the amount of Four Hundred Twenty- One Thousand One Hundred Seven Dollars ($421,107.00), and the premium for Workers' Compensation in the amount of Ninety-Nine Thousand Nine Hundred Eight Dollars ($99,908.00), for a total amount of Five Hundred Twenty-One Thousand Fifteen Dollars ($521,015.00), for a one-year period of October 1,2010 through September 30, 2011, as outlined in Exhibit "A", attached hereto; and WHEREAS, the City of Sunny Isles Beach wishes to select Preferred Government Insurance Trust (PGIT) as the City's provider for Property, Casualty, Auto, and Workers' Compensation Insurance, being the most competitive proposal. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of City Commission. The City Commission hereby approves the selection of Preferred Government Insurance Trust (PGIT) as the City's provider for Property, Casualty, Auto, and Workers' Compensation Insurance through the City's Insurance Broker, Brown & Brown Insurance, Inc., for a one-year period of October 1,2010 through September 30, 2011, in the total amount of Five Hundred Twenty-One Thousand Fifteen Dollars ($521,015.00), as outlined in Exhibit "A", attached hereto. The City's excellent claim experience and long term relationship with my office and PGIT has continued to justify reduced insurance costs. This year we have been able to negotiate a 15% reduction in the Package Policy (Property, Liability & Automobile) and combined with last year's premium savings of20%, the City has received a 35% Package Policy premium reduction in the past two years, with increased insurance coverages. We have also included in this years proposal, what we believe is a very competitive Workers' Compensation plan, which allows us to place all of the City's major insurance coverages with PGIT. It is important to note some of the unique benefits of the PGIT program. Our property insurance program does not include a potential coinsurance penalty condition, and in fact, we now provide a "blanket" form of property insurance which is the most beneficial and safest form of insuring properties. In addition, the PGIT program includes a 5% "Named" Storm deductible with an occurrence minimum of $20,000. Therefore, any "Unnamed" windstorms would have the standard $5,000 deductible. Finally, the PGIT Public Officials Liability coverage now includes a $100,000 benefit for Non-Monetary Damages for Ethics, Government-in-the Sunshine and Recall Petition expenses. The advantage of this form is that the insurance company must prove that a loss is specifically excluded in order to deny coverage under the policy. REPLACEMENT COST VALUATION This Joss valuation method pays for the cost to repair or replace damaged items with like kind and quality without deduction for depreciation. This is important since you could face a substantial loss if you must replace property at today's prices but receive only the depreciated value of the property that was destroyed. ACTUAL CASH VALUE VALUATION This valuation method pays for the cost to repair or replace damaged property with like kind and quality, less reasonable deductions for wear and tear, deterioration and economic obsolescence. BUSINESS INCOME This coverage is used to insure against loss of income (including any continuing normal operating expenses) that you experience because of a suspension of your business and/or interruption of rental income when insured property has been damaged by a covered peril. EXTRA EXPENSE COVERAGE This coverage pays for the necessary additional expenses needed to continue business when a covered loss damages or destroys insured property. ( COINSURANCE Your policy contains a coinsurance clause requiring that the limit of coverage be a minimum percentage of the actual insurable value of your property or actual annual business income. If the amount of insurance carried is less than what is required by this clause, any claim payment may be reduced by the same percentage as the deficiency. PEDUCTIBLE A policy may include a deductible in its provisions. This limit specifies the amount that will be deducted from any payment made to you because of a covered loss. SERVICE INTERRUPTION COVERAGE This coverage extends your business income and extra expense insurance to protect against loss when due to the interruption of services rendered to you by a specified utility that provides your business with water, power or communications. Loss due to overhead transmission lines is excluded. DEMOLITION, ORDINANCE, AND INCREASED COST OF CONSTRUCTION This endorsement provides coverage for the costs and effects due to certain building laws. Coverage A applies when laws require that undamaged portions of a building be torn down because the building does not comply with current laws and has sustained more than a certain percentage of insured damage. Coverage B applies to the costs for demolition of the undamaged portion of the building covered under Coverage A. Coverage C covers the increased cost of construction required to bring a damaged building up to current code. MECHANICAL & ELECTRICAL BREAKPOWN COVERAGE Boiler & Machinery insurance covers direct damage to .covered property" when caused by sudden and accidental BREAKDOWN and includes as a covered peril Electrical Arcing. COVERAGE PROVIDED ( Employee Dishonesty - Blanket Basis This coverage is used to insure against loss of money, securities or other property belonging to you, or for which you are liable, that is caused by employee dishonesty. It pays for anyone loss caused by one or more employees up to the face amount stated on the form. Only the actual loss sustained in the policy period is included for coverage (progressive or continuous loss over multiple years outside the policy period is excluded) Forgery or Alteration This coverage is used to insure against loss resulting from forgery of checks, drafts, notes or other similar written promises prepared by you or your agent. It does not cover dishonest acts of employees, which must be insured by Employee Dishonesty coverage. Theft, Disappearance and Destruction This coverage is used to insure against loss of money and securities caused by theft, disappearance or destruction while located inside or outside your premises. It also covers damage to premises resulting from actual or attempted theft. It insures only money and securities and not other types of property. Computer Fraud This insurance will cover loss or damage to money, securities, and other property due to computer fraud. Exclusions include, but are not limited to the following: War, Mold, Fungus, Bacteria, Silica, Lead, Pollution, Asbestos, Copyright or Patent Infringement and Nuclear Liability. 10 SPECIAL NOTE REGARDING ADDITIONAL INSUREDS General Liability coverage provided to a named insured (you) by an insurer could be modified to extend to other parties. These other parties are commonly referred to as additional insureds. Modifications (endorsements) to the named insured's policy could be used to provide similar benefits enjoyed by the named insured to the additional insured. Because of changes to these endorsements, the additional insured may no longer enjoy the same benefits. Under these new endorsements, liability that is based on the sole negligence of the additional insured may no longer be covered. The State of Florida's Office of Insurance Regulation approved changes to these policy endorsements effective July 1, 2004. The absence of insurance coverage and the agreement to contractual terms may not free you of the responsibility to pay on behalf of the additional insured liability arising out of their sole negligence. Florida law allows you to assume liability on behalf of another party by way of a contractual agreement. In fact, the law allows you to assume the liability for suits that may be the result of the sole negligence of the other party in the contract. In other words, contractually you would be accepting and paying for claims that may arise from situations that are not even your fault. While we are not necessarily aware of the individual contracts you may have entered into, we feel it is our duty to notify you that there is a possibility you could have a claim that is not covered by insurance. Our recommendation to you would be to have your contracts reviewed by your attorney to determine if you have assumed such liability and what your legal options are. ( II GENERAL LIABILITY COVERAGE DEFINITIONS FOR A FULL DESCRIPTION OF TERMS, DEFINITIONS AND CONDITIONS PLEASE REFER TO THE POLICY DOCUMENT OCCURRENCE FORM (except Employee Benefits Liability) This form provides coverage for claims arising out of an accident, which results in bodily injury or property damage neither expected nor intended. The form covers such claims that occur during the policy period irrespective of when the claim is made against you. PREMISES/OPERATIONS COVERAGE This coverage insures you against all claims arising from your ownership, maintenance or use of premises and your operations in progress. PRODUCTS/COMPLETED OPERATIONS COVERAGE This coverage is used to insure against claims arising out of bodily injury and property damage that results from products you have sold, manufactured, handled, distributed or disposed of, or for work you have performed, provided the accident occurs away from premises you own or rent. PERSONAL INJURY LIABILITY This coverage will protect you against claims alleging false arrest, libel, slander, malicious prosecution, or wrongful entry or eviction. ( ADVERTISING LIABILITY This coverage is used to insure against claims of libel, slander, product disparagement, piracy, or infringement of copyrights, arising out of the advertising of your goods, products or services. FIRE LEGAL LIABILITY This coverage insures against your legal liability arising from damage to structures rented to you, for the peril of fire. MEDICAL PAYMENTS This coverage will reimburse, without regard to your liability, all reasonable medical expenses incurred by persons as a result of bodily injury sustained by accident as defined in your policy. CLAIMS-MADE FORM - APPLICABLE TO EMPLOYEE BENEFITS LIABILITY, LAW ENFORCEMENT LIABILITY, PUBLIC OFFICIALS LIABILITY, EMPLOYMENT RELATED PRACTICES LIABILITY This coverage will provide protection for only those claims reported or first made during the policy period or during any previous period that is stated in the Prior Acts or Retroactive Date option of your policy. This option allows you to keep coverage in force under consecutive Claims-Made policies. REASONS: The City needs various insurance coverages to protect it from liabilities, catastrophes, and other issues that may arise. DATE: September 7, 2010 RE: Response to Concerns Raised by Siver Insurance Consultants As you know, both Preferred Governmental Insurance Trust ("PGIT") and Florida Municipal Insurance Trust ("FMIT") quoted property, inland marine, crime general liability, public officials, employment practices liability, law enforcement liability, automobile liability & physical damage and workers' compensation coverage with mostly comparable limits and deductibles. Our independent insurance consultant, Siver Insurance Consultants ("Siver.), has reviewed the package proposals from PGIT and FMIT and they have advised that PGIT has offered the best overall combination of cost and coverage. Nevertheless, Siver has noted the most significant proposal differences as follows: Property Limits - It appears that PGIT based their proposals on a property schedule with total insurable values of $26,480,840. FMIT's property schedule totals $27,420,600, a difference of $1,019,760. $600,000 of that difference is due to the fact that FMIT includes Computer Equipment as contents and PGIT insures that equipment in their Inland Marine coverage section. The other $419,760 of the difference appears to be a location that is included on the FMIT schedule but not on the PGIT schedule. That additional location is a Retail Building at 287 Sunny Isles Blvd. If that location is, in fact, an additional unscheduled location, we recommend it be added to the PGIT schedule. RESPONSE: PGIT was correct not to list 287 Sunny Isles Blvd. This property was removed on 3/11/2010 from the schedule. FMIT quoted based on the original declaration pages. However please note that the FMIT's premium for coverage on this location is $4,808.00 and thus does not create a significant change to the quote when compared to PGIT's quote. Propertv Blanket vs. Scheduled Coveraae - It appears that PGIT has quoted their property coverage on a "Blanket" basis which is preferable to the "Specific' coverage proposed by FMIT. However, PGIT's proposal is somewhat contradictory as it indicates that building and contents limit is "per attached schedule - Blanket." We assume that means that while the overall limit is a true "Blanket" limit, coverage applies only at scheduled locations; however, we suggest that it be confirmed that PGIT will provide Blanket coverage, if that is the program you select. As you may already know, Blanket coverage provides one limit (often the total insurable value of all locations) for any covered loss, regardless of whether one or all locations are involved in the loss and regardless of what values are actually reported (scheduled) for the damaged locations on the statement of values. "Specific. coverage, also known as "Scheduled" coverage is limited to just the amounts and locations reported on the Statement of Values and indicated on the schedule which becomes a part of the policy. Blanket is preferable because it is not unusual to find that property values, thought to be appropriate when reported on the statement of values, are actually outdated and possibly insufficient after the loss. We do not know when the City last had an appraisal of their property values, so we do not know how current the City's reported property values may be. Siver Concerns Response Memo Priscilla Walker September 7, 2010 Page 2 RESPONSE: Agent Bob Hollander has confirmed that PGIT's coverage is truly "blanket coverage". The property schedule is strictly provided for the City's convenience. Also, Bob has advised that PGIT conducted an appraisal of the property values of all locations with valuation in excess of $100,000. Property Deductible - Both PGIT and FMIT have quoted a $5,000 per occurrence property deductible for other than Wind. The programs differ substantially, however, in the way they respond to a wind loss resulting from a non-named storm. PGITs deductible applicable to wind is $5,000 except as respects Named Windstorms which is 5% per occurrence, subject to a minimum of $20,000. FMITs wind deductible of 5% per occurrence applies to all .Windstorm and Hail" at locations within Y2 mile of the coast, subject to a minimum of $25,000 per occurrence. Based on these proposals, wind damage caused by a non-named storm at the community center (which appears to be located within Y2 mile of the coast and is valued at $3,200,000 for Building and Contents), would be subject to a $5,000 deductible in the PGIT program, but a 5% deductible of $160,000 in the FMIT program. On the other hand, a named storm at a location greater than Y2 mile from the coast would be subject to just a $5,000 deductible in the FMIT program, but 5% of the property value by PGIT. We assume, because the City is a beach community, very little, if any, of the City's property is located further than Y2 mile of the Atlantic. Based on that assumption, it appears PGIT is offering the best wind coverage option. As neither proposal indicates how their percentage deductible will be applied, we recommend that the method of determining the deductible be confirmed with the chosen proposer. We assume the percentage applies to the total insurable value at damaged locations, but we have seen instances where the percentage deductible applied otherwise. RESPONSE: The PGIT deductible is 5% for "Named Storms" not withstanding the distance to the Atlantic. The FMIT deductibles are 5% for "Named Storms" for property outside of Y2 mile of the Atlantic and 5% for "ANY" windstorm for properties within Y2 mile of the Atlantic. Liabilitv Coverage Limits - PGIT has proposed continuation of the current $3,000,000 policy limits for Public Officials and Employment Practices Liability with a $5,000 deductible but has also proposed optional higher limits of $5,000,000 with a $2,500 deductible. FMIT has quoted a single limit of $5,000,000 per claim for Public Officials and Employment Practices Liability with a $2,500 deductible. PGIT's coverage for Public Officials, Employment Practices Liability, Employee Benefit Liability and Law Enforcement Liability is provided on a "claims made" basis. FMIT's Employee Benefit Liability coverage is claims made, but Public Officials, Employment Practices Liability and Law Enforcement Liability would be on Occurrence forms. Although FMIT has quoted three years prior acts coverage which is intended to help close the gap between the claims made and occurrence coverages, it is not clear whether that costly additional coverage option includes prior Law Enforcement acts and we suggest that the inclusion of that coverage be clarified if you are considering the FMIT program. However, even with the three years prior acts coverage offered by FMIT, we have reservations about moving the coverage unless there is an overwhelming reason to do so. Any time coverage is changed from a claims-made to an occurrence policy or even from one claims-made policy to another claims-made policy, there is a potential risk of creating a coverage gap from future claims that arise from circumstances which occurred prior to the change, but were not known and therefore not reported on the old policy. Overall Price - PGIT proposed a renewal premium of $518,901 and FMIT quoted a base premium of $559,721, before any additional premium for the optional FMIT prior acts coverage, a difference of $40,820. The proposed FMIT prior acts coverage ($29,410), which we would highly recommend if that program was selected, raises FMIT's premium to $589,131, making the difference even greater at $70,230. Priscilla Walker September 7, 2010 Page 3 The cost to increase PGIT's coverage limits for Public Officials and Employment Practices Liability from $3,000,000 to $5,000,000 and lower the deductible from $5,000 to $2,500 per event would be $2,114 if the City decides to make that change. We are not familiar with the City's loss history but if the City experiences just one Public Officials and Employment Practices claim a year, greater than $5,000, the change would pay for itself. /yl
