Mandatory Pre-RFP Submittal Conference Summary Minutes
Friday, October 15,2010 at 10:00 a.m.
RFP No. 10-10-01, DesignlBuild an Upscale Lifestyle Center Consisting of a Park,
Parking Garage, and an Aquarium and High End Retail Shops
City Manager Rick Conner welcomed everyone, and noted staff present: City Attorney Hans Ottinot,
Assistant City Manager Jorge Vera, Assistant City Attorney Fernando Amuchastegui, City Clerk Jane
A. Hines, Cultural and Human Services Director Susan Simpson, and Administrative Coordinator
Francesca Pellot. Also present were Consultant Jack Luft, and from Cal vin Giordano and Associates,
Joel Wadsworth and Chris Giordano. City Manager Conner noted that this was a mandatory meeting
and that everyone must be sure to sign in, and to drop off a business card at the end of the meeting.
The deadline for submission of Request for Proposals documents is Monday, November 8, 2010, at
12:00 p.m., at which time those sealed responses will be publicly opened. Any additional
questions are required to be in writing and may be submitted up to seven (7) days before the opening
(at the close of business, Friday, October 29,2010), which will be answered and placed on Demand
Star. You may email them to City Manager Rick Conner, at rconner@sibfl.net, or fax them to 305-

City Manager Conner gave an overview of the project noting that it is temporarily being called
Gateway Park. This project is to construct an lifestyle facility on the property bounded by the
eastbound and westbound lanes of Sunny Isles Boulevard from Collins A venue on the east end to the
Public Storage Building on the west end. Currently there are strip centers there, and we are winding
down the leases on those properties that the City owns and we will soon take over control of them.
The concept here is to give us a proposal that shows you constructing for the City approximately a
350-space parking garage on the western portion of this property. The eastern portion will be leased
on a 99-year lease to the proposer and the proposer will be responsible for the construction of a
lifestyle center, meeting our general requirements. We will lease the land in which we have a $10
Million investment and we want to recoup that money with a lease valued at somewhere around
$320,000 a year. The Parking Garage will be multi-leveled, and we intend to put about 19,000 to
20,000 square feet of retail space on the southern side running east to west. We will decide how we
want to finalize that part of the process as we get into the negotiations, we may operate it, we may hire
a general manager to operate it, or we may sell it as condo space for retail development. There will be
retail space required in the lifestyle center on the eastern side, which is defined in the RFP as well.
This will be the proposer's opportunity to develop that as they see fit within the developed standards.

QUESTIONS AND COMMENTS FROM PROSPECTIVE BIDDERS
1. You mentioned the parking garage and the lifestyle center, one of the marking features there
being an Aquarium, is that a requirement of this project?
Not a specific requirement, we certainly are looking very positively at that type of
lifestyle center. We are about to reconstruct the Newport Fishing Pier which is directly
east of this development. Weare a beach community, that is one of our great assets, and
we are looking for something that compliments that lifestyle here in the community. So
an Aquarium will be very positively looked at. If you have an alternate proposal, we are
certainly willing to look at it.
2. Will there be a weighted score assessed or will it be subjective?
Ultimately everything is subjective, but we will try to look at it objectively as to what
provides the City the greatest benefit, what provides the citizens the greatest recreational
value, what element best enhances the City's image, those are the kind of things we are
going to be looking at. This proposal request is purposely general to get the best
opportunity for the City and so that in turn gives you a lot of creative opportunities.
3. The 30,000 square feet of retail space referred to in the RFP as the part of the retail
component, what are you counting as part ofthe retail space? Is the Aquarium proposed to be
part of the retail space, would the meeting areas be part of the retail space, how do you define
retail?
We are looking at additional unique retail space that could be something like a gift shop
or restaurants that relates to the facility, but we are not necessarily going to be thinking
of the facility itself as retail space. The concept is that we want to enhance that Town
Center image and not just one facility, but unique facilities that give some diversity to
the people coming to the area.
4. On the bid bond requirement, the 5% or no less than $3.5 Million, the 5% is the total project
bond, what is the City's estimate of the total project cost?
The numbers that we have been looking at are somewhere around $10 Million for the
parking structure in the Park as the cost of construction, and anywhere from $25 Million
to $45 Million for the lifestyle facility.
5. On the security itself, would a Letter of Credit qualify you, you don't list it in the RFP, you say
Cashier's Check, Bond, etc., will an LC basically be acceptable?
We have no objection, so yes.
6. On pages 12 and 13, you have key personnel, and you get pretty detailed on how low to go. At
this preliminary stage of putting together a response for an RFP, it is highly unlikely that
anyone is going to be able to identify the fire inspector, etc. How far realistically, at this stage
of the process, is it for people to list key personnel?
We don't want you to say you will build something and work out the details later. The
idea of kind of burrowing down and giving that kind of information was to show that
you have a plan. So, to the best of your ability, you are all facing the same situation, try
to show us as much information as you can. If you can't, then just express that.

7. On the environmental status of the property, I know that there has been some audits done and
available, and assuming turning the property over in an environmentally clean condition, the
City being responsible for delivering an environmentally clean site?
Yes, that is the approach you should take. If that is ultimately found not to be the case,
we will work that out separately. A Phase I has been completed. So far nothing has
jumped out at us.
8. It says in the RFP that the developer will be responsible for the County's Impact Fees. Will
the developer be responsible for City Impact Fees, or As-Built Fees?
No fees will be required to be paid to the City for City permits, HOWEVER all
procedures will be required to be followed and all permits must be obtained.
9. Would Site Plan Review be required, or will this be considered a municipal building in its
entirety not needing to be built for a public hearing?
This has to go for Site Plan Approval.
10. And that's available?
Yes.
11. What criteria are you looking for on green, how green does this project have to be?
It will enhance your proposal if you indicate genuine green enhancements. Having been
involved in it for many years, LEEDS is not necessarily what we are looking for.
Sometimes those are genuine enhancements, sometimes it is paperwork. We are looking
for a sustainable, environmentally friendly facility, and that should be the criteria, not
meeting somebody's paper standards.
12. In the proposal itself, it is calling for a 350-space parking facility, and at the beginning of this
meeting, you said approximately 350. How hard and fast is that 350 number?
If it comes out to 349 that wouldn't be any reason to negatively review your proposal, if
it comes out to 200, we wouldn't consider your proposal.
13. Has the City ever received a proposal to develop the land?
We are here today to get the best product for the City that we can.
14. Is there an offer on the table already, has one been made to the City?
No, not to me.
15. Will there be a short list process, and how many proposals will be short listed?
Yes, and how long the short list will be depends on what we get. We are guessing that
there is not a long list of proposers on something like this. It is fairly unique. But that is
the concept, we will go through the short list, and go into much more detail with each of
the members on the short list, and then figure out the best overall package at the end of
the process. We want to go into a partnership with the proposer, and together create an
end product that is good for everyone. Calvin Giordano has been selected as the
Consultant to help us review the proposals. There are going to be a lot of technical
issues that are fairly complex, and so they are the guys who will help walk us through
that process with their team of experts. Jack Luft will also be helping us and will be
looking at the usage aspects of how this enhances our community and helps the residents

residents and citizens benefit. We have a great team put together, and we are going to go
through this very seriously.
16. If I understand correctly, the City will give us a clean site environmentally?
Yes, at the moment let's do it this way. Assume that you are all working on a clean site,
if that turns out not to be the case, then we will come back and work with you as team
members.
17. Do you want to have it in a PDF format as well, and is there a proposed operator for the
facility?
No, please don't submit the PDF format, just a hard copy bound with a clip. We don't
go for the fluff, don't spend a lot of time on eloquent pros, get to the point. What are
you offering, how are you going to offer it, what is the plan, what are the numbers, cut to
the chase. Usually we don't want the colored pictures, but in this case because it is an
idea that you are also bringing to us, something that we need to be able to perceive, so if
you have pretty pictures, include them. But focus on the issues, focus on the project, give
us the bottom line so we would have the sense of what we would be doing, and the more
specific you can be the better. Do simple Xerox pages, no binder, nothing special, we
have to save all of these documents for five years, and we have to store them, and we do a
lot of projects. If you send us a fancy thick notebook, it will probably go to the bottom of
the pile because it shows you cannot follow directions. We prefer simple Xeroxed paper,
and a springy clip, and it can be stored easily. Please, no binders.
18. Is there a time period?
The lease is for 99 years, and so you are responsible to figure out how you want to
accommodate that process. Your proposal could offer us an alternative. Understand
that the information that we gave out is a pretty good guideline. We know what we want
out of this, the Commission has thought about it, they have talked about it, and this is
the kind of concept that they want to follow through on. But if you come up with a
better idea, they are the first people who will say that is a better idea, let's look at that.
If you have something better, or you have an alternative, we are willing to look at it but
if it deviates a lot from the proposed parameters and doesn't seem to benefit the City any
more than the proposed parameters, we are probably not going to give it a lot of
attention. If it deviates a lot but is a whole lot better project, we will probably be pretty
interested.
19. From the financing plan, are we going to assume that the City will pay from its own funds for
the Park, and the Parking Garage?
Yes. The City will pay the successful proposer for the cost of the Parking Garage and
the Park it sits on, and the shell retail space in the parking facility . We are going to look
at those prices very carefully, what we don't want is that to get lost in the big package
and we end up paying an unbalanced share for the Garage and the Park. We will pay
for those portions, and we will also be looking at the lease every four or five years for
possible lease rate adjustments, increasing or decreasing as appropriate, basing it on
objective parameters, but we are looking at that starting number somewhere around
$320,000.

20. On Land Use, are the proposers to assume that the City will not want the variances or would
variances be possible?
None of us can speak for the Commission and what they would ultimately approve, but if
it is a creative idea that truly benefitted the City, they would probably be very willing to
think about alternatives.
21. Will the minutes and sign-in sheets be published?
Yes, they will be posted on www.demandstar.comlf you are not familiar with it, you
don't have to pay to get this information, though you think so when you sign on to
retrieve it. Keep trying because you don't have to pay.
22. You are saying that the City will pay for the Parking Garage, the Park, and the Retail?
Yes, but just the retail in the Parking Garage, not the retail in the Lifestyle Center.
23. And so the Aquarium part, the proposer has to get our own finances for that?
Correct, everything on the leased property would be the responsibility of the proposer.
24. Have there been thoughts on the infrastructure going into the garage?
It is our intent that the successful proposer will give us a construction contract and that
will include all utilities. If you break out the utilities, we will look at that separately
because that is a cost any proposer would incur.
25. I was referring to the financing in regards to the utilities, or technical infrastructure that
specifically goes to parking garage, or the elements that the City has funded.
For the City's portion, we pay for the utilities. That is part of our construction process.
26. Have there been any thought as to the access to and from the site?
Absolutely. We will work with you and FDOT to ensure that any access. that
compliments the proposed layout is granted. We do have several approved driveway
cuts already, obviously from the existing facilities, and so we see no reason that those
driveway cuts would not be continued. It could be a surprise if the proposer comes in
and says that they can design it exactly to match the existing openings, but that is our
first, best approach. I am guessing you are going to want to do something differently.
We feel within reason that we can work with FDOT and get approval that compliments
the design, and we don't see that as solely your responsibility. Now, if you have a major
entrance and exit 20-feet back from the end of the radius or PT on Collins, no, we are
not going to try to fight for that for you, but anything else that is reasonable, we will
work with you.
Everyone also needs to fill out a registration form, which was passed around. Only one
proposer per firm needs to fill it out. To clarify, if there are any subs here, we are
dealing with only one entity. Answers to these questions, as well as the sign-in sheet, will
be posted on www.demandstar.com. If you have any follow-up questions please do them
