SBLM Architects is pleased to submit our qualifications in response to the above-
referenced request. We believe we offer a uniquely suited team for this contract, one that
is well acquainted with the City of Sunny Isles Beach's goals, values, and culture.
As the architect for the Sunny Isles Beach Community School, we benefited from the
synergistic and close-knit relationship the local government and resident stakeholders
shared. Major projects like this school are the result of a collaborative process, made
possible through active community boards and organizations. We worked in concert with
this process taking into account not only the school board plan and project parameters,
but also the voice of parents, teachers, and neighbors. SBLM is a strong advocate of the
"everyone wins" approach where all parties contribute to the success of the project. The
Sunny Isles Beach Community School represents the beginning of a partnership with the
City that we are committed to developing.
In addition to our familiarity with the City, the proposed team brings a depth of experience
and technical expertise that is well suited for the various needs of the City's general
architectural contract. Our team has a combined 65 years of architectural experience and
offers a diverse set of skills and capabilities. Each team member has worked with a range
of private and public sector clients and is well equipped to handle a variety of project
types. Over the past two years the team has collaborated on several government agency
contracts including projects for the Miami-Dade County General Services Administration,
Miami-Dade County Public Schools, and Miami-Dade College.

About SBLM
We Approach Architecture from a Different Perspective
SBLM Architects PC is a nationally recognized firm
passionate about realizing our clients' goals through
responsive architecture. With over thirty years of
experience, a highly-trained staff, and a thorough
understanding of the most recent design and
construction technologies SBLM Architects remains
a consistent, steadfast resource for both new and
longstanding clients.
Established in 1993, SBLM Architects is the successor
firm to Shiffer Burdick Litchfield Magnuson Architects.
In order to accommodate the increasingly complex
demands of an expanding range of project types, the
partners of SBLM reorganized the firm into five primary
studios: Education, Mixed-use and Residential, Retail &
Commercial, Healthcare & Wellness, and Civic. SBLM's
studio structure allows the sharing of information and
expertise through a cross-practice exchange. This
results in the delivery of efficient and high quality service
to clients in each business sector. A fully integrated
design firm, SBLM also maintains its own graphic
design and photography studio, as well as an in-house
expediting service.
Headquartered in New York City, SBLM maintains offices
in Miami, Florida, and Dublin, Ireland, and Chennai, India.
The New York and Florida offices work very closely,
combining resources and pooling talent on numerous
client accounts. As a large firm, SBLM has many firm-
wide resources. Our Intranet provides staff with technical
resources such as the CAD and construction standards
library, code manuals, project and staffing schedules,
project database, and accounting information along with
many more features. The firm also promotes learning
through weekly project management and continuing
education seminars as well as design critiques. These
resources are actively utilized and help to make intra-
office communication more efficient.

SBLM is owned by five partners including two of the
original founders of the firm, Joshua Burdick AlA, LEED
AP and Philip Magnuson AlA, LEED AP. The other three
firm owners are Michael LeFande AlA, LEED AP; David
Nicholson AlA, LEED AP; and James Cohen AlA, LEED
AP. Mr. Burdick and Mr. Cohen manage the New York
and Miami offices, respectively.

The partners of SBLM Architects also own and manage
dbRight, an entity that offers competitive architect lead
design-build project delivery options and a lower-risk
alternative to the conventional design-bid-build model.
This offers increased efficiency and reduces design-
related change orders.
Florida Office
SBLM's Florida-based team comprises architects,
technicians, and administrative personnel who employ
the most current technology in our ongoing public sector
and government work statewide. SBLM has developed
solid relationships with many public and private clients
throughout Florida in the education, civic, and retail
sectors. SBLM's Miami office is approximately 35 miles
from the City of Sunny Isles. Our location enables our
team to be readily accessible at all times for on-site
needs at any project location for this contract.
Financial Statement
SBLM has a strong history of financial stability and
has successfully managed to remain profitable during
the turbulent state of the present economy. SBLM's
annual revenue for 2008 and 2009 were $19,939,979
and $14,583,566 respectively. One of the key factors
to SBLM's financial health is its diverse practice, which
allows the firm to flourish even when activity decreases
in one of its five studios. In addition, SBLM is fortunate
to have numerous repeat clients with steady streams of
work. These clients, in addition to many others, have
come to rely on SBLM for exceptional service and

realized. At SBLM, we understand that design solutions
must evolve from a thorough understanding of the

Design Philosophy and Process
SBLM involves its clients as active participants in the
design process. Every project begins with a dialogue
to understand the client's business philosophy and
operations and to define project goals. We develop the
design based on this collaboration, creating solutions
that address the program parameters, timeframe and
budget. In urban and sub-urban settings where adaptive
re-use is the norm, we have the experience to ensure that
the required program will complement the existing built
conditions. In cases that call for ground-up construction,
we perform thorough site studies and environmental
analyses that lead to informed and efficient designs. In

Sustainable Design Initiatives
SBLM's commitment to sustainability is demonstrated
by our portfolio of environmentally sensitive work,
including 13 LEED certified/registered projects, and
our 30 LEED-accredited staff. Our internal Stewards of
Sustainability (SOS) Committee keeps SBLM abreast of
the latest developments in green technology, materials
and practices while providing a resource for the entire

Energy Tax Credits/Incentive Programs
Our clients receive grants under these programs for
their energy efficient measures in the projects they
build. SBLM has expanded its feasibility study and due
diligence services to include the identification of available
energy tax credits and other incentive programs from
government agencies and utility companies.

Public and Private Sector Experience
SBLM has held numerous on-call and term contracts
with government agencies throughout the firm's history,
including contracts with Miami-Dade County General
Services Administration, Miami-Dade County Public
Schools, Miami-Dade College, the Dormitory Authority of
the State of New York (DASNY), the New York City School
Construction Authority (NYCSCA), the Department
of Citywide Administrative Services (DCAS), the
Department of Homeless Services (DHS), and the New
Jersey Schools Development Authority (NJSDA). This
wide range of project experience has included offices,
schools, libraries, courthouses, industrial buildings,
maintenance facilities, and correctional institutions. As
a result of this experience, SBLM is well-versed in the
interpretation and application of all state and local code
requirements as well as government agency procedures.
SBLM's hands-on approach allows us to manage our
projects and work with local officials to ensure a smooth
and efficient project completion.
In addition to our public sector work, SBLM has a wide
ranging private sector portfolio including big box and
speciality stores, distribution centers, malls, restaurants,
fitness centers, hotels, residences, clinics, and hospitals.
Our commercial and government experience, client
oriented service and local presence make SBLM well
suited to provide general architectural services for the
City of Sunny Isles Beach.
Local Expertise
The proposed team members-James Cohen AlA,
LEED AP; Glenn Lurie AlA, LEED AP; and Anthony
Koehler AlA, LEED AP-are familiar with the City of
Sunny Isles Beach from their work on the Sunny Isles
Beach Community School. As part of the design
process the team met with and presented to the local
community board, commissioners, and the Mayor.
Through this dialogue, SBLM learned about the City's
plans, such as the island-wide storm water management
program and private sector growth goals. Participatory
discussions with city staff, administrators, and citizens
created an informed and interactive design process
which greatly contributed to the success of the project.
These meetings also provided insight into the City of
Sunny Isles Beach culture, community aesthetic, and
city demographics.
We know, as a growing upscale community, the city is
in the process of converting aging waterfront buildings
into a new hospitality, residential, and retail center. With
projects such as the redevelopment of Collins Avenue,
Sunny Isles Beach is becoming a premier shopping and
tourism destination. Investing in the local infrastructure
is equally important to the community, as new roads,
bicycle paths, pedestrian walkways, landscaping,
and other improvements are critical to preserving and
enhancing the fabric of the community.
As an architect for this contract the team will combine
their local knowledge, expertise, and shared enthusiasm
to meet the project needs and goals of the City of Sunny
Isles Beach.
Selected Project Case Study - Sunny Isles Beach
Community School, Sunny Isles, FL
The City of Sunny Isles Beach partnered with Miami-
Dade County Public Schools to build a new school in its
community. The selected school site presented a major
challenge-the lot area was only one quarter the size that
the school's program requirements demanded. To meet
the size limitations and fast-track schedule, the team
drew upon their urban design experience and created a
multi-story solution utilizing tilt-up concrete construction.
The design features intersecting concrete planes at the
entry, a cantilevered exterior staircase, and second-
floor concrete bridges. The bold use of the school's
yellow and blue colors accent key exterior architectural
elements against the backdrop of the waterfront.
Key to the design process was addressing the
community's two main concerns-preserving the
neighborhood aesthetic and avoiding disruption to the
flow of traffic. The design team met these challenges by
treating all sides of the site equally. By fronting all streets
and adding entrances on all sides, the comprehensive
student drop-off function is spread out across all streets
flanking the school and the building design preserves the
neighborhood views by hiding the school loading area
within the parking structure.

single facility. The design is a single pod form repeated
four times, one for each school, resulting in a modular
four-story classroom wing. The repeated forms created
economy and schedule efficiency by incorporating the
bulk of construction into a compact portion of the site.
Public spaces are organized across a courtyard space.
These spaces serve both the school and community use,
with the courtyard functioning as circulation, assembly
and featured space.
Staffing Approach
As a large, multi disciplinary architecture firm, SBLM is
well-equipped to handle the Sunny Isles Beach general
architectural services contract. With an architectural staff
of over 60 design professionals, SBLM has the ability
to evaluate a project's needs and staff it to match the
complexity of the project and the time necessary for the
completion of the assignment. The SBLM team assigned
to the project will remain on the project from inception
through construction administration and the final punch
list. This approach preserves the design integrity of each
project as it moves toward completion and reinforces a
seamless interface with the various project stakeholders.
Project Organization
The project team will be lead by James Cohen AlA,
LEED AP, serving as Principal-In-Charge. In this role, Mr.
Cohen will oversee all Sunny Isles Beach projects and
client requests. He will be responsible for managing the
execution of all services under the Sunny Isles Beach
contract and will ensure that resources are committed
to the project as required.
As the Project Manager, Glenn Lurie AlA, LEED AP will
serve as the day-to-day contact with the City of Sunny
Isles Beach. Mr. Lurie will have complete responsibility for
conventional management elements, including quality,
schedule and budget. He will be directly responsible for
managing the architectural team as well as consultant
coordination.
As Design Director, Anthony Koehler AlA, LEED AP will
work with Mr. Cohen, Mr. Lurie, and the City to establish a
clear design direction for the project. Mr. Koehler will play
a major role in the schematic and design development
phases and ensure the construction documents are
reflective of the design intent.

As Managing Partner and Principal-in-Charge of
SBLM's Miami office, James Cohen plays an integral
role in the management, direction and day-to-day
operations of each project undertaken by SBLM's
Florida-based team. With over 20 years at SBLM, Mr.
Cohen directs and manages a broad range of the firm's

Mr. Cohen is managing the renovation and expansion

information technology department and its central

Mr. Cohen is managing the re-design and rehabilitation of
this two story correctional facility, originally constructed in
the 1980s and now maintained by Miami-Dade County.

As Principal-in-Charge of the Whole Foods expansion
program for the Southeast, Mr. Cohen manages the
design and construction of numerous projects including
new, free-standing buildings and mixed-use urban sites.

Glenn Lurie has over 20 years of experience with large-
scale institutional and general commercial projects. He
is proficient in all aspects of construction documents,
preliminary and developmental design and has

of SBLM 's Florida operations, regularly overseeing quality
control measures and bringing his resourcefulness and

As Project Manager, Mr. Lurie oversees SBLM's
operations to provide third party construction oversight
and observation services at Bridgestone's Firestone
Auto Center locations. The retail service centers, which
are typically between 7,000 and 8,000 square-feet in
size, incorporate diverse program elements. To ensure
that the work is performed to the highest standards
of quality and efficiency, Mr. Lurie and the SBLM team
work closely with the Owner and Contractor to review
the progress of construction at regular intervals.
24 Hour Fitness, Multiple Locations, FL
Mr. Lurie was the Project Manager for three 24 Hour
Fitness projects across southern Florida. Each fitness
club includes amenities such as an NBA size basketball
court, 3 lane lap pool, steam, sauna, spa, aerobics
studio, spin room, and children's play area. Facilities are
typically 50,000-square-feet and average $3 million in
construction costs.
TransLoad America, Miami FL
Mr. Lurie is the Project Manager for this waste transfer-
by-rail project, which consists of a 30,000-square-
foot transfer building containing a rail spur, separation,
and processing area as well as an office building and
gatehouse.
'City of North Miami Beach Utilities Department,
Miami Gardens, FL
Mr. Lurie served as Project Manager on this major
expansion and upgrade to an existing water treatment
facility. New work included an administrative building,
water treatment buildings and tanks, maintenance
facilities, and storage areas for materials and records.
Mr. Lurie oversaw exterior coordination with lay-down,
pre-fabrication and staging during construction, as well
as large vehicle and heavy equipment access.

Design Director, Associate
SBLM Associate. Anthony Koehler, has accumulated
almost 15 years of experience designing public
and community facilities. A talented, resourceful
designer well-regarded for his problem-solving skills
and resourceful approach to complex or challenging
design briefs, he is particularly proficient at developing
expressive design concepts. Mr. Koehler is multi-
faceted, employing a variety of media and conceptual
tools to explore design options, and developing a
clear design direction for each project. Mr. Koehler
completes a detailed analysis of the project, exploring
factors including site placement, lighting studies, code
analysis, and program requirements in order to find the
best design solution.

included the design and construction administration for
several free-standing covered shelters at Michael Krop
Senior High School, Norwood Elementary and Parkway
Elementary schools.
MDC - Environmental Signage Program, Multiple
Locations, Miami FL
Mr. Koehler is the Lead Designer for Miami-Dade
College's new environmental and wayfinding signage
system across all existing campuses. The new signage
system will comply with all applicable codes and provide
a uniform, "branded" approach for all campus buildings.
The program includes the development of design
standards for internal vehicular and pedestrian signage,
directional and identification signage, directories, and
access symbol signs.
*MDC North Campus Buildings 2000, 7000 &
8000, Miami, FL
As the Job Captain on this project, Mr. Koehler performed
a complete exterior remediation of the Library Building
for the Miami-Dade College North Campus. The scope
of work included the restoration of all pre-cast concrete
panels, sealant, joints, and windows caulking. In addition,
the existing SBS modified built-up roof was replaced
with a new single-ply system. All rooftop equipment was
raised, and building expansion joints were replaced in
conjunction with the reproofing.
Kohl's Office Interior Project, New York, NY
Mr. Koehler is the Design Director leading SBLM's
design of the new Kohl's headquarters in Manhattan.
Mr. Koehler analyzed, programmed and provided space
planning for the sprawling new space, which occupies
40,000 square-feet on two floors of a commercial
building. The design revolves around the idea of 10
"design pods" each of which functions as an autonomous
unit, but which are open enough to encourage inter-pod
communication and innovative thinking. The project is on
schedule to be completed June 2010.
Interfaith Medical Center, Brooklyn, NY
Mr. Koehler is the Design Director for two projects at
Interfaith Medical Center. One project consists of a new
interior fit-out at the 8th floor of a psychiatric unit and the
other, a new, 24,000 square-foot behavioral health clinic.

This ground-up 21O,000-square-foot K-8th
grade facility is the first public school to be
built in the Sunny Isles Beach community. The
education wing provides over 1 600 students
with 83 classrooms, incorporating a highly
diverse program within a compact building
envelope. The design employs passive cooling
and daylighting strategies to take maximum
advantage of the school's site and to provide
unparalleled views of the waterfront.
A firm opening date required a very compressed
design and construction schedule. In order to
meet this 26 month fast-track schedule, SBLM
specified tilt up concrete panels as the exterior
building envelope.
Addressing the unsuitable soil bearing
conditions, SBLM mandated the entire project
be constructed on auger case pilings, grade
beams, and a structural slab piling to create
an adequate support system. To comply with
the site's environmentally sensitive storm
drainage requirements, the project utilized a
unique gravity well injection system for storm
water drainage. The design, permitting,
contractor selection and construction were all
completed on schedule. SBLM's team was

At Michael Krop Senior High School, two new
freestanding covered shelters feature food
serving bays and vending machines. Both
shelters total approximately 5,OOO-sqaure-
feet. At Norwood Elementary and Parkway
Elementary, 2,500-square-feet of covered
physical educational shelters and 500 square
feet of covered walkways and storage facilities
were designed and constructed for both

SBLM has been working with 24 Hour
Fitness over the past several years, providing
architectural and design services for nearly 50
locations throughout the East Coast.
This recreational facility, a new club in Boy ton
Beach, Florida, entailed a $5 million complete
interior conversion of 55,000 square feet of
retail space to health club use. The new facility
includes a full gym, weight rooms, cardio
rooms, basketball courts, Olympic-sized
swimming pool, locker rooms, sauna, steam
rooms, day care, and all support spaces.
The project required a gut-renovation and re-
design of the interior, new space planning, and
the complete replacement of all mechanical,
electrical and plumbing systems. The project

TransLoad America (TLA) is a leader in rail-
based transfer, transportation, recycling, and
disposal of solid waste. The firm provides
transport systems that divert as much material
as possible from land disposal to a recycling
and/or re-purposing facility. To meet these
goals, the company commissioned SBLM
to design its new waste transfer facility in
Miami, Florida. Located on a six-acre site,
the project consists of a 30,000-square-foot
waste transfer building, a 1,500-square-foot
office building, and an 800-square-foot gate
house. The new facility will provide services to
collect local construction debris for sorting and
transportation via truck or rail to either landfills
or recycling centers. Sustainable design details
include a white reflective roof, environmentally
sensitive material selection, and on-site water
retention capabilities.
The scope of work includes a complete back-
up generator, special carbon dioxide ventilation
systems, and a rail system that runs through
the building to alleviate shipping the majority of
materials by highway.
SBLM performed extensive permitting, working
closely with the local Miami agencies. The
project in currently on hold.

As part of SBLM's ongoing work with Miami-
Dade County Public Schools, the firm's Florida
team is performing an office expansion at
MDCPS's 30,000-square-foot ITS Annex
warehouse facility in Miami. The facility serves
as a headquarters for MDCPS's information
technology department and its central
computer equipment storage depot, and
also houses administrative staff offices and a
repair shop. SBLM is building out an existing
office area to include a work room with new
fire-rated walls, lighting, general electric outlets
and new finishes, with new work to existing
building systems as necessary. The scope of
SBLM's work also includes field surveys and

SBLM is working with the Miami-Dade County
General Services Administration Design &
Construction Services Division on the re-
design and rehabilitation of this two-story
correctional facility, originally constructed in

County. Consisting of first and second floor

SBLM conducted sightline studies to meet
the County's goals of maximizing visibility
into the cells. Other improvements included
replacement of shower doors, introducing
one treatment room into each individual cell
pod, paint and finish upgrades, and general

MDC recently commissioned SBLM to develop
a new, uniform environmental signage system
for all of its existing campuses. The project team,
led by Principal-in-Charge James Cohen AlA,
LEED AP and Project Manager Glenn Lurie AlA,
LEED AP, is conducting an audit and physical
examination of the existing signage conditions,
site plans, master plan documentation, and an
assessment of ADA guidelines to determine
the optimum pedestrian accessibility routes.
The program includes the development of
design standards for internal vehicular and
pedestrian signage for all directional and
identification signage, directories, and access
symbol signs. New protocols also are being
developed to ensure a consistent, "branded"
approach with the use of MDC graphics to
provide an elegant and economical design
solution. The budget for this contract is just
under $3 million.

Project Management and Quality Control
SBLM's quality assurance controls ensure that projects remain on track by maintaining schedule and budget requirements. SBLM believes
that an effective quality control strategy is based on maintaining the continuity of the project team; transparent communication between
the team members, clients, and consultants; the early detection of potential problems; a well-organized approach to all design work; clear,
concise construction documents; and a hands-on approach during the construction phase.
SBLM prepares a cost estimate during the pre-design phase in line with the standards established by the client. This estimate is updated
after a thorough and complete explanation of the systems and materials is approved by the client during the Design Development phase. The
firm's quality assurance controls include:
City/design team meetings to agree upon project goals, program schedule, budget, approvals process and protocols.
Documenting decisions and project process in memoranda, schedules, programs and budgets.

Construction Phase Services
SBLM provides construction supervision on nearly all of our projects. In order to monitor the construction activities on site, we establish bi-
weekly construction meetings for each project. All memoranda, schedules, programs, events, and budgets are documented by the SBLM
team and distributed in a timely manner to the necessary parties. During the construction process, SBLM engages in project reviews as
determined by the client. SBLM is available to meet with the client or contractor for on-site discoveries or to consult on issues that may require
immediate attention. Our services include the following:
On-Site Construction Quality Review and Documentation: SBLM will observe contractors' work in relation to the project drawings,

appointments with the client and contractor are necessary for both liability and close-out functions before final occupancy.

NOTE 1 - SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES
Orqa n ization
S8LM Architects, P.C. (the "Company"), was incorporated in the State of New York on
June 17, 1993. The Company performs architectural consulting services throughout the
United States.
Cash EQuivalents
The Company considers all highly liquid investments with maturity of three months or less
to be cash equivalents.
Revenue Recoonition
The Company recognizes revenues as services are performed. On long-term contracts,
the Company recognizes revenue utilizing the percentage of completion method, measured
by the percentage of cost incurred to date, to estimated total cost for each contract.
Provisions for estimated losses on uncompleted contracts are made in the period in which
such losses are determined. Changes in estimated profitability may result in revisions to
costs and income, which are recognized in the period in which the revisions are determined
and are accounted for as changes in estimates in the current period.
Fixed Assets
Fixed assets are recorded at cost. Depreciation is generally provided on a straight-line
method for personal property and for leasehold improvements over the estimated useful
lives of the various assets as follows:

Fair Value
The Company has a number of financial instruments, none of which are held for trading
purposes. The Company estimates that the fair value of all financial instruments at
December 31, 2009, does not differ materially from the aggregate carrying values of its
financial instruments recorded in the accompanying balance sheet. The estimated fair
value amounts have been determined by the Company using available market information
and appropriate valuation methodologies. Considerable judgment is necessarily required
in interpreting market data to develop the estimates of fair value, and accordingly, the
estimates are not necessarily indicative of the amounts that the Company could realize in
a current market exchange.
Income Taxes
The Company elected to be taxed as an "S" Corporation for Federal and various state
purposes. In lieu of corporate income taxes, the shareholders of an S corporation are
taxed on their proportionate share of the Company's taxable income. Therefore. no
provision or liability for Federal income taxes has been included in the financial
statements. Under New York State tax laws, a minimum tax is due regardless of S
Corporation status. The Company is taxed as a corporation for New York City and various
state purposes.
Deferred income taxes arise primarily from the Company's recognition of income and
expense on the cash receipts and disbursements basis for tax purposes and on the
accrual basis for financial statement purposes. Income taxes are reported based upon the
Company's adoption of the Statement of Financial Accounting Standards Number 109
"Accounting for Income Taxes".
Estimates
The preparation of financial statements in conformity with generally accepted accounting
principles requires management to make estimates and assumptions that affect the
reported amounts of assets and liabilities and disclosure of contingent assets and
liabilities at the date of the financial statements and the reported amounts of revenues and
expenses during the reporting period. Actual results could differ from those estimates.

Concentration of Credit Risk
Financial instruments that potentially subject the Company to concentrations of credit risk
consist principally of accounts receivable. The Company believes that concentration with
regards to accounts receivabfe is limited due to its large customer base. The Company
maintains substantially all of its cash balances in two financial institutions. The balances are
each insured by the Federal Deposit Insurance Corporation up to $250,000. At December 31,
2009, the Company did not have any uninsured cash b'alances, although the Company may
exceed the limits at times throughout the year.
Allowance for Bad Debts
Based on the Company's operating history and customer base, bad debts to date have not
been material.
Advertisina Costs
Advertising costs are expensed as incurred and aggregated approximately $38,298 for the year
ended December 31, 2009.
Accrued Vacation Pay
Employees can accrue up to a maximum of twenty one days vacation time. Employees must
use their vacation time earned within the calendar year. All unused earned time will be paid
during the first payroll of the following calendar year.

The Company's property under capital leases which is included in fixed assets at December
31, 2009 consists of office equipment at a cost of $194,688 less accumulated depreciation of
$137,784.
Depreciation expense for the year ended December 31,2009 totaled $194,365.
NOTE 3 - NOTE PAYABLE TO BANK
In June 2005, the Company entered into a line of credit for $250,000, which has been
amended to increase the line to $3,000,000. The line is secured by substantially all assets of
the Company. Certain officers of the Company have personally guaranteed the loan. The
line is due on October 24, 2010 and borrowings under the line of credit bear interest at the
bank's Iibor rate. At December 31,2009, borrowings under the line totaled $424,983.
As of December 31,2009, the Company is not in compliance with the debt covenants.
NOTE 4 - RELATED PARTY TRANSACTIONS
Note Receivable
In 2008, the Company entered into a promissory note agreement whereby the Company lent
$205,000 to DB Right, LLC ("DB Right"). The promissory note is due July 15, 2009 and
incurs interest at 5% per annum. The 2008 agreement was superseded by the December
2009 Amendment, which expanded the promissory note agreement to lend up to $338,000 to
DB Right, LLC. 1he interest rate on the new agreement is prime less 1% and is due
December 31, 2019. At December 31, 2009 the balance owed to the Company was
$333,617. The Company shareholders own DB Right, with the same ownership as they have
for the Company.

NOTE 6- CAPITALIZED LEASE OBLIGATIONS
The Company is obligated under a capitalized lease for computer equipment as follows:
Lease oavable to Dell Financial
The Company leases equipment under capital lease arrangement with Dell Financial.
Pursuant to the lease, the lessor retains actual title to the leased property until the
termination of the lease, at which time the equipment can be purchased for a dollar. The
term of the Jease is 48 months with monthly payments of $694. The assumed interest rate
on the lease is 8% and the lease terminated in 2009.
NOTE 7-INVESTMENT IN PARTNERSHIP
The Company owns 30% of Acertus Consulting LLC ("Acertus"). The Company's

NOTE 9 - RETIREMENT PLAN
The Company has a qualified 401(K) Plan for all employees. The plan allows total
contributions of up to.fjfteen percent (15%) of the eligible employee's salary through a
salary reduction mechanism. The Company is not required to match any employee
contributions to the plan.
Net assets for the plan, as estimated by Charles Schwab were $2,710,477 at
December 31, 2009.
There was $10,988 pension expense for the year ended December 31,2009.
NOTE 10 - LEASE COMMITMENTS
The Company leases both its Florida and New York premises under non-cancelable
operating leases expiring on September 30, 2010 and December 31, 2012,
respectively. Both leases include a provision for additional rent based on increases
in expenses over the base year. Pursuant to the leases, rent expense charged to
operations differs from rent paid because of scheduled rent increases. Accordingly,
the Company has recorded deferred rent. Rent expense is calculated by allocating to
rental payments, including those attributable to scheduled rent increases, on a
straight-line basis, over the lease term. Rent expense for the year ended December
31, 2009 was $403,538.

Fair Value
The Company has a number of financial instruments, none of which are held for trading
purposes. The Company estimates that the fair value of all financial instruments at
December 31, 2008, does not differ materially from the aggregate carrying values of its
financial instruments recorded in the accompanying balance sheet. The estimated fair
value amounts have been determined by the Company using available market information
and appropriate valuation methodologies. Considerable judgment is necessarily required
in interpreting market data to develop the estimates of fair value, and accordingly, the
estimates are not necessarily indicative of the amounts that the Company could realize in
a current market exchange.
Income Taxes
The Company elected to be taxed as an "S" Corporation for Federal and various state
purposes. In lieu of corporate income taxes, the shareholders of an S corporation are
taxed on their proportionate share of the Company's taxable income. Therefore, no
provision or liability for Federal income taxes has been included in the financial
statements. Under New York State tax laws, a minimum tax is due regardless of S
Corporation status. The Company is taxed as a corporation for New York City and various
state purposes.
Deferred income taxes arise primarily from the Company's recognition of income and
expense on the cash receipts and disbursements basis for tax purposes and on the
accrual basis for financial statement purposes. Income taxes are reported based upon the
Company's adoption of the Statement of Financial Accounting Standards Number 109
"Accounting for Income Taxes".
Estimates
The preparation of financial statements in conformity with generally accepted accounting
principles requires management to make estimates and assumptions that affect the
reported amounts of assets and liabilities and disclosure of contingent assets and
liabilities at the date of the financial statements and the reported amounts of revenues and
expenses during the reporting period. Actual results could differ from those estimates.

Concentration of Credit Risk
Financial instruments that potentially subject the Company to concentrations of credit risk
consist principally of accounts receivable. The Company believes that concentration with
regards to accounts receivable is limited due to its large customer base. The Company
maintains substantially all of its cash balances in three financial institutions. The balances are
each insured by the Federal Deposit Insurance Corporation up to $250,000. At December 31,
2008, the Company did not have any uninsured cash balances, although the Company may
exceed the limits at times throughout the year.
Allowance for Bad Debts
Based on the Company's operating history and customer base, bad debts to date have not
been material.
Advertisinq Costs
Advertising costs are expensed as incurred and aggregated approximately $92,649 for the year
ended December 31,2008.
Accrued Vacation Pay
Employees can accrue up to a maximum of twenty six days vacation time. Employees must
use their vacation time earned within the calendar year. All unused earned time will be paid
during the first payroll of the following calendar year.

NOTE 1 - SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES
Orqanization
SBlM Architects, P.C. (the "Company"), was incorporated in the State of New York on
June 17, 1993. The Company performs architectural consulting services throughout the
United States.
Cash Equivalents
The Company considers all highly liquid investments with maturity of three months or less
to be cash equivalents.
Revenue Recognition
The Company recognizes revenues as services are performed. On long-term contracts,
the Company recognizes revenue utilizing the percentage of completion method, measured
by the percentage of cost incurred to date. to estimated total cost for each contract.
Provisions for estimated losses on uncompleted contracts are made in the period in which
such losses are determined. Changes in estimated profitability may result in revisions to
costs and income, which are recognized in the period in which the revisions are determined
and are accounted for as changes in estimates in the current period.
Fixed Assets
Fixed assets are recorded at cost. Depreciation is generally provided on a straight-line
method for personal property and for leasehold improvements over the estimated useful
lives of the various assets as follows:

The Company's property under capital leases which is included in fixed assets at December
31,2008 consists of office equipment at a cost of $244,514 less accumulated depreciation of
$143,335.
Depreciation expense for the year ended December 31, 2008 totaled $236,786.
NOTE 3 - NOTE PAYABLE TO BANK
In June 2005, the Company entered into a $500,000 promissory note agreement with a
bank. Among other provisions, the note, as amended, is due in June 2009 and borrowings
under the term loan incur interest at the rate of 5.6% per annum. The note is secured by
substantially all assets of the Company. Certain officers of the Company have personally
guaranteed the loan. At December 31, 2008, borrowings under the note totaled zero. In
June 2005, the Company also entered into a line of credit for $250,000, which in July 2007
was expanded to $1,250,000. The line of credit was expanded again in June 2008 to
$3,000,000, which has been utilized in 2008. At December 31, 2008, borrowings under the
line totaled $299,983. Borrowings under the line of credit bear interest at the bank's prime
rate.
NOTE 4 - RELATED PARTY TRANSACTIONS
Note Receivable
In 2006, the Company entered into a promissory note agreement whereby the Company
would lend up to $150,000 to Acertus Consulting Group, LLC ("Acertus"). The promissory
note is due upon demand and incurs interest at 8.25% per annum. The 2006 agreement
was superseded by the March 2007 amendment, which expanded the promissory note
agreement to lend up to $400,000 to Acertus. TAo CompanY-OWrTs-jO% trt'~. At
December 31,2008, the Company was repaid in full pursuant to this agreement.
In 2008, the Company entered into a promissory note agreement whereby the Company lent
$205,000 to DB Right, LLC ("DB Right"). The promissory note is due July 15, 2009 and
incurs interest at 5% per annum. The Company shareholders own DB Right, with the same
ownership as they have for the Company.

NOTE 6- CAPITALIZED LEASE OBLIGATIONS
The Company is obligated under a capitalized lease for computer equipment as follows:
Lease payable to Dell Financial
The Company leases equipment under capital lease arrangement with Dell Financial.
Pursuant to the lease, the lessor retains actual title to the leased property until the
termination of the lease, at which time the equipment can be purchased for a dollar. The
term of the lease is 48 months with monthly payments of $894. The assumed interest rate
on the lease is 8% and the lease terminates in 2009.

NOTE 13- PRIOR PERIOD ADJUSTMENT
During the year ended December 31, 2008, an error was discovered in which
leasehold improvements were being depreciated over the improper amount of time.
The effects of the error were to understate accumulated depreciation and
depreciation expense by $75,045 in 2007. This error was corrected by decreasing
beginning retained earnings by $75,045 in 2008.
