Mr. Enrique Antelo will be the Project Manager for this very important assignment. Mr. Antelo's credentials include over 36 years of experience in civil and transportation projects in the Miami- Dade Metropolitan area. His technical experience includes all aspects of urban as well as rural highway design including drainage, lighting, signals and utility coordination. He has a proven track record of successfully managing projects of various sizes and complexity from simple milling and resurfacing projects to urban reconstruction and limited access facilities. His most recent experience as Project Manager includes the Busway in South Dade for MDT. This project involved extensive coordination between various stakeholders such as Miami-Dade Transit, Miami-Dade Public Works Department, Florida Department of Transportation and multiple sub consultants to deliver inter-related construction contract documents on schedule. During the 2004 and 2005 record storm season, Metric managed over $100 million dollars in emergency debris removal contracts for the Florida Department of Transportation that included extensive coordination with FHWA, FEMA and various local governments. The City of Sunny Isles Beach Comprehensive Plan which was adopted October 2000, serves as the initial source of information. According to the report, the city is expecting over the course of the years a significant growth in dwellings resulting in an additional strain on the City's infrastructure. The resulting effect on the City has been an increase demand to upgrade storm water systems, as well as water and sewer systems and to evaluate the role of transit and roadway oriented development. An understanding of these issues is critical to our design approach. Once you have a clear understanding of the needs and issues and the project's role at a regional level, you can move forward in implementing a sustainable design. As the region and City's population continues to expand, there will be a growing challenge on how to minimize impacts to the natural and social environment to ensure that a high level quality of life is maintained for its visitors and residents. Quality Control and As:.,urance Quality Control Plan A key aspect to any successful project is a successful and well-implemented quality control plan. MEI has developed a quality control approach that can be tailored to the specific needs and requirements of each client. It should be noted that reviews by experienced and independent personnel are built into every Quality Control Plan ensuring that comments are meaningful and constructive. All of our subconsultants are required to submit a Quality Control Plan (QCP) that must be approved by MEl's Project Manager prior to the commencement of the work. The Quality Control Plan (QCP) for these specific projects will initially be prepared by MEI and submitted to the City's Project Manager within 10 working days of NTP. Within this plan we will identify the independent review team that will be conducting the QC reviews at various stages of the project's life. Once the City's Project Manager approves the QCP, the independent review team will be part of the overall design team. They will receive copies of all design notes, reports and drawings along with quality control sets of drawings at each phase submittal. I 95 Over lake Washlllgloll Road Brevard County, FL - Project involves the widening of bridge nos. 700123 (northbound) and 700040 (southbound) along 1-95 over Lake Washington Road. The twin bridges are 4-span, AASHTO Type II girder bridges with CIP continuous deck superstructure with an overall length of 172 feet. The cap/multi-column bents are founded on 18" square prestressed piles. He was certifying Engineer of record and performed the deck design and AASHTO Type II girder design as well as checked the intermediate hammerhead piers founded on 4 -18" pre-cast piles. 2005 Inspection of Bridges and Sign Structures for MDX, Miami-Dade County Flonda Project Manager Project involves routine bi-annual inspections of 120 bridges and 112 sign structures along SR-836, SR-874, SR-878, SR-924 and SR-112. Responsible for project scheduling, reviewing inspection reports, and performing ONOC for the inspections performed. 2003 - 2004. The rehabilitation consists of repairing pre- stressed/post-tensioned deck/slab units, pre-stressed AASHTO girders, cast-in place bent caps, bridge fender system, painting of structural steel on bascule leaves, repair mechanical and electrical component associated with the bascule leaves and replacement of steel maintenance platform. The scope of retrofit included repairs to prestressed girders, steel pot bearings and concrete piers, as well as the replacement of the existing fender system. The bulk of the project involved the repairs to the concrete pile cap foundations where cathodic protection was implemented into the restoration to ensure longevity of repair life. The roadway portion consisted of expanding the merging and diverging areas, correcting roadway cross slope, drainage, signing & pavement markings, maintenance of traffic and roadway lighting. The toll plaza portion consisted of the conversion of two dedicated Sun Pass lanes to express Sun Pass lanes, removal of a automatic coin machine lane, and the conversion of a automatic coin machine lane to a manual booth lane. The removal of the automatic coin machine lane provided the needed space for the proposed express SunPass shoulders. The existing high canopy was replaced with a gantry over the proposed express SunPass lanes. The existing employee parking was reconfigured as part of the project. MIC Earlington Heights Connector Site Civil Engineer for the Miami Illtfrmodal Center Earlington Heights Station. The Miami Intermodal Center- Earlington Heights projects runs from the existing Earlington Heights Station located next to SR-112 and approximately east of NW 27th Avenue west to the new MIC Core Facility locate next to the Miami International Airport. The project included the site civil design. Served as the designer of record for the maintenance of traffic (including SR-112 & NW 41 st Street), detour plans for the MIC-Earlington (crossing), Signing and Pavement Marking (including SR-112 and NW 41 st Street), signalization design, temporary signal, and substation design. The project design involved the transformation of an abandoned railroad corridor into a transit roadway that will extend and interconnect public bus routes and bicycle trails from Miami to Homestead and Florida City. Roadway design plans also included intersection improvements, street lighting, signalization, and maintenance of traffic. Special drainage design and earthwork measures were required to mitigate in-situ contaminated soils within significant portions of the project corridor. Policies This summary of significant accounting policies of Metric Engineering, Inc. and Subsidiary (the "Company") is presented to assist in understanding the Company's financial statements. These accounting policies conform to U.S. generally accepted accounting principles ("GAAP") and have been consistently applied in preparation of the financial statements. Business Activity Metric Engineering, Inc., a Florida corporation founded in July 1976, is a professional engineering firm providing consulting services in the areas of planning, engineering, design, and implementation. The Company's projects are specialized in consulting engineering. Principles of Consolidation The consolidated financial statements include the accounts of Metric Engineering, Inc. and its whol- ly owned subsidiary, Dynamic Corporate Consultants, Inc. All significant intercompany transac- tions and balances have been eliminated in consolidation. Method of Accounting The Company maintains its records on the cash basis. The accompanying financial statements reflect such adjustments as necessary to present the financial statements in accordance with U.S. generally accepted accounting principles. Consequently, these financial statements are presented on an accrual basis. Cash Equivalents For the purposes of the statement of cash flows, cash equivalents are considered to be those time deposits with a maturity of three months or less. Property and Equipment Property and equipment are carried at cost. Summary of Sie:nificant Accountine: Policies (continued) Goodwill The Company acquired Dynamic Corporate Consultants, Inc. ("Dynamic") under a stock purchase agreement effective September 30, 2006 (See Note 2). Goodwill represents the excess of the purchase price over the book value of Dynamic Corporate Consultants, Inc. In accordance with GAAP, goodwill is not amortized since it has an indefinite life. Instead, it is tested annually for impairment. During the year ended June 30, 2008, there was no change in the carrying amount of goodwill. Cash Value of Life Insurance The Company is the owner and beneficiary of life insurance policies on several key officers. The cash surrender value relative to the policies in place at June 30,2008 was $355,956. Intangible Software Costs Intangible software costs represent computer license costs that are accounted for at the lower of unamortized costs or net realizable value. Accumulated amortization of intangible software costs of $681,039 amounted to $498,856 as of June 30, 2008. Revenue Recognition The Company recognizes revenue on its professional services contracts on the actual cost plus allowed D.O.T. (Department of Transportation) overhead rates and D.O.T. approved fixed fees and expense and the percentage-of-completion method, measured by the percentage of billed and unbilled revenues to date to estimated total revenue for each contract. These methods are used because management considers them to be the best available measure of progress on these contracts since billings are done monthly for all costs incurred the previous month. The asset "Costs and estimated eamings in excess of billings" on uncompleted contracts represents revenues recognized in excess of amounts billed. Other income includes collections from contract revenues that are non-recurring. Consequently, this income has been shown below operating income. Contract costs include all direct labor costs and those indirect cost related to contract performance, such as indirect labor costs, subcontractors, truck and related expenses, materials and supplies, equipment rentals, radios and telephone, rent, utilities, repairs and maintenance. Changes in job performance, job conditions, and estimated profitability, including final contact settlements, may result in revisions to cost and revenue and are recognized in the period in which the revisions are determined. Estimates The preparation of financial statements in conformity with U.S. generally accepted accounting principles requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting period. The deferred tax assets and liabilities represent the future tax return consequences of those differences, which will either be taxable or deductible when the assets and liabilities are recovered or settled. This Statement requires an entity to recognize a servicing asset or servicing liability each time it undertakes an obligation to service a financial asset by entering into a servicing contract and requires all separately recognized servicing assets and servicing liabilities to be initially measured at fair value, if practicable. ACQuisition of Dvnamic Corporate Consultants, Inc. The Company entered into a stock purchase agreement with the shareholders of Dynamic to acquire 100% of the outstanding shares of Dynamic for a purchase price of $400,000 payable in installments of $100,000 at closing and $100,000 installments due in May 2007, November 2007, and May 2008. Ad- justments pursuant to the contract leave a zero balance due the shareholders of Dynamic at June 30, 2008. At the time of closings the shareholders of Dynamic received 100% of the net assets of Dynamic through an S Corporation distribution. Consequently, the purchase price was allocated by recording $1,000 as an investment in Dynamic and $399,000 as goodwill recognized in the purchase. The Com- pany received the assignment accounts receivable and furniture and equipment, and assumed certain agreed upon liabilities. Total assets and liabilities received and assumed, respectively, amounted to ap- proximately $400,219, as represented in Dynamic's corporate tax retum. 3. Prior Period Adiustments In the year ended June 30, 2008 the Company posted prior period adjustments. In Metric the adjust- ment was necessary to reconcile book and tax differences in fixed assets. The adjustment decreased fixed assets and accumulated depreciation by a net amount of$15,138 and decreased retained eamings by $15,138. Additionally, a prior period adjustment was also posted in the subsidiary to correct amounts reported as liabilities. The adjustment decreased federal and state income taxes payable and increased retained earnings by $63,804. At the consolidated level, the prior period adjustments amounted to an increase of $48,666 to retained earnings. 4. Contracts Receivable and Concentration of Credit Risk Financial instruments that potentially subject the Company to credit risk are primarily cash and accounts receivable. The Company had $1,963,068 on deposits with various national financial institutions as of June 30, 2008, insured for up to $100,000 per institution by the U.S. Federal Deposit lnsurance Corporation. The Company believes it is not exposed to any significant credit risk on cash and cash equivalents because the banks are large national enterprises, which are financially sound. The Company provides engineering services principally to various governmental agencies under binding contracts in the State of Florida and extends terms to these agencies. The Company estimated an allowance for doubtful accounts due to exposure it faces on the jobs ongoing and believes it is not exposed to any significant credit risk on contracts receivable. Lines of Credit The Company maintains a revolving line of credit that is due on demand and bears interest at the preferred rate announced by the lender, currently at 5.0%, for borrowings up to $1,000,000. The line is secured by contracts receivable. The Company had a balance of $620,000 due on the line of credit at June 30, 2008. On June 26, 2008 the company issued a promissory note to Victor M Benitez for amounts advanced from time to time up to a maximum outstanding principal balance of $800,000. Interest is accrued at the Metro Bank prime rate until July 15, 2009, after which time it may change. This note matures in June 10,2009. At June 30, 2008 the unpaid principal balance is $292,000. 7. Notes Pavable Long-term obligations included notes payable to a local bank. The note to the local bank has monthly payments of principal, in the amount of $8,333, plus accrued interest began in March 2007. Principal payments approximate $100,000 per year through maturity. During 2008 interest accrued at an annual rate of 5.0%. This note matures in February 2012. At June 30, 2008 the unpaid principal balance amounted to $366,667. The Company entered into a stock purchase agreement with the shareholders of Dynamic to acquire 100% of the outstanding shares of Dynamic for a purchase price of $400,000 payable in installments of $100,000 at closing and $100,000 installments due in May 2007, November 2007, and May 2008. At June 30,2008 amount due to the shareholders of Dynamic had been paid off. As of June 30, 2008, the company has installment agreements for equipment amounting to $34,735. Payments of principal and interest are due monthly. The agreements mature within 2008 through 2010. Income Taxes The company adopted FASB Statement No. 109 Accounting for Income Taxes. The principal book/tax differences are the use of the percentage of completion method for revenue recognition, the methods of depreciation and the use of the accrual basis discussed in Note I, reflected in the preparation of the accrual basis financial statements compared to the completed contract method to recognize revenues, the accelerated methods of depreciation allowed by the IRS and the cash basis of accounting used to calculate taxable income. The IRS also requires amortization of goodwill over 15 years, however goodwill was accounted for as investments in the tax retum and, consequently, not amortized. 9. Summary of Sienificant Accountine Policies (continued) r I Goodwill The Company acquired Dynamic Corpomte Consultants, Inc. ("Dynamic") and Advanced Transportation Engineering, Inc ("A TEC") under stock purchase agreements effective September 30, 2006 and October 31, 2008, respectively. Goodwill represents the excess of the purchase price over the book value of the acquired entity. In accordance with GAAP, goodwill is not amortized since it has an indeftnite life. Instead, it is tested annually for impairment. During the year ended June 30, 2009, there was no change in the carrying amount of goodwill. Cash Value of Life Insurance The Company is the owner and beneficiary of life insurance policies on several key officers. The cash surrender value relative to the policies in place at June 30, 2009 was $314,376. Intangible Software Costs Intangible software costs represent computer license costs that are accounted for at the lower of unamortized costs or net realizable value. Accumulated amortization of intangible software costs of $744,612 amounted to $591,160 as of June 30, 2009. Revenue Recognition The Company recognizes revenue on its professional services contracts on the percentage-of- completion method, measured by the percentage of billed and unbilled revenues to date to estimated total revenue for each contract. Revenues are calculated using the actual cost plus allowed Department of Transportation ("D.O.T") overhead rates and D.O.T. approved fixed fees and expense. These methods are used because management considers them to be the best available measure of progress on these contracts since billings are done monthly for all costs incurred the previous month. The asset costs and estimated earnings in excess of billings on uncompleted contracts represent revenues recognized in excess of amounts billed. Other income includes collections from contract revenues that are non-recurring. Consequently, this income has been shown below operating income. ! I Contract costs include all direct labor costs and those indirect cost related to contract performance, such as indirect labor costs, subcontractors, truck and related expenses, materials and supplies, equipment rentals, radios and telephone, rent, utilities, repairs and maintenance, and related sales tax expense. The deferred tax assets and liabilities represent the future tax return consequences of those differences, which will either be taxable or deductible when the assets and liabilities are recovered or settled. Deferred tax assets are also recognized for operating losses that are available to offset future taxable income. New Pronouncements During September 2006 FASB issued Statement Number 157 - Fair Value Measurements to define fair value, establishes a framework for measuring fair value in generally accepted accounting principles (GAAP), and expand disclosures about fair value measurements. The Statement provides a single definition of fair value, together with a framework for measuring fair value that results in increased consistency and comparability in fair value measurements. The amendments made by this Statement advance the initiatives to simplify the accounting literature, eliminating differences that have added to the complexity in GAAP. The statement is applicable for years beginning in 2008. During February 2007 FASB issued Statement Number 159 - The Fair Value Option for Financial Assets and Financial Liabilities-including an amendment of FASB Statement No. 115 that permits entities to choose to measure many financial instruments and certain other items at fair value. The objective is to improve financial reporting by providing entities with the opportunity to mitigate volatility in reported earnings caused by measuring related assets and liabilities differently without having to apply complex hedge accounting provisions. This Statement is expected to expand the use of fair value measurement, which is consistent with the Board's long-term measurement objectives for accounting for financial instruments, and the issuance of Statement Number 157 - Fair Value Measurements discussed above. Contracts Receivable and Concentration of Credit Risk II Financial instruments that potentially subject the Company to credit risk are primarily cash and accounts receivable. The Company had $1,789,142 on deposits with various national financial institutions as of June 30, 2009, which were insured for up to $250,000 per institution by the U.S. Federal Deposit Insurance Corporation. The Company believes it is not exposed to any significant credit risk on cash and cash equivalents because the banks are large national enterprises, which are financially sound. l] ~ I The Company provides engineering services significantly concentrated in various governmental agencies in the South Florida under binding contracts, and extends terms to these agencies. Lines of Credit The Company maintains a revolving line of credit for borrowings up to $1,000,000 that is due on demand and bears interest at the preferred rate announced by the lender, currently at 3.25%. The line is secured by contracts receivable with a carrying amount of 11,489,909 (Note 3). The Company had a balance of $950,000 due on the line of credit at June 30, 2009. 7. Notes Payable Long-term obligations include a note payable to a local bank. Monthly payments of principal, in the amount of $8,333, plus accrued interest began in March 2009. Principal payments approximate $100,000 per year through maturity in February 2012. During 2009 interest accrued at an annual rate of 3.25%. At June 30, 2009 the unpaid principal balance amounted to $266,667. The Company entered into a stock purchase agreement with the shareholders of Advanced Transportation Engineering Consultants (ATEC) to acquire 55% of the outstanding shares of ATEC (5% from Elio R. Espino and 50% from Javier S Gonzalez) for a purchase price of $235,000; $152,000 payable in cash at closing of the transaction and the remaining balance payable in installments of $10,000 per month starting February 28,2008 for Elio R. Espino and November 28,2008 for Javier S. Gonzalez. As of June 30, 2009, $40,000 is due to Javier Gonzalez. As of June 30, 2009, the company has installment agreements for equipment amounting to $28,856, secured by the related equipment. Payments of principal and interest are due monthly. The agree- ments mature within the next three years. Income Taxes : I The Company recognizes deferred tax assets and liabilities based on the future tax consequences of events that have been included in the consolidated financial statements or tax returns. The differences related primarily to the use of the percentage of completion method for revenue recognition, the methods of depreciation and the use of the accrual basis discussed in Note 1, reflected in the preparation of the accrual basis fmancial statements compared to the completed contract method to recognize revenues, the accelerated methods of depreciation allowed by the IRS and the cash basis of accounting used to calculate taxable income. The IRS also requires amortization of goodwill over 15 years, amortization expense in the 2009 tax return amounted to $32,267 and accumulated amortization amounted to $58,867. : ] r I Deferred tax assets and liabilities are calculated based on the difference between the financial reporting and tax bases of assets and liabilities using the currently enacted tax rates in effect during the years in which the differences are expected to reverse. Deferred taxes are classified as current or non-current, depending on the classification of the assets and liabilities to which they relate. 1/ The Company's provision for income taxes differs from applying the statutory U.S. federal income tax rate to income before taxes. Pension Plan The Company has a qualified 401(k) plan which covers substantially all employees meeting certain eligibility requirements.
