A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY
ISLES BEACH, FLORIDA, APPROVING THE SECOND ADDENDUM TO
AGREEMENT WITH OTIS ELEVATOR COMPANY FOR MAINTENANCE
OF THE THREE (3) ELEVATORS AT GOVERNMENT CENTER, AND ONE
(1) ELEVATOR IN THE PELICAN COMMUNITY CENTER, IN AN
AMOUNT NOT TO EXCEED EIGHT HUNDRED EIGHTY-FIVE DOLLARS
($885.00) PER MONTH, AND AN ADDITIONAL FIVE HUNDRED FORTY
DOLLARS ($540.00) PER MONTH BEGINNING ON APRIL 1,2012 WHEN
MAINTENANCE OF THE TWO (2) ELEVATORS AT HERITAGE PARK
PARJaNG GARAGE WILL BE ADDED, ATTACHED HERETO AS
EXHIBIT "A"; AUTHORIZING THE MAYOR TO EXECUTE SAID
SECOND ADDENDUM TO AGREEMENT; AUTHORIZING THE CITY
MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS
RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City requires a dependable contractor to provide consistent maintenance
services for the three (3) hydraulic elevators located at the Sunny Isles Beach Government Center,
and one (1) elevator in Pelican Community Park; and
WHEREAS, Otis Elevator Company has been providing elevator maintenance services for
the City since February 1,2006 based upon a proposal executed with the City dated January 9,2006,
and ratified on September 21, 2006 by the City Commission, via Resolution No. 2006-980, to
maintain the three (3) City hydraulic elevators located at the Sunny Isles Beach Government Center,
in an amount of$829.20 per month, for a period of five (5) years, and amended on May 21, 2009 by
the City Commission, via Resolution No. 2009-1408 adding the elevator at Pelican Community Park
for an additional cost of $230.00 per month; and
WHEREAS, the original five-year Service Agreement expired on February 1, 2011 and
automatically renewed for an additional five (5) years, however, the City negotiated the monthly fees
to be reduced from $1,156.75 per month to $885.00 per month for the existing four (4) elevators; and
WHEREAS, an additional Five Hundred Forty Dollars ($540.00) will be added to the
existing maintenance agreement beginning on April 1, 2012 when the two (2) elevators at the
Heritage Park Parking Garage will be added upon warranty expiration bringing the new total to One
Thousand Four Hundred Twenty-Five Dollars ($1,425.00) per month; and
WHEREAS, the City wishes to approve the Second Addendum to the Agreement with Otis
Elevator Company to provide maintenance services for the three (3) elevators in Government Center,
and one (1) elevator in the Pelican Community Center, in an amount not to exceed Eight Hundred
Eighty-Five Dollars ($885.00) per month, attached hereto as Exhibit "A".
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:

Section 1. Approval of Second Addendum to Agreement. The City Commission hereby
approves the Second Addendum to Agreement with Otis Elevator Company to provide maintenance
services for three (3) elevators in Government Center, and one (1) elevator in the Pelican Community
Center, in an amount not to exceed Eight Hundred Eighty-Five Dollars ($885.00) per month, and an
additional Five Hundred Forty Dollars ($540.00) will be added to the existing maintenance
agreement beginning on April 1, 2012 when the two (2) elevators at the Heritage Park Parking
Garage will be added upon warranty expiration bringing the new total to One Thousand Four
Hundred Twenty-Five Dollars ($1,425.00) per month, attached hereto as Exhibit "A".
Section 2. Authorization of Mayor. The Mayor is hereby authorized to execute said Second
Addendum to Agreement.
Section 3. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate this Resolution.
Section 4.
Effective Date. This Resolution will become effective upon adoption.

THE CITY OF SUNNY ISLES BEACH AND

THIS SECOND ADDENDUM TO THE OTIS ELEVATOR COMPANY AGREEMENT,
executed this 1111day of , 2011, is hereby attached to and is made a part of said Otis
Elevator Company Agreement C ntract No. by and between the City of Sunny Isles Beach
("City") and Otis Elevator Company(A/K/A "Otis") ("Co_ ")ntractor a business corporation licensed in the
State of Florida, whose Federal Identification # is t b• 5 S&33 bi . The City and Contractor hereby
agree as follows:
1. ADDITIONAL SCOPE OF WORK: The City wishes to add to the original Agreement
between the parties by adding two (2) additional elevators at the Heritage Park parking garage,
commencing April 1, 2012, as more fully described in Attachment"A".
2. COST: The Contractor agrees to charge $885.00 (Eight Hundred Eighty-Five Dollars) per month
for the existing four (4) elevators, commencing June 1, 2011, and ending on March 31, 2012. Effective
April 1, 2012, the Contractor agrees to charge $1,425.00 (One Thousand Four Hundred Twenty Five
Dollars) per month to service the existing four (4) elevators and the two (2) additional elevators at the
Heritage Park parking garage.
3. TERM: The term of this Second Addendum shall commence on June 1, 2011 and shall continue
for five (5) years. At the conclusion of this period, this Second Addendum will continue for consecutive
one (1) year renewal terms, unless terminated by either party in accordance with the terms and conditions
of the original Agreement.
4. CONTINUING EFFECT OF AGREEMENT: Except as expressly set forth herein, the terms
and conditions of the original Agreement between the parties shall remain in full force and effect. In the
event of any conflict between the terms and conditions of this Second Addendum and the original
Agreement, the terms and conditions set forth in this Second Addendum shall control with respect to the
subject matter hereof.

We propose the following modification to the Contract referred to above,to take effect as of: 6/1/2011
Existing Units
Beginning on the effective date the price will be reduced from$1,156.75 per month to$885.00

ADD NEW UNITS

249732 and 249733 will be added to the existing maintenance contract for$540.00 per month,
payable annually.
Term
The term of the contract for will be for 5 years beginning 6/1/2011.The contract will continue for
one year periods after the initial five years is complete.
This proposal,when accepted by you below and approved by our authorized representative,will become binding as an
addendum and modification to the Contract. All other terms,conditions anti obligations in the Contract referred to are to
remain in full force and effect. This quotation is valid for ninety(90)days from the proposal date.

Second Addendum to the Otis Elevator Company Agreement
RECOMMENDATION:
It is recommended that the City Commission adopt the attached resolution approving the
second addendum to the Otis Elevator Company Service Agreement.
REASONS:
The existing service agreement with Otis Elevator is for the maintenance of the four (4)
elevators located at the Government Center (3) and Pelican Community Park (1). Two (2)
additional elevators require maintenance beginning on 4/12/2012 (upon warranty
expiration) at the Heritage Park parking garage. The inclusion of the two new elevators
into the current agreement would allow the City to obtain a savings of $271.75/month
beginning on 6/1/2011.
ADDITIONAL INFORMATION:
On September 21, 2006, the City Commission approved Resolution No. 2006-980
ratifying a service agreement with Otis Elevator Company for the maintenance of three
(3) hydraulic elevators. The first addendum to the service agreement included the
elevator at the Pelican Community Park and was adopted via Resolution 2009-1408. The
agreement automatically renewed for five years; however, the City negotiated the
monthly fees to be reduced from $1, 156.75/month to $885.00/month for the existing four
(4) elevators if the City agreed to add the two new elevators to the agreement effective
6/1/2011. An additional $540.00/month will be added once the two (2) elevators at the
Heritage Park parking garage are placed on the maintenance list beginning on 4/1/2012.
