A RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF SUNNY ISLES BEACH, FLORIDA, EXTENDING THE
BUILDING PERMIT ISSUED TO MANSIANA OCEAN
RESIDENCES, LLC.; PROVIDING THE CITY MANAGER AND
THE CITY ATTORNEY WITH THE AUTHORITY TO DO ALL
THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION;
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, Pursuant to a Letter Agreement dated August 26, 2009, Mansiana Ocean
Residences, LLC ("Mansi ana") agreed to pay $607,585.16 to the City for outstanding building
permit fees no later than August 26, 2011; and
WHEREAS, in accordance with an Agreed Court Order issued in a foreclosure action
against Mansiana, Mercantil Commerce Bank, N.A. ("Commerce Bank") provided the City with the
aforementioned payment on behalf of Mansiana; and
WHEREAS, the Agreed Court Order requires the City to extend the building permit issued
to Mansiana for a period ending on August 28, 2013; and
WHEREAS, pursuant to Senate Bill 1752, the City Commission wishes to extend the
building permit issued to Mansiana.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Extending the Building Permit. The City Commission hereby extends the building
permit issued to Mansiana in accordance with time frame set forth in Agreed Court Order, attached
hereto as Exhibit "A" provided that Mansiana or Commerce Bank complies with all the conditions
enumerated in the Agreed Court Order.
Section 2. Authorization of City Manager and the City Attorney. The City Manager and the
City Attorney are hereby authorized to do all things necessary to effectuate this Resolution.
Section 3.
Effective Date. This Resolution shall become effective upon adoption.

c. Upon receipt of the Payment set forth above, the City shall maintain the
status quo of the Development Rights for a period of six (6) months
through February 28, 2012, and the City Attorney agrees to support before
.the City Commission the extension of the Development Rights for an
additional period of twenty four (24) months through August 28, 2013.

d. The City is hereby directed to communicate and negotiate with MCB as to
any and all issues with respect to the Development Rights as if it were the
Property Owner as necessary to protect those rights during the course of.
this litigation.
3. Mansiana shall retain possession of the Property and use its best efforts to
manage, maintain and preserve the Property and its Development Rights, as required by the loan
documents with MCB, and as required by the City and its Code. IfMansiana fails to maintain the

RECOMMENDATION
This Resolution is presented for your consideration.
REASONS
Pursuant to a Letter Agreement dated August 26, 2009, Mansiana agreed to pay $607,585.16 to
the City for outstanding building permit fees no later than August 26, 2011. In accordance with
an Agreed Court Order filed in a foreclosure action against Mansiana, Mercantil Commerce
Bank, N.A. ("Commerce Bank") provided the City with the aforementioned payment on behalf
of Mansiana. The payment was received on or about August 17, 2011.
To facilitate the timely payment for the outstanding building permit fees, the Agreed Court Order
requires the City to extend the building permit issued to Mansiana for a period ending on August
28, 2013. This extension is permitted under state law for unexpired building permits. It is
important to note that the Agreed Court Order requires Mansiana or Commerce Bank to maintain
the property in accordance with the City Code.

REASONS:
Pursuant to a Letter Agreement dated August 26, 2009, Mansiana agreed to pay
$607,585.16 to the City for outstanding building permit fees no later than August 26,
2011. In accordance with an Agreed Court Order, Mercantil Commerce Bank, N.A.
("Commerce Bank") provided the City with the aforementioned payment on behalf of
Mansiana. The payment was received on August 17, 2011.
To facilitate the timely payment for the outstanding development fees, the Court Order
required the City Attorney to support an extension of the building permit for Mansiana
for a period ending on August 28, 2013. This extension is permitted under state law for
unexpired or expired building permits. As a point of information, the Florida Legislature
passed the permit extension law in 2010 to provide relief to development projects during
the real estate meltdown.
