A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, AUTHORIZING THE CITY
MANAGER TO ENTER INTO A MEMORANDUM OF
UNDERSTANDING BETWEEN THE CITY OF SUNNY ISLES
BEACH AND THE TOWN OF SURFSIDE, TO EXPAND THE
REGIONAL LOCAL SHUTTLE BUS PROGRAM IN THE MIAMI-
DADE NORTHEAST AREA, A TT ACHED HERETO AS EXHIBIT
"A"; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS
NECESSARY TO EFFECTUATE THE TERMS OF THE
AGREEMENT; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, in order for individuals to have the opportunity to visit assets from different
municipalities, the City of Sunny Isles Beach and the Town of Surfs ide desire to link the local shuttle
bus programs by connecting at certain points at different times throughout the day; and
WHEREAS, this demonstration project is a collaborative effort among the municipalities
striving to establish and maintain a more efficient regional Shuttle Bus system for residents of
Northeast Miami-Dade County and includes the creation of a Regional Local Shuttle Bus System in
which individuals may ride and transfer to anyone of the City of Sunny Isles Beach or Town of
Surfside's local Shuttle Bus designated points and times; and
. WHEREAS, the City of Sunny Isles Beach and the Town of Surfside are committed to
working collaboratively together to expand the Regional Local Shuttle Bus Program in the Miami-
Dade Northeast Area in which the City of Sunny Isles Beach is already party to with the City of
Aventura and the City of North Miami Beach; and
WHEREAS, the City wishes to enter into a Memorandum of Understanding with the Town
of Surfside to expand the Regional Local Shuttle Bus Program in the Miami-Dade Northeast Area,
for a one-year term, as set forth in Exhibit "A", attached hereto.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Authorization of City Manager. The City Manager is hereby authorized to enter into a
Memorandum of Understanding between the City of Sunny Isles Beach and the Town of Surfs ide to
expand the Regional Local Shuttle Bus Program in the Miami-Dade Northeast Area, for one year,
attached hereto as Exhibit "A".
Section 2. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate the terms of the Agreement.
Section 3.
Effective Date. This Resolution will become effective upon adoption.

MEMORANDUM OF UNDERSTANDING BETWEEN
THE CITY OF SUNNY ISLES BEACH
AND
THE TOWN OF SURFSIDE
Goals of Linking the Local Shuttle Bus Programs
In order for individuals to have the opportunity to visit assets from different municipalities, the City of
Sunny Isles Beach and the Town of Surfside will be connecting at certain points at different times
throughout the day. This demonstration project is a collaborative effort among the municipalities striving
to establish and maintain a more efficient regional Shuttle Bus system for residents of Northeast Miami-
Dade County.
The demonstration project includes the creation of a Regional Local Shuttle Bus System in which
individuals may ride and transfer to anyone of the City of Sunny Isles Beach or Town of Surfside's local
Shuttle Bus designated points and times.
Specifics of the Agreement
The City of Sunny Isles Beach and the Town of Surfside are committed to working collaboratively
together to expand the Regional Local Shuttle Bus Program in the Miami-Dade Northeast Area in which
the City of Sunny Isles Beach is already party to with the City of Aventura and the City of North Miami
Beach. Consistent with this understanding, the City of Sunny Isles Beach and the Town of Surfside agree
to:
1. Designate a staff member who will serve as the Program liaison.
2. Provide and maintain a reliable shuttle service.
3. Work collaboratively to develop a schedule that enhances both Communities' service including
expanded service to outlying communities such as Aventura and Miami Beach.
4. Promote this enhanced service to their respective communities.
5. Efficiently and effectively communicate to designated Program Liaison any service outages to
minimize customer dissatisfaction.
6. Provide exceptional customer service to passengers of both Communities.
7. This agreement shall commence ninety (30) days from execution by both parties of this Agreement
(the "Commencement Date"). This Agreement shall be for a term of one (I) year from
Commencement Date, unless terminated sooner pursuant to paragraph 8 of this Agreement. At the
conclusion of nine (9) months from the Commencement date both parties shall meet to discuss an
extension. Any changes in fees, terms, or conditions shall be accomplished by written amendment to
this Agreement with approval by both parties. Any renewal of this agreement shall be in writing and
executed by both parties.

8. This Agreement may be terminated by either party hereto, without cause, by providing the other party
written notice thereof by certified mail, return receipt requested, or hand delivery, to be effective
forty-five (45) days from receipt of said written notice.
9. Both parties represent and warrant that they, their agents, staff, and consultants employed by them are
protected by worker's compensation insurance and that each party has such coverage under public
liability and property damage insurance policies which both parties deem to be adequate and in line
with other municipalities currently practicing under similar conditions. Certificates for all such
policies of insurance shall be provided to the requesting party upon such request in writing.
10. The parties agree that by execution of this Agreement, no party will be deemed to have waived its
statutory defense of sovereign immunity, or increased its limits of liability as set forth in section
768.28, Florida Statutes. Subject to the provisions of Section 768.28, Florida Statutes, the City of
Sunny Isles Beach shall indemnifY and hold harmless the Town of Surfs ide, its officials and
employees from and against any and all claims, suits, actions, damages or causes of action arising
from damage or injury to persons or property, including costs, attorney's fees, expenses and liabilities
incurred in the defense of any such claims and the investigation thereof, solely arising from the
negligence or alleged negligence of the City of Sunny Isles Beach, including any of its employees,
agents, or officials in connection with this Memorandum of Understanding.
Subject to the provisions of Section 768.28, Florida Statutes, the Town of Surfside shall indemnifY
and hold harmless the City of Sunny Isles Beach, its officials and employees from and against any
and all claims, suits, actions, damages or causes of action arising from damage or injury to persons or
property, including costs, attorney's fees, expenses and liabilities incurred in the defense of any such
claims and the investigation thereof, solely arising from the negligence or alleged negligence of the
Town of Surfs ide, including any of its employees, agents, or officials in connection with this
Memorandum of Understanding.
I I. This Agreement, regardless of where executed, shall be governed by and construed according to the
laws ofthe State of Florida. The venue for any litigation arising out of this Agreement shall be
Miami-Dade County, Florida. The parties hereto acknowledge and agree, for adequate and valuable

Execution of Memorandum of Understanding
The City of Sunny Isles Beach and the Town of Surfside agree to fulfill their roles and responsibilities as
outlined in this Memorandum of Understanding.

Memorandum of Understanding with the Town of Surfside Regarding
Transportation Services
RECOMMENDATION:
It is recommended that the City Commission approve the attached resolution to enter into a
Memorandum of Understanding with the Town of Surfside to Link the Local Shuttle Bus
Program.
REASONS:
The City of Sunny Isles Beach coordinates existing shuttle routes with the City of A ventura and
the City of North Miami Beach to provide a regional shuttle bus program wherein passengers can
have free, convenient access to all the amenities that each of our cities has to offer.
With approval of the attached resolution the service would expand to include a designated stop in
the Town of Surfside and the City of Sunny Isles Beach. This expansion will provide greater
freedom of movement within the municipalities in Northeast Miami-Dade County, enhancing the
services for both cities.
FUNDING SOURCE:
The proposed route is III conjunction with an existing route and will not reqmre additional
funding.
