GPS Fleet Solutions has customers in most major population centers in North America and the Caribbean. We work with enterprise level organizations such as the United States Postal Service, Orange County Florida, Invisible Fence, and Two Men and a Truck, as well as smaller fleet operators. Fleets sizes range from one vehicle to over six thousand vehicles in a single fleet. Our complete line of GPS vehicle tracking systems allows for a consultative approach with potential customers. Most companies with a single system or platform try to convince prospects their system is the one and only system available to meet their requirements. Most educated consumers realize this is rarely the case and appreciate vendors that can recommend less expensive alternatives. We offer both real -time, passive and hybrid systems to meet a variety of customer needs while minimizing monthly service fees. GPS Fleet Solutions supports web based user access as well as client server using SQL SVR. We are a full service provider that handles product testing, sales, installation, project management, technical support and training. We provide onsite training as needed but have developed extensive online training in the form of videos and screencasts to assist our clients and save them money. Our online training has proven to be cost effective and efficient for our customers across North America. Installation will be coordinated at the convenience of the City of Sunny Isles Beach. Exception rule identification and programming will begin immediately and software will be installed a week prior to the vehicle unit installation. In accordance with deployment, GPS Fleet Solutions will put together a Project Implementation Worksheet to be shared with the City of Sunny Isles Beach. We do have customer in other areas such as the Caribbean and Central America. Customer fleet sizes range from a single vehicle to thousands. Our largest customers have over 1,000 vehicles in their fleet and are based in California and Washington D.C. Our largest customer is the United States Postal Service with over 6,500 vehicles scattered across the United States in over 100 locations. Companies such as Valley Crest Industries and Clark Pest Control track over 1,000 vehicles each and cover many markets across the United States. Industry Experience Working with enterprise level fleets has provided great experience and insight on how to manage, train and service a variety of corporate cultures remotely. Managing an enterprise account is not like that of a 30 vehicle fleet. Enterprise organizations want more for their money and rely on partners to guide them to an improved return on investment. This system allows for the alerting and dispatching fire rescue resources. The system is linked wirelessly between dispatch center and each individual fire station thereby eliminating the need for a dedicated telephone company circuit to each station. Mr. Rivero was the lead deployment engineer for the Veterans Medical Center, West Palm Beach communications system upgrade. This project also consisted of the installation and training of the newly installed communications system. Ruben's electronics engineering training developed in the US Army receiving and Honor Graduate certificate being in the top 10% of his class. He is a certified wireless electronics technician through Electronics Technician's Association International, (ETA). This is a Motorola requirement for all authorized Motorola Service Stations. Jean - Michel Noviot, Senior Network Engineer Jean - Michel Noviot is an "A" result driven Sr. Network Engineer with demonstrated success in design, development and deployment of large -scale enterprise systems and staff for various industries. Over 8 years of dedicated experience managing infrastructure, resources and staff in national I.T. departments, with a proven track record of budget management, implementation, team management, and infrastructure design. Mr. Noviot has achieved multiple certifications with a deep understanding of technology, resource and staff management. In addition, Mr. Noviot brings a proven history of engineering systems, with improved functionality and productivity, while meeting critical guidelines. Robert (Bob) Scott, Senior Account Manager and Project Specialist Bob has over 25 years of experience in the communications industry in South Florida, and over 20 years experience as a sales and project specialist with Motorola. He was instrumental in the planning and implementation of multiple city and countywide public safety systems in the tri- county area in south Florida. Approach / Methodology Methodology Equipment The G04 Devices come standard with the following elements: GPS receiver, GPS antenna, wiring harness including engine diagnostics where applicable and the ability to monitor 8 inputs, all applicable connectors, piezo alarm, and driver /accident key reader. With GO Live option there is a cellular modem with antenna for data transmission. Data Collection In the GO Live Series the information is transmitted via the GPRS cellular network using a smart algorithm. This smart algorithm records data based on driving behavior and changes in vehicle behavior i.e. direction, speed, braking. This allows for a very detailed breadcrumb trail of the vehicles activity and can be adjusted according to GSWA's data collection needs. Reporting Capabilities The G04 Device has been designed to meet the needs of fleets large and small. Reports can be run on a single vehicle, a region of vehicles or the entire fleet. A simple report wizard is used to queue the data you select. Checkmate also has the ability to set up an email schedule for any of the reports included or created in the database. Reports are broken down into four main categories: Asset Management, Risk Management, System Reports, and Trips and Activity Reports. Asset Management Go Device reports provide information based on the vehicle; this is used when only one driver operates a vehicle. Go Keys are utilized when a variety of drivers may operate a single vehicle. In this way the driving habits of the driver are tracked by his driver key regardless of the vehicle he is operating. Go Device / Vehicle Details Displays a list of current Go device entries in the system. Based on exceptions created by GSWA reports are drawn to analyze the % of speed ranges, braking habits and other safety factors. Exceptions: Used to view any broken exception rules for your vehicles or drivers. Risk Management: Displays important statistics to help identify potential risk areas within you fleet. System Reports This is a simplified report to aid in troubleshooting and debugging a particular Go Unit. Debug Analysis: Used when troubleshooting issues with a particular Go Unit Trips and Activity These productivity reports have been designed to maximize the use of both your vehicles and drivers. GSWA will have the ability to measure time at specific customer sites. In doing so GSWA may then analyze where and how time is spent on each job. This data can be used to develop a strategy for improving route efficiency and decreasing mileage. GPS Fleet Solutions herein known as the "Company ", retains ownership and title of all equipment until paid in full for equipment and service provided. 2. TERMSAND CONDITIONSOFSALE: It is the Customer's responsibility to verify that all equipment is working properly upon receipt; Customer WAIVES ALL CLAIMS TO DEFECT, DAMAGE, SHORTAGE, OR OTHERWISE UNLESS MADE IN WRITING TO COMPANY WITHIN 10 DAYS OF DELIVERY. Customer agrees to pay all shipping, handling, duties, sales taxes, and customs charges that are not shown on this invoice for shipments outside the USA or to local governments as prescribed by state law. Subscription service fees begin on installation or fourteen (14) days after delivery as described in paragraph 2, whichever comes first. Customer authorizes the Company to automatically charge the credit card supplied by Customer for monthly airtime service and overages as listed on page one when payment by credit card is authorized on initial order. If a Customer is invoiced terms range from Net 15 to Net 30 as indicated on invoice. In the event of early cancellation, Customer agrees to pay the balance of all regular monthly service fees for the remainder of the agreement period listed and overages or $200 per device if in year one of the agreement, $150 if in year two and $100 in year three or more, whichever is greater. After the initial subscription service agreement period, the subscription service will automatically renew for a one year term if written notice of cancellation is not received thirty (30) days prior to the end of the initial subscription service period or the last automatic renewal period end date. It is the Customer's responsibility to provide proof of delivery of cancellation notice. In the event of a disruption of service due to malfunctioning equipment in warranty or communication network issues, subscription service credits may be issued based on the number of units affected, calculated on a daily or hourly basis provided account is current with other invoices. Subscription fees for units not affected remain due. Failing to pay for subscription services due will result in account cancellation, deactivation of units, assessment of early cancellation fees as described and possible legal action. It is the Customers responsibility to notify the Company when issues arise and receive a Support Case number from technical support to verify said notification. Service credits are issued only on the creation of a Support Case and access to the unit or equipment within five (5) business days for troubleshooting with technical support personnel. Delays due to a lack of Customer cooperation or equipment accessibility are not eligible for service credit. Once a unit is cancelled all data is lost, becomes the property of the Company and a $50 reactivation fee will apply per unit. Customer understands that some units cannot be reactivated which will result in a total loss of value. Some equipment requires returning to the manufacturer at the Customer's expense to reactivate. The Company provides no warranty as to which units can be reactivated for any period of time. All unit programming is done by the Company. Changes to the initial unit configuration may require the Customer to pay to uninstall, ship and reprogram units for a $35 per unit programming fee plus shipping and handling fees. Customer agrees that if payment terms are extended there is a 15% APR for late payments calculated daily and a $50 fee per check for insufficient funds. CUSTOMER SUPPORT AND TRAINING: The Company agrees to provide reasonable online installation and training support. Annual support fees will be accessed for Customers using passive technology or support needed above average levels as determined by the Company. 5. DISCLAIMER OF EQUIPMENT WARRANTY & LIMITATION OF LIABILITY.• COMPANY MAKES NO EXPRESS NOR IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF ANY KIND. A $35 bench testing fee will apply if equipment is found not to be faulty on receipt. Customer agrees to make vehicle or equipment available for troubleshooting by the Company's technical support personnel during technical support hours listed in paragraph (4) before returning equipment for repair or replacement. Customer agrees that replacement equipment will not be provided in advance of "malfunctioning" equipment being received by the Company and tested to confirm equipment is faulty and covered by warranty. Customer agrees that all expenses associated with troubleshooting and repair or replacement of equipment is the sole responsibility of the Customer unless agreed to in writing at the time of sale or as part of an extended service plan. Customer agrees to purchase replacement equipment at market value if equipment cannot be repaired and is not covered by warranty to continue subscription service during agreement period. The Company expressly disclaims any duty as an insurer of the equipment, is not responsible to repair or replace any equipment that is damaged through accident, abuse misuse, theft, fire, water, casualty, terrorism, negligent act of Customer or Customer's agents, or act of God. 6. INSTALLATION AND SERVICE WORK WARRANTY., Installation and service work provided directly by the Company includes a workmanship warranty for 60 days from the date of initial installation. The warranty covers defects in equipment and workmanship. Warranty work is to be performed at the original installation location. Travel to additional locations or outside identified working hours will result in additional fees based on the rates at the time of the warranty service. It is the Customers responsibility to make equipment and /or vehicle available during technical support hours listed in paragraph (4) at the Customer's expense. The Company is not responsible for lost wages, business or other Customer expenses incurred to perform warranty work. In the event the Company subcontracts installation or service work to a third party, the Customer agrees that the Company in no situation is liable for an amount greater than the amount paid for services provided by or through the Company and the Company has been paid in full for same services. The Company does not recommend third party installation and service providers and makes no expressed or implied warranty of a third party and is not liable for their actions, business practices or performance. 7. LIMITED RETURN POLICY. The following 10 -day limited return policy applies only to sale of new equipment. Equipment purchased as new and is returned as directed by the Company within 10 calendar days of order, found to be unused (not installed), in original condition, and in original packaging, will be accepted for return with a 15% restocking fee. Shipping and handling fees, installation, activation fees and pro -rated subscription service fees will not be refunded. All returns must be accompanied with a Return Manufacturer Authorization (RMA) issued in writing, eNotice (email) or by fax from the Company and written on the outside of the box and will not be accepted otherwise. 8.
