HomeMy WebLinkAboutReso 2012-1872 RESOLUTION NO. 2012 - 1 to'l ~ A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING THE AWARD OF RFP NO. 12-01-04 TO AND ENTERING INTO AN AGREEMENT WITH GRAPHPLEX SIGNS FOR REMOVAL, FABRICATION AND INSTALLATION OF BEACH ACCESS SIGNS, IN A TOTAL AMOUNT NOT TO EXCEED FIFTEEN THOUSAND TWO HUNDRED EIGHTTY DOLLARS ($15,280.00); AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach is required to replace logos at specific signs and to repair and install new signs throughout the public beach areas and parking lots; and -+- WHEREAS, the City advertised and issued Request for Proposals (RFP) No. 12-01-04 for removal,fabrication -and-installation -of-beach -access - signs, for- which-two -(-2)- responses-were- received; and WHEREAS, the City wishes to enter into an Agreement with GraphPlex Signs to fabricate and install nine (9) "Beach Access" signs in conformity with the specifications outlined in RFP No. 12-01-04; and WHEREAS, GraphPlex Signs is qualified, willing and able to provide the desired services on the terms and conditions set forth; and WHEREAS, the City desires to enter into an Agreement with GraphPlex Signs to provide said services in a total amount not to exceed Fifteen Thousand Two Hundred Eighty Dollars ($15,280.00), attached hereto as Exhibit "A". NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Incorporation of Recitals. The recitals set forth in this Resolution are incorporated herein by reference as if fully set forth herein. Section 2. Award of Bid and Approval of Agreement. The City Commission hereby awards Bid No. 12-01-04 to and approves an Agreement with GraphPlex Signs for removal, fabrication and installation of nine (9) "Beach Access" signs, in a total amount not to exceed Fifteen Thousand Two Hundred Eighty Dollars ($15,280.00), attached hereto as Exhibit "A". Section 3. Authorization of Mayor. The Mayor is hereby authorized to execute said Agreement. R2012- GraphPlex Signs (Bid 12-01-04) Page 1 of2 Section 4. Authorization of City Manager. The City Manager is hereby authorized to do all things necessary to effectuate this Resolution. Section 5. Effective Date. This Resolution will become effective upon adoption. NOW THEREFORE, in consideration of the premises and the mutual covenants herein named, the parties hereto agree as set forth below: 1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreemcnt and made a part of hereof for reference. 2. SERVICES TO BE PERFORMED. Contractor shall perform the required Services in compliance with the terms and conditions of this Agreement. a. Contractor agrees to furnish all labor and materials in a good and workmanlike and professional manner, to perform the work designated in Attachment "A" attached hereto (thc "Work"), which is incorporatcd herein by reference. b. The services described in Attachment "A" shall be performed by Contractor to the full satisfaction of the City. Contractor agrees to immediately inform the City via telephone and in writing of any problems that could cause damage to City property. c. Contractor will require its employees to perfOlID their work in a manner befitting the type and scope of work to be pcrformed. In the event that the Contractor fails to complete performance pursuant to the terms of this contract and City must undertake the completion of performance of serviccs, Contractor agrees to Cl I 12-020 Beach Signs - GRAPHPLEX Page I of 11 (\,,\,,~,() ,j indcmnify the City for all costs incurred with respect to the completion of those services and any damages the ,City may suffer as a result of the failure of performance by Contractor. d. The Contractor shall promptly correct all Work rejected by the City as faulty, dcfcctive, or failing to conform to this Agreement whether observed before or after substantial complction of the Work, and whether or not fabricated, installed or completcd. The Contractor shall bear all costs of correcting such rejected Work. 3. ADDITIONAL SERVICES. If the need for additional work or changes under this Agreement is identificd by Contractor during the course of performing its obligations hereunder, Contractor shall set forth such additional work and the cost thereof in a supplemental work ordcr (a "Supplemental Work Order") and submit such Supplemental Work Order for approval by the City. No such additional work shall be done or paid for without the specific prior written approval of the City. 4. TERM. This Agreement shall begin upon issuance of a notice to proceed by the City Manager or his designee and shall be complete no later than ten (10) weeks thereafter, unless terminated sooner pursuant to paragraph 11 of this Agreement. Any change in fee, terms, or conditions shall be accomplished by written amendment to this Agreement and approval by the City. 5. COMPENSATION. Payment to Contractor for all charges and tasks under this Agreement shall not cxceed a total amount of $15,280.00 (Fiftccn Thousand Two Hundred Eighty Dollars) in accordance with this Agreement and the schedule of charges reflected in Exhibit "A". This fee to the Contractor shall be disbursed on a monthly basis accompanied by itemizcd invoices and under the following conditions: a. Disbursements. There are no reimbursable expenses associated with this contract. b. Payment Schedule. Invoices received for services rendered in conformity with the Agrcement will be sent to the Finance Department for payment. Invoices must reference the contract number assigned hereto. Invoiccs will be paid in accordance with the State of Florida Prompt Payment Act. c. Availability of Funds. The City's performance and obligation to pay under this Agreement is contingent upon an annual appropriation for its purpose by the City Commission. d. Final Invoice. In order for both parties herein to close their books and records, the Contractor will clearly state "final invoice" on thc Contractor's final/last billing to the City. This certifies that all services have been properly performcd and all charges and costs have been invoiced to the City. Since this account will thereupon be closed, any and C1112-020 Beach Signs - GRAPHPLEX Page 2 of 11 c~ ""'J ," . , ..,\ \ ,,. ,;." other additional charges, if not properly included on this fmal invoice arc waived by the Contractor. Contractor shall make no other charges to the City for supplies, labor, taxes, licenses, permits, overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with the prior written approval of the City. If the City disputes any charges on thc invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. Contractor shall not pledge the City's credit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, lien, or any form of indebtedness. The Contractor further warrants and represcnts that it has no obligation or indebtedness that would impair its ability to fulfill the terms of this Agreement. 6. UNDISCLOSED CONDITIONS. In the event that undisclosed conditions arc discovered during the performance of this Agreement, the City shall have the right to cancel this Agreement upon thirty (30) days written notice to Contractor. Upon termination, the City may re-bid the project if the Contractor fails to perform under this Agreement due to the undisclosed conditions. 7. INDEPENDENT CONTRACTOR RELATIONSHIP. The Contractor is an independent Contractor and shall be treated as such for all purposes. Nothing contained in this agreement or any action of the parties shall be construed to constitute or to render the Contractor an employee, partner, agent, shareholder, officer or in any other capacity othcr than as an independent Contractor other than those obligations which have been 01' shall have been undertaken by the City. Contractor shall be responsible for any and all of its own expenses in performing its duties as contemplated under this agreement. The City shall not be responsible for any expense incurred by the Contractor. The City shall have no duty to withhold any Federal income taxes or pay Social Security services and that such obligations shall be that of the Contractor othcr than those set forth in this agreement. Contractor shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its dutics under this agreement. 8. INSURANCE. Contractor shall, at its sole cost and expense, during the period of any work being pcrformed under this Agreement, procure and maintain the following minimum insurance coverage to protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents, sub- Contractors or employees, as indicated below: o Comprehcnsive General liability insurance, including broad fonn contractual liability coverage for all operations, including, but not limited to, contractual, products, and completed operations, personal injury and property damage liability with minimum limits of One Million Dollars ($1,000,000) per occurrence and Two Million Dollars ($2,000,000) aggregate. CI Business Automobile Liability which shall include coverage for all owned, non-owned and hired vehicles for minimWll limits of not less than One Million Dollars ($1,000,000) per occurrence, One Million Dollars ($1,000,000) per accident for bodily injury and Five Hundred Thousand Dollars ($500,000) per accident for property damage. Insurance required of the Contractor shall be primary to, and not contribute with, any insurance or self-insurance maintained by the City. Such insurancc shall not diminish Contractor's indemnification and obligations hereunder. The insurance policy(ics) shall be issued by companies authorized to do business under the laws of the State of Florida and acceptable to the City with a minimum A.M. Best rating of A-Excellent. Before any work under this Agreement is performed, and at any time upon request, Contractor shall furnish to the City certificates of insurance evidencing thc minimum required eoverage and shall be appropriatcly endorsed for contractual liability, with thc City namcd as additional insured. All policies shall contain a waiver of subrogation endorsement. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City's Risk Management Department. All insurance policies and certificates of insurancc shall provide that the policies may not be canceled or altered without thirty (30) days prior written notice to the City. The City reserves the right from time to time to change the insurance coverage and limits of liability required to be maintained by Contractor hereundcr. Contractor shall also require and ensure that each of its sub- Contractors providing services hereunder (if any) procures and maintains, until the completion of the scrvices, insurance of the types and to the limits specified hercin. ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS SECTION MUST BE AI'PROVED IN WRITING BY THE CITY. 9. OWNERSHIP OF DOCUMENTS AND EOUIPMENT. All documents prepared by the Contractor pursuant to this agreement and related services to this agreement arc intended and represented for the ownership of the City only. Any other use by Contractor or other parties shall be approved in writing by the City. Contractor shall deliver to the City for approval and acceptance, and before being eligible for final payment or any amounts due, all documents and materials prepared by, and for, the City under this Agreement. All oral and written information not in the public domain or not previously known, and all information and data obtained, developed or supplied by the City, or at its expense, will be kept confidential by the Contractor and will not be disclosed to any other C1112.020 Beach Signs-GRAPHPLEX Page 4 of 11 ,...... C~"'\ .<:~ \.-~ party, directly or indirectly, without the City's prior written consent, unless required by a lawful order. All drawings, maps, sketches, programs, data base, reports and other data developed or purchased under this Agreement for, or at the City's expense, shall be and remain the City's property and may be reproduced and reused at the discretion of the City. The City and Contractor shall comply with the provisions of Chapter 119, Florida Statutes (Public Records Law). All covenants, agreements, representations and warranties made herein, or otherwise made in writing by any party pursuant hereto, including, but not limited to, any representations made herein relating to disclosure or owncrship of documents, shall survivc the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby. 10. INDEMNIFICATION. Contractor agrees to indemnify, defend and hold harmless, the City, its officers, agents, and employees from, and against any and all claims, actions, liabilities, losses and expenses including, but not limited to, attorney's fees for personal, economic or bodily injury, Wrongful death, loss of or damage to property, at law or in equity, which may arise or may be alleged to have risen from the negligent acts, errors, omissions or other wrongful conduct of the Contractor, agents or other personnel entity acting under Contractor's control in connection with the Contractor's. performance of services pursuant to that agreement and to that extent the Contractor shall pay such claims and losses and shall pay all such costs and judgments which may issue from any lawsuit arising from such claims and losses including wrongful termination or allegations of discrimination or harassment, and shall pay all costs and attorneys' fees expended by the City in defense of such claims and losses including appeals. The parties agrcc that ten percent (10%) of the total compensation is a specific consideration from the City to the Contractor for this indemnity. 11. TERMINATION. a. Termination for Default. If, through any cause within the reasonable control the Contractor shall fail to fulfill in a timely manner or otherwise violate any of the covenants, agreements or stipulations material to this agreement, the City shall have the right to terminate the services then remaining to be performed. Prior to the exercise of its option to terminate for cause, the City shall notify the Contractor of its violation of the particular tcrms of the agreement and grant Contractor ten (10) days to cure such default. If the default remains uncured after ten (10) days the City may terminate this agreement. i. In the event of termination, all fmished and unfinishcd documents, data and other work product prcpared by Contractor (and sub-Contractor[sJ) shall be delivered to the City and the City shall compensate the Contractor for all C1112-020 Beach Signs - GRAPHPLEX PageS of 11 ,"', " '.',' C,:: \':..) ), (".' services satisfactorily performed prior to the date of termination, as provided in Paragraph 5 herein. ii. Notwithstanding the foregoing, the Contractor shall not be relieved of liability to the City for damages sustained by it by virtue of a breach of the agrccment by Contractor and the City may reasonably withhold payments to Contractor for the purposcs of set-off until such time as the exact amount of damages due the City from the Contractor is determined. Iii. After receipt of a Termination Noticc and cxcept as othcrwisc directed by the City, the Contractor shall: I. Stop work on the date and to the extent specified; 2. Terminate and settle all orders and subcontracts relating to the performance of the terminated work; 3. Transfer all work in process, completed work and other materials related to the terminated work to the City; and 4. Continue and complete all parts of that work that have not been terminated. b. Termination for Convenience of Citv. The City may, for its convenience and without cause terminate the services then remaining to be performed provided that the Contractor is given ten (10) days notice. In such an event, the terms of subparagraphs (i) through (iii) above shall apply. c. Termination for Insolvency. The City also reserves the right to terminate the remaining services to be performed in the event the Contractor is placed either in yoluntary or involuntary bankruptcy or makes any assignment for the benefit of creditors. 12. ASSIGNMENTS. TRANSFERS. SUBCONTRACTING. The Contractor shall not subcontract, assign or transfer any work under this agreement without the prior written consent of the City. Should the Contractor subcontract any services under this agreement, it shall be done with continued liability for the Contractor. The Contractor shall remain responsible for services, responsibilities and liabilities of any person or entity acting under Contractor. 13. TIME OF COMI'LETION. The services to be rendered by the Contractor shall be commenced upon issuance of a Notice to Proceed by the City Manager or his designec ClI12-020 Beach Signs- GRAPHPLEX Page 6 of 11 '\ '\"J <: \ .~,) and shall be complctcd no Iatcr than ten (10) weeks thereafter. A reasonablc cxtcnsion of time shall be granted in the event the work of the Contractor is delayed or prevented by the City or by circumstances beyond the reasonable control of the Contractor including weather conditions or acts of God which render the pcrformance of the Contractor's duty impracticablc. 14. AUTHORITY TO PRACTICE. Contractor hereby represcnts and warrants that it has and will continue to maintain all licenses and approvals required to conduct its business and that it will at all times conduct its busincss activities in a reputable manner. Proof of such licenses and approvals shall be submitted to the City prior to commencement of work under this Agrecment. '15. MODIFICATIONS OF WORK. The City reserves the right to make changes in the work, including alterations, reductions or additions thereto. Upon receipt of the City's notification of a contemplated change, the Contractor shall (I) if requested by thc City, provide an cstimatc for the incrcase or dccrcase in cost due to the contcmplatcd change, (2) notify the City of any estimated changc in completion date, and (3) advise the City in writing if the contemplated change shall affect the Contractor's ability to mcct the completion dates or schedules of this Agreement. 16. NOTICES: All notices and other communications required or permitted to be given under this Agreement by cither party to the other shall be in writing and shall be sent (except as otherwise provided herein) (i) by certified or registered mail, first class postage prepaid, return receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized courier service, or (iii) by facsimile with confirnlation receipt (with a copy simultaneously sent by certified or registered mail, first class postage prepaid, return receipt requested or by ovcmight delivery by traditionally recognized courier service), addressed to such party as follows: If to the City: Alan J. ARBITRATION. It is the intention of the parties that whenever possible, if a dispute or controversy arises hereunder then such dispute or controversy shall be settled by arbitration in accordance with the procedures, rules and regulations of the American Arbitration Association. The decision rendered by the Arbitrator shall be final and binding upon the parties and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction. Arbitration shall be held in Miami-Dade County, Florida. The non-prevailing party shall pay all costs of arbitration and attorneys' fees incun'ed by the parties or, if ncither party prcvails on the whole, each party shall be responsible for a portion of the costs of arbitration and their respective attorneys' fees as may be determined by the court on confirmation. 18. CONFIDENTIAL INFORMATION. The Contractor shall not, either during the term of this Agreement or any time for a period of Ten (10) years subscquent to that date upon which the Contractor shall leave the employment of the City for any reason whatsoever, disclose to any person or entity, other than in the discharge of the duties of the Contractor under this Agreement, any information which the City designates in writing as "confidential." As a violation by the Contractor of the provisions of this Section could cause irreparable injury to the City and there is no adequate remedy at law for such violation, the City shall have the right, in addition to any other remedies available to it at law or in equity, to enjoin thc Contractor in a court of equity for violating such provisions. 19. GOVERNING LAW. The validity of this Agreement and the interpretation and performance of all of its terms shall be construed and enforced in accordance with the laws of the State of Florida, without regard to principles of conflict of laws thereof. The location of any action or proceeding commenced under or pursuant to this Agreement shall be in Miami-Dade County, in the State of Florida. 20. AUDIT. The Contractor shall make available to the City or its representative all required financial records associated with the Agreement for a period of three (3) years. 21. NON-DISCRIMINATION. The Contractor agrees to comply with all local and state civil rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VIII of the Civil Rights Act of 1968 as amended, Title I of the Housing and Community Development Act of 1974 as amended, Section 504 ofthc Rchabilitation Act of 1973, the Americans with Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with Executive Order 11248 as amended by Executive Orders 11375 and 12086. The Contractor will not discriminate against any employee or applicant for employment because of race, color, crecd, religion, ancestry, national origin, sex, disability or other handicap, age, marital/family status, or status with regard to public assistance. The Contractor will take affirmative action to insure that all employment practices arc free from such discrimination. Such employment practices include but are not limited to the following: hiring, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff, termination, rates of payor other forms of compensation, and selection for Cl 1 12-020 Beach Signs - GRAPHPLEX Page 8 of 11 -, \.)-. (~:)\> \) training, including apprenticeship. The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the City setting forth the provisions of this non-discrimination clause. The Contractor agrees to comply with any Federal regulations issued pursuant to compliance with Section 504 of the Rehabilitation Act of 1973 (29 U.S.C. 708), which prohibits discrimination against the handicapped in any Federally assisted program. 22. CONFLICT OF INTEREST. The Contractor agrees to adhere to and be governed by the Miami-Dade County Conflict of Interest Ordinance Section 2-11.1, as amended; and by Sunny Isles Beach Ordinance No. 99-82, which are incorporated by reference herein as if fully set forth herein, in connection with the Agreement conditions hcrcundcr. Contractor covenants that it presently has no interest and shall not acquire any interest, direct or indirectly that should conflict in any marmer or dcgree with the performance of the services. 23. PATENTS AND COPYRIGHTS. The Contractor shall pay all royalties and assume all costs arising from the use of any invention, design, process, materials, equipment, product or device in performance of the Work, which is the subject of patent rights or copyrights. Contractor shall, at its own expense, hold harmless, indemnify and defend the City against any claim, suit or proceedings brought against the City which is based upon a claim, whether rightful or otherwise, that the Work, or any part thereof, furnishcd under this Agrcemcnt, constitutes an infringement of any patent or copyright of the United States. The Contractor shall pay all damages, costs and attorney's fees awarded against the City. 24. WARRANTY. The Contractor warrants that the Work including equipment and materials provided shall conform to professional standards of care and practice in effect at the time the Work is performed, be of the highest quality, and be free from all faults, defects or errors. The Contractor further warrants that all equipment and materials provided shall be new. If the Contractor is notified in writing of a fault, deficiency or error in the Work provided within one (I) year, unless a longer period is specified in the solicitation, from completion of the Work, the Contractor shall, at the City's option, either reperform such portions of the Work to correct such fault, defect or error, at no additional cost to the City, or refund to the City, the charge paid by the City, which is attributable to such portions of the faulty, defective or erroneous Work, including the costs for reperformance of the work provided by other Contractors. 25. FORCE MAJEUREIINTERRUPTION. Neither party shall be Iiablc for any failure to perform any of its obligations under this Agreement (except payment obligations) due to unforeseen circumstances or causes beyond the party's reasonable control, including without limitation, acts of God, riot, embargoes, acts of governmental authorities, fire, earthquake, flood, accident, strikes, or inability to secure transmission facilities ("Force Majeure"). 26. ENTIRE AGREEMENT. This Agreement and all terms and conditions specified in RFP No. 12-01-04 which is expressly incorporated hcrein by reference, shall \" l '.\ .,', (., _'\ \.J :,'j ~ C1112-020 Beach Signs - GRAPHPLEX Page 9 of 11 constitute the entire agreement between the parties with respcct to the subject matter hereof, and it shall supersede all previous and contemporaneous oral and writtcn negotiations, commitments, agreemcnts and understanding relating hereto. This Agreemcnt may bc executed in multiple identical counterparts, each of which shall be deemed an original for all purposes. 27. AMENDMENT.. Any modification of this Agreement shall be effective only if in writing and signed by the parties to this Agreement. No waiver of any provision of this Agrcement shall be valid or enforceable unless such waiver is in writing and signed by the party granting such waivcr. 28. MISCELLANEOUS. a. The rights granted to Contractor hereunder are nonexclusive, and the City rcscrves the right to enter into agreements with other persons or finns to perform services including thosc provided hereunder. b. Cohen, City Manager DATE: 3/15/2012 RE: Agreement with Graphplex for removal, fabrication and installation of Beach Access signs -t RECOMMENDATION: Approve the resolution authorizing the contract for new signs REASONS: The City has lost several of its beach access signs and would like to replace them to better guide the general public to these public amenities. RFP 12-01-04 was awarded to Graphplex Signs for the fabrication and installation of 9 signs at a cost of $14,460, which includes permitting fees. Additionally, there are 3 signs that require updating/repair at a cost of $820, bringing the total authorization to $15,280 for the Graphplex contract. ATTACHMENTS: . Resolution .
