A RESOLUTION OF THE HISTORIC PRESERVATION
BOARD OF THE CITY OF SUNNY ISLES BEACH, FLORIDA,
EXPRESSING SUPPORT FOR THE CITY'S EFFORTS TO
ENTER INTO SEPARATE AGREEMENTS WITH SETH H.
BRAMSON AND FRED SINGER TO PRODUCE THE CITY'S
HISTORICAL FILM PRODUCTION ENTITLED "FROM
SANDBAR TO SOPHISTICATION ", ATTACHED HERETO AS
ATTACHMENTS "1" AND "291; PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, the purpose of the City's Historical Preservation Board is to designate,
preserve, protect and maintain historic buildings, areas, sites, artifacts, memorabilia, and promote
public awareness as a source of history and heritage in the City of Sunny Isles Beach, Florida;
and
WHEREAS, the City's Historical Preservation Board previously expressed its support
for the City to produce a historical film of the 88 year history of the City of Sunny Isles Beach,
Florida, via Historical Preservation Resolution No. 2008 -08; and
WHEREAS, this film production will provide a medium to inform residents and the
general public about the City's rich history and culture.
NOW THEREFORE, BE IT RESOLVED BY THE HISTORIC PRESERVATION
BOARD OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Incorporation of Recitals. The foregoing recital paragraphs are hereby ratified
and confirmed as being true and the same are hereby made part of this Resolution.
Section 2. Expression of Support. The Historic Preservation Board hereby expresses its
support for the City to enter into separate agreements with Seth H. Bramson and Fred Singer to
provide introduction and voice over photographs, and production services, respectively, in
connection with the City's historical film production entitled "From Sandbar to Sophistication ",
as more particularly described in Attachments "1" and "2 ", incorporated herein by reference.
Section 3. Effective Date. This Resolution will become effective upon adoption.

CONTRACT NO: C0708 -073
THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement ") is made
in duplicate, this day of , 2008, by and between the City of Sunny Isles
Beach, Florida, (hereinafter referred to as "City "), and Seth H. Bramson, (hereinafter referred to
as "Performer "), whose Federal I.D. is #
WHEREAS, the Performer is a renowned writer and has a vast collection of historical and
contemporary photographic images relating to the City; and
WHEREAS, the City desired to retain the Performer to provide an introduction and voice over
photographs presented during filming of the City's historical film production entitled "From
Sandbar to Sophistication "; and
WHEREAS, the Performer has submitted a proposal to provide said services in an amount not to
exceed One Thousand Five Hundred Dollars ($1,500.00) as more particularly described in the
attached Exhibit "A ", which is attached hereto and made a part hereof; and
WHEREAS, said film will provide a medium to inform residents and the general public about
the City's rich and distinctive culture and history.
NOW THEREFORE, as part of the consideration for this Agreement, the City and Performer
hereby declare and agree to the following:
Recitals. The above recitals are incorporated by reference as if fully set forth herein.
2. Term. The term of this Agreement shall begin upon execution date of this Agreement
and shall terminate upon completion of the Performer's services.
3. Services. The Performer shall provide an introduction and voice over photographs
presented during filming of the City's historical film production entitled "From Sandbar to
Sophistication ", as more particularly described in the attached Exhibit "A ".
4. Compensation. As the entire compensation under this Agreement and during the term of
this Agreement, in whatever capacity rendered, the City shall pay Performer a total fee of One
Thousand Five Hundred Dollars ($1,500.00), to be paid in two (2) increments as follows: (1)
Seven Hundred Fifty Dollars ($750.00) upon execution of this Agreement by both parties and
presentation of an invoice for 50% of the total contract amount (i.e. $750.00); and (2) Seven
Hundred Fifty Dollars ($750.00) upon completion of the services, acceptance by the City, and
presentation of an invoice for 50% of the remaining contract amount (i.e. $750.00). If the City

disputes any charges on the invoices, it may make payment of the uncontested amount and
withhold payment on the contested amounts until they are resolved by agreement between the
parties.
5. Copyright, patent and trademark. Performer agrees that all work performed under this
Agreement shall comply with all applicable patent, trademark and copyright laws, rules,
regulations and codes. The Performer further agrees that the photographs will not utilize any
protected patent, trademark or copyright unless Performer has obtained proper permission and all
releases and other necessary documentation.
6. Independent Contractor. Except as expressly provided for in this Agreement,
Performer is not authorized to act as the City's agent hereunder and shall have no authority,
expressed or implied, to act for or bind the City hereunder in any manner whatsoever.
7. Assignment. The rights of each party under this Agreement are personal to that party
and may not be assigned or transferred to any other person, firm, corporation, or other entity
without the prior express and written consent of the other party.
8. Indemnification. The Performer covenants and agrees to defend, indemnify and hold
harmless the City, its officers, agents, officials and employees, from, for and against any loss,
damage, liability or claim (including without limitation, attorneys' fees and other costs and
expenses incident to any suit, action or other proceeding) arising out of the negligent
performance by Performer of his duties under this Agreement.
9. No Waiver. The failure of either party to this Agreement to insist upon the performance
of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the
terms and conditions of this Agreement, shall not be construed as thereafter waiving any such
terms and conditions, but the same shall continue and remain in full force and effect as if no such
forbearance or waiver had occurred.
10. Governing law. It is agreed that this Agreement shall be governed by, construed, and
enforced in accordance with the laws of the State of Florida. Venue for any legal proceedings
shall be in Miami -Dade County Florida.
11. Arbitration. It is the intention of the parties that whenever possible, if a dispute or
controversy arises hereunder then such dispute or controversy shall be settled by arbitration in
accordance with the procedures, rules and regulations of the American Arbitration Association.
The decision rendered by the Arbitrator shall be final and binding upon the parties and judgment
upon the award rendered by the arbitrator may be entered in any court having jurisdiction.
Arbitration shall be held in Miami -Dade County, Florida. All costs of arbitration and attorneys'
fees incurred by the parties shall be paid by the non - prevailing party or, if neither party prevails
on the whole, each party shall be responsible for a portion of the costs of arbitration and their
respective attorneys' fees as may be determined by the court on confirmation.

12. Partial Invalidity. The invalidity of any portion of this Agreement shall not be deemed
to affect the validity of any other provision. If any provision of this Agreement is held to be
invalid, the parties agree that the remaining provisions shall be deemed to be in full force and
effect as if they had been executed by both parties subsequent to the expunging of the invalid
provision.
13. Entire Agreement. This Agreement shall constitute the entire agreement between the
parties and any prior understanding or representation of any kind preceding the date of this
agreement shall not be binding upon either party except to the extent incorporated in this
agreement.
14. Modification. Any modification of this Agreement or additional obligation assumed by
either party in connection with this agreement shall be binding only if placed in writing and
signed by each party or authorized representative of each party.
15. Notices. All notices and communications hereunder shall be in writing and shall be
deemed given when sent postage prepaid by registered or certified mail, return receipt requested
and, if intended for City to A. John Szerlag, City Manager, with a copy to Hans Ottinot, City
Attorney, City of Sunny Isles Beach, 18070 Collins Avenue, Fourth Floor, Sunny Isles Beach,
Florida 33160, and if intended for Performer, shall be addressed to Seth H. Bramson, 330 N.E.

16. Conflicting provisions. The terms and conditions in this Agreement supersede any other
conflicting provisions that are contained in any other documents.

WHEREAS, the City desires to retain the services of Producer to film the City's historical film
production entitled "From Sandbar to Sophistication ", and
WHEREAS, the Producer has submitted a proposal to provide said services in an amount not to
exceed Four Thousand Seven Hundred Fifty Dollars ($4,750.00) as more particularly described
in the attached Exhibit "A ", which is attached hereto and made a part hereof, and
WHEREAS, said film will provide a medium to inform residents and the general public about
the City's rich and distinctive history and culture.
NOW THEREFORE, as part of the consideration for this Agreement, the City and Performer
hereby declare and agree to the following:

this Agreement, in whatever capacity rendered, the City shall pay Producer a total fee of Four
Thousand Seven Hundred Fifty Dollars ($4,750.00), to be paid in two (2) increments as follows:
(1) Two Thousand Three Hundred Seventy Fifty Dollars ($2,375.00) upon execution of this
Agreement by both parties and presentation of an invoice for 50% of the total contract amount
(i.e. $2,375.00); and (2) Two Thousand Three Hundred Seventy Fifty Dollars ($2,375.00) upon
completion of services, acceptance by the City, and presentation of an invoice for 50% of the
remaining contract amount (i.e. $2,375.00). If the City disputes any charges on the invoices, it
may make payment of the uncontested amount and withhold payment on the contested amounts
until they are resolved by Agreement between the parties.

THIS AGREEMENT, is entered into this ,'&day of So 1 2006, by and between
the CITY OF SUNNY ISLES BEACH, a Florida municipal c rporation, located at 18070
Collins Avenue, Sunny Isles Beach, Florida 33160 (hereinafter referred to as "City ") and SETH
H. BRAMSON, an individual, residing at 330 N.E. 961h Street, Miami Shores, Florida 33138
(hereinafter referred to as "Author ").
WHEREAS, the City desires to retain a writer to create a book which will capture the
City's history and provide a medium to inform residents and the general public about the City's
rich and distinctive culture; and
WHEREAS, the Author is a renowned writer and has a collection of historical and
contemporary photographic images and artifacts relating to the City of Sunny Isles Beach and
has expressed the desire and ability to produce a book which will be titled From Sandbar to
Sophistication: The Story of Sunny Isles Beach (hereinafter referred as the "Book "); and
WHEREAS, the Author has accepted a publication schedule from his publisher, The
History Press ( "Publisher "), to deliver a final draft of the Book to the Publisher on or before
October 31, 2006, as evidenced in the agreement between the Author and the Publisher, which is
attached hereto and referenced as Exhibit "A ", and incorporated and made a part of this
Agreement; and
WHEREAS, the City has entered into a Purchase and Sale Agreement with Publisher,
whereby the City will purchase 1,000 copies of the Book at a discounted price of Ten Dollars
and Fifty -six Cents ($10.56), prior to the scheduled release of the Book on or before April, 2007,
which is attached hereto and referenced as Exhibit "B ", and incorporated and made a part of this
Agreement; and
NOW THEREFORE, as part of the consideration for this Agreement the City and the
Author hereby declare and agree to the following:
Recitals. The above recitals are incorporated herein as if fully set forth.
2. Term. The term of this Agreement is for the specific purpose of writing a Book entitled
From Sandbar to Sophistication: The Story of Sunny Isles Beach and shall terminate upon
completion of the Book release and signings, unless terminated sooner in writing by the parties
pursuant to paragraph 11.
3. Author's Obligations. The Author shall perform the following Services:
(a) Provide the City, for its review and comments, a copy of the final draft of the
Book, inclusive of all illustrations, prior to submittal to the publisher; and
(b) Use photographs from Author's personal collection of vintage and contemporary
photographs and images and other artifacts, as well as those submitted by the
City's Historian; and

(c) Provide a completed draft of the Book and a minimum of One Hundred (100)
photographs of Sunny Isles Beach to the Publisher by October 31, 2006. The
Author shall coordinate and solicit comments from the City Historian regarding
the selection of the 100 photographs to be submitted to the Publisher, however,
the Author shall have artistic freedom to make final selections.
(d) Assist the City in organizing a public Book release and signing(s) at mutually
agreed to locations. City shall coordinate the scheduling of the Book release and
signing events with the Author. The Author shall make himself available but will
not be compensated for his appearance(s).
(e) The Book shall be a minimum of 6.5" x 9 ", with no less than 128 interior pages,
and shall be divided into 6 or more chapters.
(f) The Book shall have a soft color cover with interior pages in black and white
print, inclusive of illustrations.
(g) The Book's title shall be From Sandbar to Sophistication: The Story of Sunny
Isles Beach, unless amended by mutual consent of the parties.
4. City's Obligations.
(a) Coordinate with the Author the delivery of photographs to Publisher.
(b) Purchase a minimum of One Thousand (1,000) Books from the Publisher at a
52% discount off the retail price of Twenty -one Dollars and Ninety -nine Cents
($21.99). The City will pay a total of Ten Dollars and Fifty -six Cents ($10.56) per
Book for a total cost of Ten Thousand Five Hundred and Sixty Dollars
($10,560.00) for 1,000 copies.
(c) Pay for the cost of shipping and handling of this purchase to one location of the
City's election using UPS or other comparable carrier at a cost not to exceed Four
Hundred and Twenty Dollars ($420.00).
(d) Pay for the cost of reproducing all photographs selected by the Author to be
submitted to the Publisher.
5. Compensation.
(a) As the entire compensation under this Agreement and during the terms of this
Agreement, in whatever capacity rendered, the City shall pay Author a total fee of

Three Thousand Five Hundred Dollars ($3,500), to be paid in three (3) increments
as follows: One Thousand Dollars ($1,000) as a retainer fee upon execution of the
contract, One Thousand Dollars ($1,000) upon the Author's delivery of the final

(b) Payment of said compensation shall be made upon receipt of proper invoice from
the Author. If the City disputes any charges on the invoices, it may make
payment of the uncontested amount and withhold payment on the contested
amounts until they are resolved by agreement between the parties.
6. Copyright, Patent, Trademark.
(a) Author agrees that all work performed under this Agreement shall comply with all
applicable patent, trademark and copyright laws, rules, regulations and codes.
The Author further agrees that the book will not utilize any protected patent,
trademark or copyright unless Author has obtained proper permission and all
releases and other necessary documents.
(b) If the Author uses any protected material, process or procedure, the Author shall
disclose such patent, trademark or copyright in the Book.
7. Independent Contractor. Except as expressly provided for in this Agreement, Author is
not authorized to act as the City's Agent hereunder and shall have no authority, expressed or
implied, to act for or bind the City hereunder, either in Author's relations with sub - Consultants,
or in any other manner whatsoever.
8. Use of City Seal. Author shall not use the name or official seal of the City in any
promotional material without the prior written consent of the City.
9. Assignment. The rights of each party under this Agreement are personal to that party and
may not be assigned or transferred to any other person, firm, corporation, or other entity without
the prior, expressed, and written consent of the other party.
10. Indemnification. Author shall indemnify the City from all claims due to the negligence
of Author's employees, principals, and agents.
11. Termination. Each Party shall have the right to cancel this Agreement, at any time
during the term hereof, upon thirty (30) days written notice to the other. Payment will be made
only for actual services performed.
12. Governing Law. It is agreed that this Agreement shall be governed by and construed and
enforced in accordance with the laws of the State of Florida.

13. Attorneys' Fees. If any action is filed in relation to this Agreement, including Appellate
proceedings, the unsuccessful party in the action shall pay to the successful party all sums that
either party may be called upon to pay, including the successful party's attorney' fees and costs.
14. Partial Invalidity. The invalidity of any portion of this Agreement shall not be deemed
to affect the validity of any other provision. If any provision of this Agreement is held to be
invalid, the parties agree that the remaining provisions shall be deemed to be in full force and
effect, if they have been executed by both parties subsequent to the expungement of the invalid
provision.
15. Entire Agreement. This Agreement shall constitute the entire Agreement between the
parties and any prior understanding or representation of any kind preceding the date of this
Agreement shall not be binding upon either party except to the extent incorporated in this
Agreement.
16. Modification. Any modification of this Agreement or additional obligations assumed by
either party in connection with Agreement shall be binding only if placed in writing and signed
by each party or an authorized representative of each party.

`HIS AGREEMENT (hereinafter referred to as the "Agreement ") is made in triplicate, this

(hereinafter referred to as "Consultant "), whose Social Security Number is XXX -XX -2647.
WHEREAS, Consultant is a qualified video production consultant qualified to do business in
Florida; and
WHEREAS, the City desires to contract with Consultant to provide the services described in
Scope of Work attached hereto as Attachment "A ", and for the consideration hereinafter named,
Consultant covenants and agrees with the City as follows:
1. Services. Consultant shall provide all labor, supervision, materials, supplies and equipment, to
perform Marketing video services as more particularly described in Attachment "A" attached hereto
and made a pant hereof. This Agreement establishes the scope of services, specifications and
performance standards to be performed, as incorporated herein, and firm prices in accordance with the
Consultant's quotation dated January 30, 2007.
2. Compensation. The total contract price for these services is Twenty -Four Thousand Five
Hundred Dollars ($24,500.00), payable to Fred L. Singer as follows: one -third upon execution of the
contract ($8,166.00), one -third upon completion of the principal videography ($8,166.00), and the
balance due upon the approval by the City of the final edited version of the production ($8,168.00).
3. Relation to Parties. It is understood and agreed that nothing contained in this Agreement
shall be deemed to create a partnership, joint venture, other association, or an employer /employee
relationship between the Consultant and the City. Consultant shall be in the relation of an independent
Consultant and is to have entire charge, control and supervision of the work to be performed
hereunder. The Consultant does not have the power to bind the City in any promise, agreement or
representation other than as provided for in this Agreement
4. Waiver of Liability /Indemnity. The City shall not in any way be answerable or accountable
for any violations of applicable laws or for any injury, loss or damage arising from the negligence or
omission of Consultant or any one of its employees, Consultants or agents. Consultant hereby agrees
to indemnify, defend and hold harmless the City from and against any claim, loss, damage, liability,
cost or expense, including attorneys' fees, whether or not due to or caused in whole or in part by City
or its employees, arising out of (i) the performance or breach by the Consultant of its obligations under

this Agreement. Consultant hereby irrevocably waives any right and agrees not to file any mechanic's
or materialman's lien against the interest of the owner of the property.
5. Assignment. The rights of each party under this Agreement are personal to that party and may
not be assigned or transferred to any other person, firm, corporation, or other entity without the prior,
expressed, and written consent of the other party.
6. Term. This Contract shall commence upon execution, and expire upon the completion of the
services described in Attachment "A." This contract may be renewed, upon mutual consent of both
parties. Any renewal of this Contract shall be subject to appropriation of funds by the City
Commission.
7. Termination. This Agreement may be cancelled by the City, with or without cause, upon
thirty (30) days written notice to Consultant. This Contract shall be subject to immediate termination
if the services do not comply with the specifications stated herein or fail to meet the City's
performance standards.
8. Notices. All notices and other communications required or permitted to be given under this
Agreement by either party to the other shall be in writing and shall be sent (except as otherwise
provided herein) (i) by certified or registered mail, first class postage prepaid, return receipt requested,
(ii) by guaranteed overnight delivery by a nationally recognized courier service, or (iii) by facsimile
with confirmation receipt (with a copy simultaneously sent by certified or registered mail, first class
postage prepaid, return receipt requested or by overnight delivery by traditionally recognized courier
service), addressed to such party as follows: if to the City to the attention of A. John Szerlag, City
Manager, with a copy to Hans Ottinot, City Attorney, at City of Sunny Isles Beach, 18070 Collins
Avenue, Sunny Isles Beach, Florida 33160, and to Consultant at Coronado Productions, 9240 West
Bay Harbor Drive, Suite 3 -C, Bay Harbor Islands, FL 33154, Attention: Fred L. Singer,
Producer /Director.
9. Governing Law. The validity of this Agreement and the interpretation and performance of all
of its terms shall be construed and enforced in accordance with the laws of the State of Florida, without
regard to principles of conflict of laws thereof. The location of any action or proceeding commenced
under or pursuant to this Agreement shall be in Miami -Dade County, in the State of Florida.
10. Attorney's Fees. If this matter is placed in the hands of an attorney for collection, or in the
event suit or action is instituted to enforce any of the terms or conditions of this agreement, the losing
party shall pay to the prevailing party, in such suit or action in both trial court and appellate court,
together with reasonable attorney's fees for the anticipated cost of collection and judgment
enforcement.

11. Miscellaneous. In the event any provision of this Agreement is found to be void and
unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall
nevertheless be binding upon the parties with the same effect as though the void or unenforceable
provisions had been severed and deleted. This Agreement may be executed in multiple identical
counterparts, each of which shall be deemed an original for all purposes. This Agreement shall
constitute the entire agreement between the parties with respect to the subject matter hereof, and it
shall supersede all previous and contemporaneous oral and written negotiations, commitments,
agreements and understanding relating hereto. Any modification of this Agreement shall be effective
only if in writing and signed by the parties to this Agreement. No waiver of any provision of this
Agreement shall be valid or enforceable unless such waiver is in writing and signed by the parting
granting such waiver.
12. Ownership of Documents: The parties agree that all documentation and work product
produced pursuant to this Agreement shall become the exclusive property of the City and shall be
provided to the City upon request. Contractor shall not release any copy of this video or work product,
whether edited or unedited, to any third party without the prior written consent of the City.
13. Conflicting Provisions. The terms and conditions in this agreement supersede any other
conflicting provisions that are contained in any other document.

WHEREAS, the Performer is a renowned writer and has a vast collection of historical and
contemporary photographic images relating to the City; and
WHEREAS, the City desired to retain the Performer to provide an introduction and voice over
photographs presented during filming of the City's historical film production entitled "From
Sandbar to Sophistication"; and
WHEREAS, the Performer has submitted a proposal to provide said services in an amount not to
exceed One Thousand Five Hundred Dollars ($1,500.00) as more particularly described in the
attached Exhibit "A", which is attached hereto and made a part hereof; and
WHEREAS, said film will provide a medium to inform residents and the general public about
the City's rich and distinctive culture and history.
NOW THEREFORE, as part of the consideration for this Agreement, the City and Performer
hereby declare and agree to the following:
1. Recitals. The above recitals are incorporated by reference as if fully set forth herein.
2. Term. The term of this Agreement shall begin upon execution date of this Agreement
and shall terminate upon completion of the Performer's services.
3. Services. The Performer shall provide an introduction and voice over photographs
presented during filming of the City's historical film production entitled "From Sandbar to
Sophistication", as more particularly described in the attached Exhibit"A".
4. Compensation. As the entire compensation under this Agreement and during the term of
this Agreement, in whatever capacity rendered, the City shall pay Performer a total fee of One
Thousand Five Hundred Dollars ($1,500.00), to be paid in two (2) increments as follows: (1)
Seven Hundred Fifty Dollars ($750.00) upon execution of this Agreement by both parties and
presentation of an invoice for 50% of the total contract amount (i.e. $750.00); and (2) Seven
Hundred Fifty Dollars ($750.00) upon completion of the services, acceptance by the City, and
presentation of an invoice for 50% of the remaining contract amount (i.e. $750.00). If the City

damage, liability or claim (including without limitation, attorneys' fees and other costs and
expenses incident to any suit, action or other proceeding) arising out of the negligent
performance by Performer of his duties under this Agreement.
9. No Waiver. The failure of either party to this Agreement to insist upon the performance
of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the
terms and conditions of this Agreement, shall not be construed as thereafter waiving any such
terms and conditions, but the same shall continue and remain in full force and effect as if no such
forbearance or waiver had occurred.
10. Governing law. It is agreed that this Agreement shall be governed by, construed, and
enforced in accordance with the laws of the State of Florida. Venue for any legal proceedings
shall be in Miami-Dade County Florida.
11. Arbitration. It is the intention of the parties that whenever possible, if a dispute or
controversy arises hereunder then such dispute or controversy shall be settled by arbitration in
accordance with the procedures, rules and regulations of the American Arbitration Association.
The decision rendered by the Arbitrator shall be final and binding upon the parties and judgment
upon the award rendered by the arbitrator may be entered in any court having jurisdiction.
Arbitration shall be held in Miami-Dade County, Florida. All costs of arbitration and attorneys'
fees incurred by the parties shall be paid by the non-prevailing party or, if neither party prevails
on the whole, each party shall be responsible for a portion of the costs of arbitration and their
respective attorneys' fees as may be determined by the court on confirmation.
