Aware Digital is submitting this RFP without any collusion with any other person or entity related to this RFP. Aware Digital, Inc., is a dynamic Florida-based corporation with offices in Miramar, FL and serving customers in and around Florida, the United States, as well as internationally. Aware Digital has been doing business in the surveillance and wireless technology marketplace for over eight (8) years and has been growing significantly each year since inception. The company was founded in 2003 by Joshua Mann, with the sole purpose of bringing the highest level of personalized service, cutting-edge technology and commitment to excellence to an industry that has not been known for these qualities. Aware Digital is a fully licensed and insured vendor holding state licenses for Certified Alarm System Contractor I, Number EF20000784 and Slot Machine Business Number 7927542. In addition Aware Digital holds multiple state and federal contracts. Aware Digital also maintains over 10 full time employees who hold MOT certification with the State of Florida. Aware Digital, Inc. employs dedicated professionals in a full-time capacity to provide our customers with a complete range of system integration, engineering, software development, design, consulting and support services. The majority of our customers run operations on a 24/7 basis, from state regulated casinos to government datacenters, police departments and special law enforcement task forces, our customers rely on the fact that we can provide dedicated around the clock support, along with on-site technical and physical labor for all of our deployed solutions. Aware Digital prides itself on being a subject matter expert in the areas of designing License Plate Recognition, IP video surveillance, digital video management platforms, wireless backhaul systems, networks and related technologies. Aware Digital employees come from a wide range of backgrounds including, construction, IT, law enforcement and homeland security. Aware Digital maintains all products for solutions it provides in stock along with replacement equipment and fully staffed testing and engineering labs. With the ability to simulate and resolve issues on a 24/7 basis, Aware Digital sets itself apart from typical competitors who only resell products without fully stocking and supporting them. In 2012, Aware Digital, Inc. was awarded a competitively bid contract by the City of Tampa to provide the design, installation and maintenance for its entire high definition wireless surveillance system for use for the Republican National Convention. This project included over 130 cameras, portable trailers, and a comprehensive wireless network. The project totaled $2M in size and was fully bonded. Aware Digital, delivered this project on time and on budget for the City of Tampa and the agencies they were supporting for this large event. 0 Aware Digital Inc. Request for Proposal No. 12-09-01 Page 4 of 29 In June 2011, Aware Digital, Inc. was awarded a competitively bid contract by the City of Boca Raton for the complete design, installation and support of a multi-location wireless access system throughout the downtown area. This contract is currently in process and will be installed and completed in 2011. In mid-2010, Aware Digital was awarded a competitively bid contract with the United States Army Intelligence and Security Command (INSCOM) to design and build a complete end-to- end secure IP video solution for all interrogations operations in multiple locations worldwide for the Department of Defense under Congressional mandate. This system was designed, built and successfully deployed by Aware Digital and provides a solution for the collection of audio, video and required metadata in a secure digital format for real-time analysis as well as long term archiving. The project also includes a large scale data archive installed for the customer to house all digital data. The project has become an official Army program of record. In January of 2009, Aware Digital, Inc., was awarded a (5) five-year contract with Miami Dade County to supply digital video surveillance products and services to all departments. This contract has been used by over 7 different agencies such as the Miami Dade Police Department for procurements of IP video, wireless, backhaul and digital video camera systems similar to those specified in this RFP. Over 300 cameras have been installed for the Miami Dade Police Department under this contract. ® In 2009 Aware Digital was awarded a competitively bid contract for one of the nation's largest License Plate Recognition (LPR) and wireless camera projects to date by the City of Doral, FL. This project will incorporate over 150 LPR camera systems, covering virtually every entrance and exit to the City. These cameras will capture and process every license plate of every car entering the City and compare them in real-time to the FDLE NCIC/FCIC database as well as the City's own internal hotlists. In addition high definition IP cameras are being installed covering City intersections and many schools. This system was designed and is being installed by Aware Digital on a comprehensive, high bandwidth City wide wireless network. This project was awarded at over $2M and will continue to grow over time. The project is currently underway. In 2007, Aware Digital, Inc. was awarded a competitively bid contract by the City of Hallandale Beach for the complete design, installation and support of a multi-location IP video surveillance system. This contract has resulted in over 140 cameras at 16 locations throughout the City of Hallandale Beach using Fiber, wireless and other technologies, and the number of cameras continues to grow. This particular contract has been piggy backed by multiple agencies for similar projects. Aware Digital, Inc has also been awarded competitively bid contracts with the City of Dania Beach, Miami Dade Housing Agency and the South Florida Regional Transit Authority among other entities for IP video surveillance and wireless systems. In reference to projects of scale, Aware Digital, Inc. has installed some of the largest single and multi-location IP surveillance projects in Florida. Aware Digital Inc. Events include the 2012 Republican National Convention, Superbowl and Probowl, National Conference of Mayors, Nascar Championship, Wings Over Homestead (USAF). Aware Digital is a local expert partner with extensive experience and a proven track record in deploying municipal IP Video, wireless and LPR solutions. Project Overview Aware Digital, Inc. is proud to have the opportunity to submit this proposal for Automated License Plate Recognition Reader system (ALPR) to the City of Sunny Isles Beach. Aware Digital is currently servicing the City of Doral, Miami Dade County Police Department, Port of Miami, City of Orlando, and will shortly be delivering LPR systems to the City of Miami Beach. In addition, Aware Digital's VX LPR software platform was selected by the Miami Dade Police Department to serve as its County Wide LPR data server. This server is operational and will be servicing multiple agencies throughout Dade County. The server will allow optional LPR data sharing between municipalities and the county, and allow plate scans, alerts, bolos and lookups to happen across cameras throughout the county, instead of being limited to the individual municipality. Aware Digital has designed an ALPR system that will capture all vehicle ingress and egress activity at the three (3) access points to the city. This will enhance security for the residents of the city by continuously monitoring the vehicles entering and leaving the only three ingress / egress points to the city with the use of the ALPR system. As per the RFP request, Aware Digital's engineers reviewed the following 11 intersections and designed the most cost effective plan to capture all vehicle tags entering and leaving the city; o Collins Ave and 192 St —West off Ramp o 192 St to Collins — Northbound Merge o Collins Ave off ramp — Southbound o Collins to 192 Ave exit ramp o N. Aware Digital, Inc. is the only contractor currently authorized to install LPR cameras onto Miami Dade County Traffic signals. This design is being used currently in the largest project of its kind in the City of Doral, where over 100 LPR fixed cameras will be installed at 17 intersections. All of these are installed on county traffic signals and are fully permitted. In order to mount these cameras onto the county traffic signals, certain requirements must be met. These requirements include rewiring of the traffic signal power subsystems, wind load analysis and use of FDOT and county approved equipment and mounting hardware. Aware Digital has already installed this equipment meeting all requirements, as well as all permit requirements. This known working configuration will allow Aware Digital, Inc. to quickly and efficiently deploy a city for Sunny Isles beach, avoiding long and costly approval times for use of county infrastructure. Please find attached a letter from Miami Dade County in reference to this solution. The system proposed for the City of Sunny Isles is based upon Aware Digital's industry leading back office software called VXLPR Enterprise. This platform is a comprehensive web based platform that can interface with multiple LPR camera vendors and 3rd party systems, such as CAD, Dispatch and Common Operating Picture systems. This system will be installed at the head-end at the City of Sunny Isles beach, on a redundant and high speed server. This will be the location where all the hot lists are downloaded and the server that hosts the customers list. Each intersection proposed will have the fixed LPR cameras installed, as well as an outdoor rugged computer, enclosure and wireless communications equipment. The wireless design is based on a hybrid cellular/wireless architecture. Each "main" location will include a cellular router and aircard with 1 year of service already pre- paid. Each of these poles will be wireless connected using point to point wireless (no recurring cost) to the closet secondary poles. Thus reducing the number of computers and routers required. Each pole will be a county traffic pole and have the power cables pulled and terminated for the LPR system. All of the camera angles have been analyzed by Aware Digital staff and are represented on the attached camera and wireless plan. All camera angles have been associated with the corresponding cameras required to achieve the lane coverage and capture rates. Two different camera models are proposed, to achieve all of the required angles and fields of view. Their datasheets are attached to this proposal. Aware Digital Inc. Request for Proposal No. 12-09-01 Page 7 of 29 As per section 2.11, Accident Prevention and Barricades, during the month of September, 2012, Aware Digital trained and certified its field crews in MOT training in which personnel was certified in the use of traffic control at construction sites to include the proper use of barricades, cones, and traffic control and accident prevention at construction sites. In additional to full time MOT trained personnel, Aware Digital also maintains 2 bucket trucks, MOT road signs, arrow boards and all required equipment. RFP Requirements Conformance and Item-by-item disclosure 1) System shall be capable of reading license plates from all cameras simultaneously. Vendor will provide all necessary software, equipment and infrastructure to monitor vehicle traffic. Meets: The proposed system VXLPR Enterprise operates in a multi-threaded fashion, the collection of plates from each collection computer is sent to a multi- threaded high performance web service running on the central server, this allows all inbound plates to be collected simultaneously. As an example in the City of Doral, the system process incoming plates from over 90 simultaneously lanes and can expand to hundreds as needed. In addition, each remote capture computer that handles multiple lanes, stores its own backup copy of the data, were it to lose `rr connection to the central server, the data is cached and retransmitted when the connection is re-established. 2) System shall be capable of simultaneously reading images from all camera combination of color and infra red cameras. It is envisaged that a combination of camera types, will be required to capture plates that are not visible to IR cameras through oxidation, plate covers or criminal counter-measures. Exceeds: The VXLPR system in conjunction with the Vigilant Video Raptor LPR cameras captures a color overview image and an infrared image for every car that passes the camera. If the plate cannot be read by the OCR engine, the system provides the unique feature of a "missing plate" scan. This scan can create an alert to an operator, that a plate went by the camera but could NOT be read. This feature is unique to the system and provides a way for criminal activity to be spotted quickly. In a sample scenario, if a white cargo van were to enter the city at 2am but have the plate covered, the system would be able to alert that a car went by but could not read the plate, generating a "missing plate" alert and causing an operator to take a look at that situation. Many other LPR systems would just have a misread or "no read" that would not generate an alert for action to be taken. Additionally, the VXLPR system supports an optional integration with CCTV cameras, so that overview video Aware Digital Inc. Request for Proposal No. 12-09-01 Page 8 of 29 recorded from an intersection can be linked and played back when doing plate searches. Providing additional information about the plate alert. This is currently deployed in the City of Doral's LPR system. 3) System shall have the ability to accurately read Florida license plates from a mounted position of 36+ feet off the centerline of the target lane with an overall read angle range in excess of 65 feet. Meets/Exceeds: Aware Digital is proposing a number of different cameras for the most optimal configuration of the system. For camera shots requiring under 60ft distance and for mounting directly on the Miami Dade County Traffic Signals, we are recommending the Vigilant Video Raptor 2 mini camera. This cameras had been updated by Aware Digital with custom firmware optimized for the Florida market and is currently capturing hundreds of thousands of plates per day in cities like Doral, Orlando and others. For camera angles requiring a longer distance than the 60ft, Aware digital is proposing the Bosch DINION capture 7000 series camera. This camera can achieve distances up to 90 feet, with an optimal distance of 70 feet, farther than the required target distance. See attached datasheet for more information. 4) System shall provide ability to process or match the captured license plate numbers against a variety of target databases containing vehicles of interest (i.e. stolen, wanted, amber alerts, terrorist, suspicious, general broadcast, sex offender, etc.). Meets/Exceeds: The VXLPR system matches plates in real-time, not from a cached database. Every plate scan that occurs is sent back to the main system in real-time and a response is created immediately. This configuration allows for every plate scan to be run against the absolute most current data on the server. In addition the lists can be cached on the remote capture computers, so that matching can still occur if there is network loss. The VXLPR system supports an unlimited number of user definable "hot lists", "categories" and automated list importers. This includes state provided lists (FCIC, NCIC, Sanctioned Drivers, Expired Tags, and any future FDLE provided lists), customer imported lists and any other data entered into the system. All in real-time for all cameras and lanes. 5) System shall provide the ability to both audibly and visually alert the dispatch center and the patrol officer(s) when a particular type of match or hit occurs via interface with the current standard computer in the patrol vehicle. Provide additional data an overall context of the scanned vehicles rather than just the Aware Digital Inc. Request for Proposal No. 12-09-01 Page 9 of 29 license plate, enabling quick recognition of the matched vehicle by an officer or. as well as additional data for further analysis at a later time. Meets: The system provides multiple alert options. Audible computer sound playback, popup window notification, email and sms alerts. The popup alerts work within the web interface as well as the optional computer tray-tool application (provided free of cost). Each alert message or popup provides the color overview image, the it image, the plate data detected, the database, category and all information from the record of the hit (including any stop or instructions entered on the police department's custom lists) or any BOLO or other information from 3rd party agencies. The alert also includes a map showing the plate hit's location. All alerts are "stacked" so that if a second alert comes in while the officer is viewing the first alert, they will not miss the 2nd alert. The system also allows alerts to be required to be acknowledged and can require user data to be input (information such as old record in FCIC or out of state tag). This data can then be searched and reported on as necessary. 6) System shall interpret and report only one license plate per scanned plate. Systems that provide multiple responses for each read, to try and achieve a suitable level of accuracy, will not be considered. Meets: The system only reports a single plate record for each scan. 7) System shall have the ability to process or upload additional remote databases not stored on the on-board unit, such as daily updates due to amber alerts, terrorist alerts, general broadcast, newly stolen, or other critical or spontaneous vehicles of interest. Meets/Exceeds: The system provides the ability to allow all plates to be analyzed in real-time against the databases on the server or the on-board unit. In addition the system supports an unlimited number of customer created automation lists, which allow lists to be access via FTP site, file shares or outside webservices links. Users with list management permissions can also upload list file directly from the system management portal. The system natively supports all FDLE files for automated download (FCIC, NCIC, Sanctioned Driver, Expired Tag). This also includes all categorization updates from FDLE and NCIC. Aware Digital Inc. Request for Proposal No. 12-09-01 Page 10 of 29 8) System shall provide the capability to setup multiple layers of security and configuration so that certain matches (i.e. certain covert operations databases) may alert only those officers with appropriate privileges. Meets: The system provides an intuitive web based user management portal that allows for the creation of an unlimited number of users. In addition the alerts and camera system are also permissionable. Certain cameras can be configured to only alert certain users or global users. The system was designed for forensic analysis and covert usage. Custom plate alerts can be entered by system users that will ONLY alert the user(s) that entered those plates and not provide global plate alerts, hence not notifying dispatch, if the plate is only required for investigative purposes. The system also supports the ability to have view only users, that can search historical plate data and can be restricted down by camera. So that if data sharing with other outside agencies is enabled, those users could for example only access a subset of the camera, and only search the cameras they were provided access to at any time. 9) System shall provide the ability to load, from external sources, and store multiple large databases containing license plates of vehicles of interest. This loading process shall be accomplished within a reasonably short period of time since some of the databases may be loaded daily into the system. Meet: The system provides a system to create an unlimited number of automated lists. These list importers can automatically download and load into the system files from remote FTP sites, file shares, websites or web services. In addition the system allows direct upload of large list files via the web portal. The system provides a high speed list analysis, parsing and comparison engine for list management. This allows the system to quickly process and make new lists live for detections. The system also can provide a historical lookup report against newly created lists, provide previous plate scan records for lists that didn't exist when the plate scan occurred. 10)System shall provide the capability to capture, store, display and interpret the required images from the equipment either traveling at normal or high speeds. Meets: The VXLPR system supports plate records from a number of different camera types and system types. The Vigilant Raptor cameras specified in the response to the RFP are capable of capturing plates at both high and low speeds up to 120mph. The Bosch cameras specified in the response will read both high and low speeds up to 140mph. Aware Digital Inc. Request for Proposal No. 12-09-01 Page 11 of 29 11)System shall provide capability to network the current patrol vehicles so that patrol vehicles shall be able to access the ALPR system via a vendor provided web server. Meets: The VXLPR Enterprise platform is a web based platform for client access. The web server provides a secure interface into the LPR system and the data. Users in patrol vehicles would login with their assigned credentials and have access to the same real-time data as when logged into the system from anywhere else. Also, the nature of the web based system reduces the need for City IT personnel to install software on patrol vehicle computers and simplifies firewall and vpn access. The system can be used with no software installed. Patrol vehicles can get popup and audible alerts from the web portal with no additional software required. The VXLPR alert tray tool application is also available at no charge. 12)System shall provide the capability to conduct manual searches against recorded data, including the ability to search for partial plates. Meets: The VXLPR system provides a full range of search tools directly from the web portal, including partial plate, date/time ranges, search by all or specific cameras, date ranges, geographic area, alerts types, database types, categories, and may other options. 13)System shall include availability to obtain a five (5) year maintenance agreement on all hardware, software, and software upgrades. Meets: The proposal includes pricing for a 5 year maintenance agreement covering all aspects of the system. Pricing is provided in the appropriate section. 14)System shall be ruggedized according to generally accepted standards for electronic equipment used for exterior fixed locations (i.e. able to operate in expected Florida temperatures to include heat, moisture, salt spray and hurricane windows) without loss of data or functionality. Meets: Aware Digital has extensive experience in outdoor equipment mounting in South Florida. With over 140 CCTV cameras installed just north of Sunny Isles in the City of Hallandale Beach, since 2007. Additionally, Aware Digital has installed hundreds of outdoor cameras and LPR units using outdoor rated, high performance and high temperature rated equipment. Aware Digital Inc. Meets: The system uses a client web interfaces to allow quick and easy interfacing, searching, uploading of lists, downloading of images and reports and all other associated information. No additional software is needed and the system can be used on Windows, Mac, Linux and mobile devices. 16)System shall using advanced camera, recognition, and database technology, automatically capture images of vehicle license plate numbers and instantly check those numbers against a variety of vehicle "hot files" held in the system databases. Meets: The VXPR system runs EVERY plate captured in REAL-TIME against the central database server. This database server incorporates ALL host lists and hot files, including all FDLE provided lists, NCIC, customer provided lists, custom lists, covert lists and can integrate into larger systems such as the one recently installed by Aware Digital at Miami Dade Police Department. 17)Files shall be customizable to include but not limited to; wanted subjects, wanted vehicles, daily updates due to amber alerts, terrorist alerts, general broadcast, newly stolen, or other critical or spontaneous `vehicles of interest'. Meets: The list management system within VXLPR is very customizable. It allows for custom categories to be created within user defined lists on the fly. In addition custom categories are created whenever new lists are imported or updated. For example the following list of categories from the FCIC import filter: Stolen Vehicle, Stolen License Plate, Abandoned Vehicle, Wanted Person, Felony Vehicle, Protection Order Subject, Florida Writ of Bodily Attachment Subject, Located Vehicle, Located License Plate, Missing Person/Disability, Amber/Orange Alert. Lists and categories can be modified at any time. 18)The system must be able to include and update local Hot file of license plates generated, housed, and maintained by the Police Department to supplement FCIC/NCIC Hot files. Meets: The VXLPR system allows for an unlimited number of user created lists. These lists can be imported manually or setup for automatic import and update. Any list created by the Police Department is automatically updated and all incoming plate (by Aware Digital Inc. Request for Proposal No. 12-09-01 Page 13 of 29 scans will be run against it in real-time. 19)Alarms shall be triggered when a "hit" (match) is detected on any given database giving the ALPR system operator the opportunity to take immediate action. Meets: When an alert is triggered by either a global alert or covert alert, or any number of custom alerts, such as number of plate passes, etc. it will be dispatched as a popup, an email and or an sms message. This alert will have all relevant information, images of the plate and car, description of the category and reason for the alert. In addition it will allow the operator to acknowledge, enter additional details, escalate, create a BOLO and see a location of where the scan occurred. This can also be expanded with internal lists to include actions to take on that plate. 20)Describe in detail the steps required for obtaining a file from NCIC/FCIC. The process of obtaining files from FDLE is as follows and is in use and in production by customers running the platform currently. Once the automation job is created, the NCIC/FCIC files and lists are available to all cameras within the system immediately. There is no push download to the remote clients required, but the lists I ty are pushed in the background if selected. 1.Customer fills out the FDLE"LICENSE PLATE READER SUPPLEMENT TO CRIMINAL JUSTICE USER AGREEMENT" and submits to FDLE 2. FDLE provides agency with a username and password for the CJNET FTP site to download the files. 3. Request for Proposal No. 12-09-01 Page 18 of 29 4 Approach / Methodology Proposers approach methodology to providing the services requested in this solicitation System Design Video Guardian LPR Management System for Video LPR One LPR camera processes images for one lane and transmits that back to a digital signal processor at the edge of the network where it is analyzed and only the plate data is sent back to the main server, thus minimizing processing resources and network resources. Once the plates are pushed to the main server, they are compared with both the FDLE (FCIC/NCIC) database as well as private hot lists maintained by the City. These lists can be updated at any time by city employees and can include exclusion lists, child predator lists, trespasses, etc. All FDLE hot list categories are supported including stolen vehicles, felony warrants, etc. The FDLE database is automatically updated every 3 hours by the Video Guardian management system. Additionally, the system is compatible with other national database files such as NLETS and NVLS, which can be subscribed to for additional plate alert lists. When a plate that is hot-listed passes through any of the cameras, it is immediately displayed on a graphical city map to city personnel, email and SMS message are sent out, and the offending plate, color overview image and list category are displayed. All management and configuration happens via a very high performance web interface. This web interface allows access to not only the alerts via the LPR system but directly integrates with the City's video management system. This unique integration allows the video associated with a plate hit to be automatically opened and displayed by officers either in the field or at a command post. By using a web interface all officers on the road as well as at a central location can easily access live plate data, do plate searches and get hot list alerts. This all can be done without the installation of additional software on their field computers and does not violate any existing IT policies. The Video Guardian LPR management system also offers a number of unique features for intelligent alerting and searching. Through its advanced alert engine, the VG system can send alerts when specified tags pass by certain readers a certain number of times within a defined time period. This type of search is critical for proactive notification and prevention of potential "casing" of areas of the city. Additionally, a unique feature to the city is the ability for the system to recognize "Missing" or "Obstructed" tags. What this means is that if a vehicle has its tag covered, obstructed or not visible at all, the system can send alerts to officers notifying them that a vehicle with a missing plate just passed a particular reader position. Within the VG platform, all plate reads are geo-tagged to a GPS position and graphically displayed. This feature is also useful during plates comparison and history searches. Aware Digital Inc. The project manager will coordinate all scheduling, planning, updates and other items with the customer. The PM will be the liaison between the installation team, support team and the customer. It is important to the process that the customer be informed at all steps during the project. Once a phase is completed, the project manager will perform a quality assurance walk through with the installation team and make sure that everything has been completely properly. Upon completion of these steps, the customer and project manager will be able to review the system and be able to confirm that the work is of satisfactory quality and all nodes are working as required. Upon acceptance the customer can sign off on the phase. Support Aware Digital is dedicating to supporting all of its customers on a 24/7/365 basis. Aware Digital maintains full time certified staff and equipment to respond quickly to all support situations. This includes having bucket trucks, spare equipment and around the clock and on-call staff. Training The manufacturer of this system has various certification levels which are highly recommended that the Administrator and those working with the system on a day-to-day basis attain. Aware Digital Inc. Request for Proposal No. 12-09-01 Page 23 of 29 Aware Digital Warranty First Year Warranty Contractor (Aware Digital Inc.,) represents and warrants (1) that all hardware delivered pursuant hereto will be new and all hardware shall be free from defects in material; (2) that all installation services performed hereunder will be free from defects in material and workmanship and will be performed in accordance with the specifications and instructions of the Customer. However, Contractor retains discretion and control with respect to the manner and means of performing such services and shall at all time remain an independent contractor. The warranty shall survive for a period of one (1) year from acceptance of the specific wireless project objective. Should any failure of the hardware to conform to this warranty appear during the manufacturer's warranty period, Contractor shall, provide that it is given immediate notice of such nonconformity and provided that its inspection confirms the existence of the same, correct, at no cost to the Customer such nonconformity by, at its election, repair or replacement. Said notice may be by telephone, e-mail, or fax. Contractor's inspection shall occur within 72 hours of receiving notice. Repair or replacement in the manner, or where provided above shall constitute fulfillment of all Contractor obligations under this warranty. Such warranty shall not apply to any supplies to the extent they have been subject to accident, misuse, acts of God, unauthorized alteration, or where Contractor installation, maintenance and service requirements have not been met. Warranty Disclaimer and limitation of Liability The warranties set forth herein are exclusive and are in lieu of all other warranties, express or implied, arising out of or in connection with the system, or the use or performance thereof. The Customer's sole remedies shall be to require the contractor to satisfy the express warranties set forth herein. Remedies The Customer acknowledges that the Contractor may be irreparably damaged if this Agreement is not specifically enforced, and damages at law would be and inadequate remedy. Therefore, in the event of a breach or threatened breach of any provision of this Agreement by the Customer, the Contractor shall be entitled, in addition to all rights and remedies, to an injunction restraining such breach or threatened breach, without being required to show any actual damages or to post an injunction bond, and / or to decree for a specific performance of the provisions of this agreement. For the purposes of this section, the Customer agrees that any action or proceedings with regard to such injunction restraining such breach or threatened breach shall be brought in the courts of Broward County, Florida or the United States District Court, Aware Digital Inc. Vigilant Video Software Product Software Support, Warranty and Maintenance - Terms & Conditions 1. Definitions • "Licensee" means a company/ law enforcement agency or other security agency that has received permission from Vigilant Video to use licensed Vigilant Video software products provided. • "Licensed Software" means any software application product manufactured exclusively by Vigilant Video Inc., and licensed to Licensee for use throughout a given licensing period. • "Documentation" means any and all documentation provided by Vigilant Video in connection with the Licensed Software, including but not limited to manuals, release notes, and user guide(s). Vigilant Video may deliver Documentation in digital format. • "Maintenance Release" means a new release of the Licensed Software, which corrects an error or other bug in the Licensed Software. • "Problem" means any non-conformance of the Licensed Software with its Documentation or specifications and that adversely affects the service or operation of the Licensed Software. • "Permanent Solution" means a resolution to a Problem that (i) causes the Licensed Software to substantially conform with the Documentation, and (ii) restores the service and operation of the Licensed Software without any material loss of functionality. • "Release" means a new version of the Licensed Software, which shall include all upgrades and updates to the Software and all Maintenance Releases. • "Supported Release" means any Release, (other than a Maintenance Release), that is no more than one Release (other than a Maintenance Release) older than the current Release (other than a Maintenance Release) or any Release (other than a Maintenance Release) that was provided to Licensee during the prior twelve-month period, whichever is longer. • "Update" means providing an improvement or enhancement to existing Releases. • "Work Around" means a temporary resolution of a Problem that restores service and operation of the Licensed Software without any material loss of functionality. • "Site License Agreement" means the governing agreement of a non-exclusive, non-transferable, Climited term license to install and operate Licensed Software product(s) on to any applicable media without quantity limitation within a Licensee's designated facility. SOFTWARE SUPPORT,WARRANTY AND MAINTENANCE-TERMS AND CONDITIONS Page 1 of 5 1 =11 --_t_tdo "fir► 2. Standard Support and Maintenance Standard installation support and maintenance in most cases will be included free of additional charge for 3 months (post initial start up) with the purchase of new licenses of Vigilant Video products. All Vigilant Video Site License holders will enjoy Level 1, Level 2, and Level 3 support and maintenance program(s) throughout the active participation of the Vigilant Video Site License Agreement. Non-Site License Vigilant Video clients may acquire Licensed Software support & maintenance by a Licensee purchasing an extended software maintenance warranty on an annual basis. 2.1. Level 1 support - consists of access to the Vigilant Video website for software downloads including patches and bug fixes that will be maintained throughout the useful life of the Vigilant Video products and associated utilities. This website will provide: 1) Instructions on how to select, download, and install patches and fixes; and 2) A list, by date of issuance, of upgrades, patches and fixes. Licensee's providing email addresses on their orders will be automatically added to Vigilant Video's notification service. 2.2. Level 2 support-typically provided by the Licensee's system administrators, applicable Vigilant Video authorized resellers or representatives having more in-depth knowledge of the system and capable of troubleshooting and making appropriate system changes to an extent beyond simple downloading and • installation of new software elements. Level 2 response times are: 1) Offsite - within twenty four (24) hours; 2) On site - Scheduled with Licensee. An on-line interface (external network connection to the internet) is required in order to facilitate Level 2 support staff to escalate requests to Level 3. Prior to contacting Vigilant Video for support, Licensee will use commercially reasonable efforts to conduct a due diligence investigation of the problem in an attempt to confirm that the Licensee use of the software is not responsible for such problem. 2.3. Level 3 support - provided by Vigilant Video engineering team. As Level 2 support exists and is established for a particular Licensee,requests must escalate via a Level 2 support team member if Level 3 support is to be later requested. In order to receive Level 3 support an external internet connection must be made available such that support tools such as gotomeeting.com can be utilized by Vigilant Video support personnel. Level 3 response times are: 1) Offsite - within twenty four (24) hours; 2) Onsite - Scheduled with Licensee. The Level 3 support team will review and coordinate successful resolution of all support requests and communicate findings and solutions directly to the Licensee as is deemed proper and necessary by Vigilant Video. 2.4. Level 3 support is available 9:00 AM to 5:00 PM pacific time, (USA) Monday through Friday. Availability of Vigilant Video's support service will correspond with Vigilant Video's United States holiday schedule,which will be made available to Licensee upon request. C 2.5. In addition to the above, Licensees covered under a Vigilant Video support and maintenance agreement (e.g., initial warranty, extended warranty or Site License Agreement)will receive: SOFTWARE SUPPORT,WARRANTY AND MAINTENANCE-TERMS AND CONDITIONS Page 2 of 5 (II lir 2.5.1. Vigilant Video shall use all beneficially reasonable available resources and best efforts to correct errors in program codes and procedural documents supplied with the software where such errors are brought to Vigilant Video's attention during the term of coverage; 2.5.2. Vigilant Video designated standard software functionality enhancements and improvements and new releases of the software; 2.5.3. Appropriate documentation and/or Updates with each software release enhancements and improvements and new versions of the software, if such documentation and/or Updates and media have been prepared by Vigilant Video with respect to software release enhancements or improvements or new versions; 2.5.4. Access to Level 3 Engineering Support staff for use by Licensee's application administrators in reporting software malfunctions and to obtain assistance in the use of the software; 2.5.5. Vigilant Video will provide Licensee with access to all new improvements or enhancements to existing functionalities in the commercially released versions of the baseline applications of the Licensed Software to Licensee when they are made available for the general public; and 2.5.6. Maintenance for custom modifications to software releases / versions licensed to the Licensee .r as part of this contract. 2.6. Exclusions from Licensed Software support,warranty, and maintenance services include: 2.6.1. Licensed Software that has been altered, damaged, modified by Licensee or a third party, except as authorized in writing by Vigilant Video; 2.6.2. Errors caused by the negligence, abuse or misapplication, attempt to maintain the Licensed Software by Licensee or any third party; 2.6.3. Failure of Third Party Products not authorized by Vigilant Video; 2.6.4. Any future Operating System upgrade beyond those Operating Systems stated in the applicable Vigilant Video documents pertaining to said products; and 2.6.5. Additional/new functionalities and features not included in the commercially released baseline versions. 2.7. All maintenance modifications made to the Licensed Software shall be in computer readable form that will be available to the Licensee electronically. 2.8. All software support, warranty and maintenance services will be administered without regard to modifications made by Licensee regarding equipment, hardware media or operating environment. Either Party may terminate the software support, warranty and maintenance services at any time, for breach by the other party not cured within thirty, (30) days after written notice thereof. 3.2. Notwithstanding the foregoing, all software support, warranty and maintenance services are subject to immediate termination if Licensee fails to make any payment due Vigilant Video by the terms stated upon a valid Vigilant Video invoice. 3.3 The anniversary date for all software support, warranty and maintenance services shall be the date of delivery of the Vigilant Video invoice to the Licensee. 3.3. Any software support, warranty and maintenance services shall automatically terminate upon termination of the license(s)or rights of Licensee to use the Software under any such agreement. 4. Maintenance Charges and Fees 4.1. The Licensee shall pay to Vigilant Video the license fees either: 1) in accordance to the Vigilant Video Site License Agreement; or 2) in the amounts stated in Vigilant Video's proposal which has been executed by the Licensee or otherwise validated by a Licensee purchase order or written promise to 1111 provide payment. 5. Miscellaneous Terms 5.1. IN NO EVENT WILL VIGILANT VIDEO BE LIABLE FOR ANY LOST PROFITS, LOST SAVINGS, LOST REVENUES, LOSS OF USE OR DOWNTIME, OR FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY OR FORM OF ACTION, EVEN IF VIGILANT VIDEO HAS BEEN ADVISED OF THE POSSIBILITY THEREOF, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS & CONDITIONS, AND IN NO CASE SHALL VIGILANT VIDEO'S FINANCIAL LIABILITY EXCEED FEES PAID BY LICENSEE TO VIGILANT VIDEO. 5.2. Vigilant Video and Licensee agree that the limitations specified above and otherwise in this document will survive and apply even if any limited remedy provided under these terms and conditions is found to have failed of its essential purpose. 5.3. Neither party will be liable for any failure or delay in the performance of its obligations under the stated software support, warranty and maintenance services. Failure or delay to render such services shall not be deemed as default of any Agreement and therefore shall not be grounds for termination of any pre- existing Agreement between Licensee and Vigilant Video if both of the following conditions are �.. satisfied: 1)the failure or delay could not have been prevented by reasonable precautions, and cannot be circumvented by the non-performing party through the use of alternate sources, work-around plans, or SOFTWARE SUPPORT,WARRANTY AND MAINTENANCE-TERMS AND CONDITIONS Page 4 of 5 .„__ other means; and 2) the failure or delay is caused, directly or indirectly, by reason of fire or other casualty or accident; strikes or labor disputes; inability to procure raw materials, equipment, power, or supplies;war,terrorism, or other violence; and law, order,proclamation, regulation, ordinance, demand, or requirement of any government agency or intergovernmental body other that a party hereto; or any other act or condition beyond the reasonable control of the non-performing party. Upon the occurrence of an event which satisfies both of the above conditions (a "Force Majeure Event"), the non-performing party will be excused from any further performance of those obligations affected by the Force Majeure Event for as long as: a)the force Majeure Event continues; and b)the non-performing party continues to use commercially reasonable efforts to recommence performance whenever and to whatever extent possible without delay. Upon the occurrence of a Force Majeure Event, the non-performing party will immediately notify the other party by telephone (to be confirmed by written notice within two (2) business days of the failure or delay) of the occurrence of a Force Majeure Event and will describe in reasonable detail the nature of the Force Majeure Event. 5.4. If any of the terms and conditions of this Software Support, Warranty & Maintenance program conflict with any pre-existing Vigilant Video Site License Agreement, the terms of the Site License Agreement shall survive. 5.5. Licensee, upon written request to Vigilant Video, and with thirty (30) days advanced notification to vigilant Video, shall have the right to investigate, examine, and audit any and all necessary non-financial • books, papers, documents, records and personnel that pertain to the software support, warranty and maintenance services rendered to the Licensee throughout any time period Licensee had received such services. Below is Vigilant's extended Hardware warranty policy that describes the terms and conditions of Hardware replacement and repair. Warranty Policy This policy warrants Hardware distributed by Vigilant to authorized Vigilant dealer and/or distributors, or sold directly by Vigilant. This warranty extends to the original retail purchaser only and commences on the date of original retail purchase. This policy warrants that all materials be free of material defect for a period extended beyond the standard warranty period as entitled by the purchasing documents. Vigilant will either replace or repair any Hardware, or component thereof, that has been determined by Vigilant to be defective throughout the extended warranty period. Vigilant reserves the right to replace any Hardware found to be defective with re-certified Vigilant Hardware in accordance to the terms and conditions of this policy. Only qualifying items returned to an authorized Vigilant return center will be warranted under this limited policy. If your Hardware was purchased as a component integrated within a system by a system manufacturer, the limited warranty provided by Vigilant is limited to only Hardware provided by Vigilant. Vigilant disclaims all other warranties, express or implied, regarding the Hardware, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Limitation of Warranty Your exclusive remedy for any defective Hardware is limited to the repair or replacement of the defective unit. Vigilant may elect which remedy or combination of remedies to provide in its sole discretion. Vigilant shall have a reasonable time after determining that defective Hardware exists to repair or replace such defective Hardware. Vigilant's replacement Hardware under its limited warranty will be manufactured from new and/or serviceable used or re-certified parts. Vigilant's warranty applies to repaired or replaced Hardware for the balance of the applicable period of the original warranty. Vigilant's warranty does not cover Hardware which has been received improperly packaged, altered, or physically damaged. All replacement Hardware components are tested and determined to meet Vigilant's stringent quality standards before they are sold or replaced as re-certified. Please note that some re-certified items may have marks, scratches, or other slight signs of wear. All recertified Hardware carries a manufacturer's limited warranty throughout the extended warranty period as measured from the original date of purchase. Return Material Authorization (RMA) Vigilant warranty claims must be initiated on the Vigilant website for a Return Material Authorization ("RMA") number at http://supportforms.vigilantvideo.com/RMA.aspx. If it is determined that the Hardware may be defective, an RMA number will be issued with instructions for Hardware return. Unauthorized returns will be returned to the customer at the customer's expense. Authorized returns are to be shipped prepaid and insured to the address on the RMA in an approved shipping container. To request an RMA, please contact your local authorized Vigilant dealer. Warranty Limitations ( 'igilant's limited warranty provides that, subject to the following limitations, Hardware will be free from defects in material and workmanship and will conform to Vigilant's specification(s). Limitation of Damages Vigilant's entire liability for any defective Hardware shall in no event exceed the purchase price for the defective Hardware. This limitation applies even if Vigilant cannot or does not repair or replace any defective Hardware and your exclusive remedy fails of its essential purpose. No Consequential or Other Damages Notwithstanding anything else in this policy or otherwise, Vigilant will not be liable with respect to the Hardware under any contract, negligence, strict liability or other legal or equitable theory (I) for any amount in excess of the purchase price for the defective Hardware or (II) for any general, consequential, punitive, incidental or special damages. This camera project is modeled after those used in some of the greatest cities in the world, London, Paris, Barcelona, Chicago and New York City. The idea is simple enough, concentric circles of protection. A city determines what sites are important, schools, parks or other key infrastructure locations and begins to layer a perimeter around those sites to make them safer. In the case of our City, there are geographic choke-points that make it possible to monitor the ingress and egress of anyone traveling into our City. This project is using the latest s license plate recognition system (LPR) to capture people entering into our city. We will also be deploying it around our schools and parks. The LPR system will interface with FCIC/NCIC and notify us of wanted vehicles, AMBER or SILVER alerts, and finally known sexual predators. Additionally, once the system is fully deployed, it can have an ancillary benefit to our community in allowing citizens or businesses to "opt in" and place cameras in their respective business or communities which would enhance our overall effectiveness. For the past few years, I've had the opportunity to work very closely with Aware Digital on this project for the City of Doral. This particular project is the largest of its kind in the United States. When completed we will have 17 highly trafficked intersections, each with every lane capturing license plates in real-time using over 100 fixed license plate recognition cameras. In addition, each intersection will have full high definition video surveillance coverage, all riding on a newly installed city-wide wireless network. Any project of this scale will undoubtedly have its challenges and this project was no exception. The City of Doral and Aware Digital have faced challenges at every turn; however, through hard work and dedication we have shared our vision with other agencies and have progressed to the point that the project is at 80-percent completion.
