RESOLUTION NO. 2017 - 2-too/S- A too/5 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AWARDING BID NO. 16-09-02 TO, AND AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND ENTER INTO AN AGREEMENT WITH JORDA ENTERPRISES, INC. FOR NEW HVAC CHILLER SYSTEMS FOR THE GOVERNMENT CENTER, PROVIDED SAID AGREEMENT IS APPROVED AS TO FORM AND LEGAL SUFFICIENCY BY THE CITY ATTORNEY; AUTHORIZING THE CITY MANAGER AND THE CITY ATTORNEY TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. • WHEREAS, the City is in need of replacing the HVAC chiller systems for the Government Center; and WHEREAS, the City issued and advertised Invitation to Bid No. 16-09-02 for New HVAC Chiller Systems for the Government Center, and received six (6) bids; WHEREAS, the City Manager, based on information provided by staff, has determined that Jorda Enterprises, Inc. submitted the lowest responsible, responsive bid; and WHEREAS, the City Commission wishes to award RFQ No. 16-09-02 to, and authorize the City Manager to negotiate and enter into an Agreement with Jorda Enterprises, Inc. for the New HVAC Chiller Systems for the Government Center, provided said Agreement is approved as to form and legal sufficiency by the City Attorney. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Incorporation of Recitals. The recitals set forth in this resolution are incorporated herein by reference as if fully set forth herein. Section 2. Award of Bid and Authorization of City Manager. The City Commission hereby awards RFQ No. 16-09-02 to, and authorizes the City Manager to negotiate and enter into an Agreement with Jorda Enterprises, Inc. for the New HVAC Chiller Systems for the Government Center, provided said Agreement is approved as to form and legal sufficiency by the City Attorney. Section 3. Authorization of City Manager and City Attorney. The City Manager and the City Attorney are hereby authorized to do all things necessary to effectuate this Resolution. Section 4. REASONS: The City publicly advertised the project for the New HVAC Chiller System for the Government Center and received six responses to the bid. Staff reviewed the bid, their letters of recommendations and previous track record, and determined Jorda Enterprises, Inc. to be the most responsible and responsive bidder. Staff is recommending the City Commission approve the attached resolution permitting the City Manager to execute the contract provided it is reviewed for legal sufficient by the City Attorney. C4288-1617-050 THIS CONTRACTUAL AG MENT (hereinafter referred to as the "Agreement") is made in duplicate, this (lit day of witeat , 2017, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City"), and JORDA ENTERPRISES INC. D/B/A JORDA MECHANICAL CONTRACTOR, a corporation authorized to do business in the State of Florida (hereinafter referred to as "Contractor") whose Federal I.D. # is 59-2340702. RECITALS WHEREAS, the City is in need of a contractor to furnish and install a new HVAC Chiller system at the Government Center located at 18070 Collins Avenue ("Services"); and WHEREAS, the City issued Invitation to Bid No. 16-09-02 ("ITB"), and Contractor submitted a response thereto, a copy of which is attached hereto and incorporated herein as Attachment "A"; and WHEREAS, Contractor was selected via Resolution 2017-2675 as the lowest responsible, responsive bidder in response to ITB No. 16-09-02; and WHEREAS, Contractor is willing and able to perform the services based on the terms and conditions set forth in ITB No. 16-09-02, which is incorporated herein by reference in its entirety; and • WHEREAS, the City desires to enter into an Agreement with Contractor to provide the Services in an amount not to exceed Seven Hundred Seventy Four Thousand Fifty Dollars ($774,050.00). NOW THEREFORE, in consideration of the foregoing and for the mutual covenants, representations and warranties and other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows: 1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. 2. SERVICES. Contractor shall furnish and install a new HVAC Chiller system at the Government Center located at 18070 Collins Avenue, as more particularly described in Attachment "A", which is attached hereto and made a part hereof. 3. TERM. Subject to the provisions relating to the termination of this Agreement as set forth hereunder, the term of this Agreement shall commence upon the date stated in the Notice to Proceed issued from the City Manager or his designee, and terminate no later than one hundred twenty (120) days thereafter. The Contractor agrees to provide the Services in an amount not to exceed Seven Hundred Seventy Thousand Five Hundred Fifty Dollars ($770,550.00), in addition to an amount not to exceed Three Thousand Five Hundred Dollars ($3,500.00) for one (1) year of preventative maintenance, as more particularly described in Attachment "C", bringing the total contract amount not to exceed Seven Hundred Seventy Four Thousand Fifty Dollars ($774,050.00). Payment to Contractor for all charges and tasks under this Agreement shall be in accordance with this Agreement and the schedule of charges reflected in Attachment "A" and under the following conditions: a. Disbursements. There are no reimbursable expenses associated with this contract. b. Payment Schedule. Invoices received from the Contractor pursuant to this Agreement will be reviewed by the initiating City Department. If services have been rendered in conformity with the Agreement, the invoice will be sent to the Finance Department for payment. Invoices must reference the contract number assigned hereto. Invoices will be paid in accordance with the State of Florida Prompt Payment Act. The City will pay properly submitted Contractor invoices within 30 (thirty) days of receipt,for completed and accepted deliveries or specified services and/or goods, unless the City notifies the Contractor in writing of the dispute, before the payment is due. c. Availability of Funds. The City's performance and obligation to pay under this Agreement is contingent upon an annual appropriation for its purpose by the City Commission. d. Final Invoice. In order for both parties herein to close their books and records, the Contractor will clearly state "final invoice" on the Contractor's final/last billing to the City. This certifies that all services have been properly performed and all charges and costs have been invoiced to the City. Since this account will thereupon be closed, any other additional charges, if not properly included on this final invoice, are waived by the Contractor. Contractor shall make no other charges to the City for supplies, labor, taxes, licenses, permits, overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with the prior written approval of the City. If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. Contractor shall not pledge the City's credit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, lien, or any form of indebtedness. The Contractor further warrants and represents that it has no obligation or indebtedness that would impair its ability to fulfill the terms of this Agreement. 5. INDEPENDENT CONTRACTOR RELATIONSHIP. The Contractor is an independent contractor and shall be treated as such for all purposes. Nothing contained in this Agreement or any action of the parties shall be construed to constitute or to render the Contractor 2 S B C4288-1617-050-JORDA ENTERPRISES INC. Contractor shall be responsible for any and all of its own expenses in performing its duties as contemplated under this Agreement. The City shall not be responsible for any expense incurred by the Contractor. The City shall have no duty to withhold any Federal income taxes or pay Social Security services and that such obligations shall be that of the Contractor, other than those set forth in this Agreement. Contractor shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its duties under this Agreement. 6. OWNERSHIP OF DOCUMENTS AND EQUIPMENT. All documents prepared by the Contractor pursuant to this Agreement and related Services to this Agreement are intended and represented for the ownership of the City only. Any other use by Contractor or other parties shall be approved in writing by the City. If requested, Contractor shall deliver the documents to the City within fifteen (15) calendar days. 7. PERFORMANCE AND PAYMENT BOND. Contractor is required to furnish a Performance and Payment Bond in the amount of 100% of the total Compensation amount, with the City of Sunny Isles Beach as the Oblige, as security for the faithful performance of the Contract and for the payment of all persons performing labor or furnishing of materials with connection herewith within ten (10) calendar days after issuance of the Notice of Award by the City. The Performance and Payment Bond shall continue in effect through the contract term. The bonds shall be with a surety company authorized to do business in the State of Florida and having been in business with a record of successful and continuous operation for at least five (5) years. 8. WARRANTY BOND. Contractor shall be required to furnish a single term warranty bond in the amount of twenty five percent (25%) of the actual cost of the improvements. The effective starting date of the warranty bond will be the Acceptance Date of Warranted Work. The warranty bond will be released at the end of the warranty period or after all warranty work has been satisfactorily completed, whichever is later, and a form furnished by the City is jointly executed by the City and the Contractor. A copy of the Warranty Bond is attached hereto as Attachment "B". a. Rights and Responsibilities of City. The rights and responsibilities of the City include the following: 1. The City reserves the right to approve the time, traffic control and methods for performing any warranty work by permit through the Region utilities and permit process. 2. The City reserves the right to approve the schedule proposed by the Contractor to perform warranty work. 3. The City reserves the right to approve all materials and specifications used in warranty work. S l D C4288-1617-050-JORDA ENTERPRISES INC. The City reserves the right to determine if warranty work performed by the Contractor meets the contract specifications. 5. The City reserves the right to perform, or have performed, routine maintenance during the warranty period, which routine maintenance will not diminish the Contractor's responsibility under the warranty. 6. The City reserves the right, if the Contractor is unable, to make immediate emergency repairs to the pavement to prevent an unsafe road condition caused by defective warranted work as determined by the City. The City will attempt to notify the Contractor that action is required to address an unsafe condition. The City will record the time and date of the attempts for Contractor notification. However, should the Contractor be unable to comply with this requirement, to the City's satisfaction and within the required time frame specified by the City, the City will perform, or have performed any emergency repairs deemed necessary. Any such emergency repairs undertaken will not relieve the Contractor from meeting the warranty requirements of this special provision. Any costs associated with such emergency repairs will be paid by the Contractor. b. Rights and Responsibilities of Contractor. The rights and responsibilities of Contractor include the following: 1. The Contractor shall warrant to the City that the warranted work will be free of defects as measured by the performance parameters and specified threshold values for each. The warranty bond shall be described on a form furnished by the City. The completed form must be submitted to the City prior release of final payment. 2. The Contractor shall be responsible for performing all warranty work including, but not limited to, maintaining traffic and restoring all associated pavement ' features, at the Contractor's sole expense. 3. The Contractor shall be responsible for performing all temporary or emergency repairs, resulting from being in non-compliance with the warranty requirements, using City approved materials and methods. 4. The Contractor shall be responsible for notifying the City and submitting a written course of action for performing the needed warranty work, ten (10) calendar days prior to commencement of said warranty work, except in the case of emergency repairs. The submittal must propose a schedule for performing the warranty work and the materials and methods to be used. 5. The Contractor shall be required to follow a City approved maintenance of traffic (MOT) plan when performing warranty work. All warranty work must be performed under permit issued by the City of Sunny of Isles Beach Bulding 4 SSB C4288-1617-050-JORDA ENTERPRISES INC. The permit fee and an individual permit performance bond will not be required. The permit insurance requirements, however, will apply. 6. The Contractor shall be required to complete all warranty work required by this special provision and prior to conclusion of the warranty period, or as otherwise agreed to by the City. 7. The Contractor shall be liable during the warranty period in the same manner as Contractors currently are liable for their construction related activities with the City pursuant to the Standard Specifications for Construction. This liability will arise and continue only during the period when the Contractor is performing warranty work. This liability is in addition to the Contractor performing and/or paying for any required warranty work, and must include liability for injuries and/or damages and any expenses resulting therefrom which are not attributable to normal wear and tear of traffic and weather, but are due to non-compliant materials, faulty workmanship, and to the operations of the Contractor. 9. LIQUIDATED DAMAGES. Upon failure of Contractor to achieve completion of the Services within one hundred and twenty(120)days of issuance of Notice to Proceed from the City Manager or his designee, plus approved time extensions(if applicable), Contractor shall pay to the City the sum of One Thousand Five Hundred Eighty Four Dollars (51,584.00) for each calendar day after the 120 day completion deadline plus any approved time extensions (if applicable). These amounts are not penalties but are liquidated damages to the City for its inability to obtain beneficial use of the Services. Liquidated damages are hereby fixed and agreed upon between the parties, recognizing the impossibility of precisely ascertaining the amount of damages that will be sustained by the City as a consequence of such delay, and both parties desiring to obviate any question of dispute concerning the amount of said damages and the cost and effect of the failure of Contractor to complete the Services on time. The City is authorized to deduct liquidated damages from monies due to Contractor for Services under this Agreement or as much thereof as the City may, in its sole discretion, deem just and reasonable. 10. INSURANCE. Contractor shall, at its sole cost and expense, during the period of any work being performed under this Agreement, procure and maintain the following minimum insurance coverage to protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents or employees, as indicated below: Cl Comprehensive General liability insurance, including broad form contractual liability coverage for all operations, including, but not limited to, contractual, products, and completed operations, personal injury and property damage liability with minimum limits of One Million Dollars ($1,000,000) per occurrence combined single limit for Bodily Injury Liability and Property Damage Liability. Coverage must be offered in a form no more restrictive than the latest edition of the Comprehensive General Liability policy, without restrictive endorsements, as filed by the Insurance Services Office, and shall specifically include the following with 5 SB C4288-1617-050-JORDA ENTERPRISES INC. D/B/A JORDA MECHANICAL CONTRACTOR City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax minimum limits not less than those required for Bodily Injury Liability and Property Damage Liability: o Premises and Operation; o Independent Contractors; o Products and/or Completed Operations Hazard; o Broad Form Property Damage; o Broad Form Contractual Coverage applicable to this specific Contract, including any hold harmless and/or indemnification agreement. o Personal Injury Coverage with Employee and Contractual Exclusions removed, with minimum limits of coverage equal to those required for Bodily Injury Liability and Property Damage Liability. ❑ Worker's Compensation and employer's liability coverage, as required pursuant to Florida law. ❑ Business Automobile Liability with minimum limits of not less than One Million Dollars ($1,000,000.00) per occurrence combined single limit for Bodily Injury Liability and Property Damage Liability. Coverage must be afforded on a form no more restrictive than the latest edition of the Business Automobile Insurance policy, without restrictive endorsements, as filed by the Insurance Services Office, and must include: o Owned Vehicles; o Hired and Non-Owned Vehicles; o Employers' Non-City ship. Insurance required of the Contractor shall be primary to, and not contribute with, any insurance or self-insurance maintained by the City. Such insurance shall not diminish Contractor's indemnification and obligations hereunder. The insurance policy shall be issued by companies authorized to do business under the laws of the State of Florida and acceptable to the City with a minimum A.M. Best rating of A-Excellent. Before any work under this Agreement is performed, and at any time upon request, Contractor shall furnish to the City certificates of insurance evidencing the minimum required coverage and shall be appropriately endorsed for contractual liability, with the City named as additional insured. All policies shall contain a waiver of subrogation endorsement. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City Manager or his designee. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) days prior written notice to the City. The City reserves the right from time to time to change the insurance coverage and limits of liability required to be maintained by Contractor hereunder. Contractor shall also require and ensure that each of its sub-contractors providing services hereunder (if any) procures and maintains, until the completion of the services, insurance of the types and to the limits specified herein. ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS SECTION MUST BE APPROVED IN WRITING BY THE CITY. 6 S fi 1!3 C4288-1617-050-JORDA ENTERPRISES INC. If through any cause within reasonable control, the Contractor shall fail to fulfill in a timely manner or otherwise violate any of the covenants, agreements or stipulations material to this Agreement, the City shall have the right to terminate the Services then remaining to be performed. Prior to the exercise of its option to terminate for cause, the City shall notify the Contractor of its violation of the particular terms of the Agreement and grant Contractor ten (10) days to cure such default. If the default remains uncured after ten (10) days the City may terminate this Agreement,and the City shall receive a refund from the Contractor in an amount equal to the actual cost of a third party to cure such failure. If Contractor fails, refuses or is unable to perform any term of this Agreement, City shall pay for services satisfactorily performed as of the date of termination. (i.) In the event of termination, all finished and unfinished documents, data and other work product prepared by Contractor shall be delivered to the City and the City shall compensate the Contractor for all Services satisfactorily performed prior to the date of termination, as provided in Paragraph 4 herein. (ii.) Notwithstanding the foregoing, the Contractor shall not be relieved of liability to the City for damages sustained by it by virtue of a breach of the Agreement by Contractor and the City may reasonably withhold payment to Contractor for the purposes of set-off until such time as the exact amount of damages due the City from the Contractor is determined. B. Termination for Convenience of City. The City may,for its convenience and without cause terminate the Services then remaining to be performed at any time by giving Contractor ten (10) days written notice. The terms of Paragraph 11A(i) and A(ii) above shall be applicable hereunder. C. Termination for Insolvency. The City also reserves the right to terminate the remaining Services to be performed in the event the Contractor is placed either in voluntary or involuntary bankruptcy or makes any assignment for the benefit of creditors. 12. GOVERNING LAW, VENUE AND ATTORNEYS FEES. It is agreed that this Agreement shall be governed by, construed and enforced in accordance with the laws of the State of Florida. Venue for any legal proceeding shall be in Miami Dade County, Florida. In the event it becomes necessary for the City to file a lawsuit to enforce any term or provision under this Agreement and the City is the prevailing party then the City shall be entitled to its costs and attorney's fees at the pretrial, trial and appellate levels. 13. ASSIGNMENTS, TRANSFERS, SUBCONTRACTING. The Contractor shall not subcontract, assign or transfer any work under this agreement without the prior written consent of the City. The Contractor shall remain responsible for services, responsibilities and liabilities of any person or entity acting under Contractor. 14. WAIVER OF RIGHT TO JURY TRIAL. Each of the parties hereto hereby knowingly, voluntarily and intentionally, waive the right which any may have to a jury trial in respect of any action, proceeding, litigation or counterclaim based hereon or arising out of, under, on or in connection with this agreement or any course of conduct, course of dealing, statements (whether verbal or written) or actions of either of party. 15. NOTICES. All notices and other communications required or permitted to be given under this Agreement by either party to the other shall be in writing and shall be sent (except as otherwise provided herein) (i) by certified or registered mail, first class postage prepaid, return receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized courier service, or (iii) by facsimile with confirmation receipt (with a copy simultaneously sent by certified or registered mail, first class postage prepaid, return receipt requested or by overnight delivery by traditionally recognized courier service), addressed to such party as follows: If to the City: Christopher J. The Contractor shall be required to comply with the following requirements under Florida's Public Records Law: (i.) Contractor shall keep and maintain public records required by the City to perform the service. (ii.) Upon request from the City, Contractor shall provide the City with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law. (iii.)Contractor shall ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if the Contractor does not transfer the records to the City. 8 Sll C4288-1617-050-JORDA ENTERPRISES INC. Contractor shall, upon completion of the contract, transfer, at no cost, to the City all public records in possession of the Contractor or keep and maintain public records required by the City to perform the service. If the Contractor transfers all public records to the City upon completion of the contract, the Contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Contractor keeps and maintains public records upon completion of the contract, the Contractor shall meet all applicable requirements for retaining public records. All records stored electronically must be provided by Contractor to the City, upon request from the City, in a format that is compatible with the information technology systems of the City. AUDIT. The Contractor shall make available to the City or its representative all required financial records associated with the Agreement for a period of Three (3) years. 18. NON-DISCRIMINATION. The Contractor agrees to comply with all local and state civil rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VIII of the Civil Rights Act of 1968 as amended, Title 1 of the Housing and Community Development Act of 1974 as amended, Section 504 of the Rehabilitation Act of 1973, the Americans with Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with Executive Order 11248 as amended by Executive Orders 11375 and 12086. The Contractor agrees, to the fullest extent permitted by law, to defend, indemnify and hold harmless the City, its agents, representatives, officers, directors, officials and employees from and against claims, damages, losses and expenses (including but not limited to attorney's fees, arbitration costs, and costs of appellate proceedings) relating to, arising out of or resulting from the Contractor's negligent acts, errors, mistakes or omissions relating to professional services in the performance of this Agreement. The Contractor's duty to defend, hold harmless and indemnify the City, its agents, representatives, officers, directors, officials and employees shall arise in connection with any claim, damage, loss or expense that is attributable to bodily injury; sickness; disease; death; or injury to impairment, or destruction of tangible property including loss of use resulting therefrom, caused by any negligent acts, errors, mistakes or omissions related to professional services in the performance of this Agreement by Contractor, including any person(s) for whose acts, errors, mistakes or omissions the Contractor may be legally liable. The parties agree that One Hundred Dollars ($100.00) represents specific consideration to the Contractor for the indemnification set forth in this Agreement. 21. COMPLIANCE WITH LAW. Contractor shall comply with all laws, regulations and ordinances of any federal, state, or local governmental authority having jurisdiction with respect to this Agreement ("Applicable Laws") and shall obtain and maintain any and all material permits, licenses, approvals and consents necessary for the lawftil conduct of the activities contemplated under this Agreement. 22. CONFLICTING PROVISIONS. The terms and conditions in this Agreement shall supersede any other conflicting provisions that are contained in any other document, including but not limited to Attachments "A", "B", or "C". If there is a conflict or inconsistency between any term, statement, requirement, or provision of any exhibit attached hereto, including but not limited to Attachments "A", "B", or"C", or any other document or events referred to herein, or otherwise incorporated by reference, the term, statement, requirement, or provision contained in this Agreement shall prevail and be given superior effect and priority. 23. MISCELLANEOUS. A. In the event any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable provisions had been severed and deleted.
