HomeMy WebLinkAboutReso 2017-2686 RESOLUTION NO. 2017 - 2413 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AWARDING RFP NO. 17-03-01 TO AND AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND ENTER INTO AN AGREEMENT WITH BETTOLI VENDING ("VENDOR") FOR CITY WIDE HEALTHY VENDING MACHINE SERVICES,PROVIDING THAT THE CITY ATTORNEY REVIEWS FOR LEGAL SUFFICIENCY; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE HEALTHY FOOD ALTERNATIVES WITH THE VENDOR;AUTHORIZING THE CITY MANAGER AND CITY ATTORNEY TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS,the City advertised and issued Request for Proposals (RFP)No. 17-03-01 for City Wide Healthy Vending Machine Services, for which two (2) responses were received; and WHEREAS, Bettoli Vending currently services thirteen (13) vending machines located within the Government Center,Pelican Community Park, Samson Oceanfront Park,Heritage Park, and Town Center Park as part of an expiring agreement awarded via RFP No. 11-11-04; and WHEREAS, the City wishes to authorize the City Manager to negotiate and enter into an agreement with Bettoli Vending to provide City Wide Healthy Vending Machine Services. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Award of Request for Proposal and Authorization of City Manager. The City Commission hereby awards Request for Proposal No. 17-03-01 to and authorizes the City Manager to negotiate and enter into an Agreement with Bettoli Vending for City Wide Healthy Vending Machine Services,providing that the City Attorney reviews the Agreement for legal sufficiency,and further authorizes the City Manager to negotiate healthy food alternatives with the vendor. Section 2. Authorization of City Manager and City Attorney. The City Manager is hereby authorized to do all things necessary to effectuate this Resolution. Section 3. Effective Date. C1617-070 THIS AGREEMAIIVI NT (hereinafter referred to as the "Agreement") is made in duplicate, this zjo day of , 2017, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City"), and BETTOLI TRADING CORPORATION D/B/A BETTOLI VENDING a corporation authorized to do business in the State of Florida (hereinafter referred to as "Contractor") whose Federal I.D. # is 66-1057065. RECITALS WHEREAS, the City is in need of a vending machine company to provide City wide healthy organic vending machine services at various locations including City Hall, Pelican Community Park, Samson Ocean Front Park, Heritage Park, and Town Center Park ("Services"); and WHEREAS, the City issued Request for Proposal No. 17-03-01 for Organic Vending Machines and the Contractor submitted a response thereto; and WHEREAS, Contractor is a certified and insured company with the necessary experience to provide the desired Services; and WHEREAS, the City wishes to contract with Contractor to provide the desired Services with the City wherein the City shall receive commission on sales which is determined based on the vending price to the public, as more particularly described in Attachment "A". NOW THEREFORE, in consideration of the promises and the mutual covenants herein name, the parties agree as follows: 1. RECITALS. The Recitals set forth above are hereby incorporated into this agreement and made a part hereof for reference. 2. SERVICES. Contractor shall provide to the City the Services as more particularly described in Attachment""A" attached hereto and made a part hereof. All vending machines shall be designed, constructed, installed, and operated in accordance with local, slate, and national codes and regulations as applicable, including, but not limited to any FDA caloric disclosure requirements. The City desires to achieve one hundred percent (100%) healthy vending in all of its parks and facilities. However, understanding the public desires options, it shall be required that at least fifty percent (50%) of snacks and beverages offered for sale at any City Facility meet the USDA and Fit Pick nutritional requirements, including food and calorie labeling. The City shall have the right to request student accessed vending machines to meet or exceed the recommendations in with the School Board of Miami-Dade County Wellness Policy. Violations of the healthy product requirements may result in the termination of this contract. The locations for the vending machines shall be as described in Attachment "B", which is attached hereto and incorporated herein by reference. 3. TERM. The term of this Agreement shall commence upon execution of the agreement, and shall terminate no later than 1 (one) year thereafter, subject to the City's ability to terminate earlier in accordance with Section 10 of this Agreement. 4. OPTIONS TO RENEW. Prior to, or upon completion of the initial one (1) year term, the City shall have the option at its sole discretion to renew this Agreement for an additional four (4) one (1) year renewal terms. Exercising the option to renew is at the sole discretion of the City. Costs for any extension terms shall be subject to an adjustment only if increases or decreases occur in the industry. Such adjustment shall be based on the latest yearly percentage increase in the All Urban Consumers Price Index (CPI-U) as published by the Bureau of Labor Statistics, U.S. Department of Labor, and shall not exceed five percent (5%). 5. COMPENSATION. The City shall receive twenty one percent (21%) monthly percentage of sales made by Contractor, in addition to sponsorship of items as more particularly set forth in Attachment "A". 6. INDEPENDENT CONTRACTOR RELATIONSHIP. The Contractor is an independent contractor and shall be treated as such for all purposes. Nothing contained in this agreement or any action of the parties shall be construed to constitute or to render the Contractor an employee, partner, agent, shareholder, officer or in any other capacity other than as an independent contractor other than those obligations which have been or shall have been undertaken by the City. Contractor shall be responsible for any and all of its own expenses in performing its duties as contemplated under this agreement. The City shall not be responsible for any expense incurred by the Contractor. The City shall have no duty to withhold any Federal income taxes or pay Social Security services and that such obligations shall be that of the Contractor, other than those set forth in this agreement. Contractor shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its duties under this agreement. 7. INSURANCE. Contractor shall, at its sole cost and expense, during the period of any work being performed under this Agreement, procure and maintain the following minimum insurance coverages to protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents or employees, as more particularly set forth below: (a) General liability insurance with limits of One Million Dollars ($1,000,000.00) combined single limit occurrence. Services Office, and must include: Premises and/or Operations. Independent Contractors. Broad Form Property Damage. Broad Form Contractual Coverage applicable to this specific Agreement. Personal Injury Coverage with Employee and Contractual Exclusions removed with minimum limits of coverage equal to those required for Bodily Injury Liability and Property Damage Liability. The City of Sunny Isles Beach is to be named as an additional insured with respect to liability arising out of operations performed for the City by or on behalf of Contractor or the acts or omissions of Contractor in connection with such operation. • (b) Workers' Compensation insurance to apply for all employees in compliance with the Workers Compensation Law of the State of Florida and all applicable federal laws. (c) Business Automobile Liability Insurance with minimum limits of One Million Dollars ($1,000,000.00) per occurrence combined single limit for • Bodily Injury Liability and Property Damage Liability. Coverage must be afforded on a form no more restrictive than the latest edition of the Business Automobile Liability Policy, without restrictive endorsements, as filed by the Insurance Services Office and must include: Owned vehicles. Hired and non-owned vehicles. Employers' non-ownership. Such policies of insurance shall not diminish Contractor's indemnification obligations hereunder. The insurance policy shall be issued by such company, in such forms and with such limits of liability and deductibles as are acceptable to the City and shall be endorsed to be primary over any insurance, which the City may maintain. Before any work under this Agreement is performed, and at any time upon request, Contractor shall furnish to the City certificates of insurance evidencing the minimum required coverage and appropriately endorsed for contractual liability with the City named as an additional insured. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City Manager or his designee. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) calendar days prior written notice to the City Manager or his designee. The City reserves the right from time to time to change the insurance coverage and limits of liability required to be maintained by Consultant hereunder. 8. OWNERSHIP OF DOCUMENTS AND EQUIPMENT. All documents prepared by the Contractor pursuant to this agreement and related services to this agreement are intended and represented for the ownership of the City only. Any other use by Contractor or other parties shall be approved in writing by the City. 9. DUTY TO INDEMNIFY AND HOLD HARMLESS. Contractor agrees to indemnify and hold harmless, the City, its officers, agents, employees from, and against any and all claims, actions, liabilities, losses and expenses including, but not limited to, attorney's fees for personal, economic or bodily injury, wrongful death, loss of or damage to property, at law or in equity, which may arise or may be alleged to have risen from the negligent acts, errors, omissions or other wrongful conduct of the Contractor, its agents or employees or any other personal entity acting under Contractor's control in connection with the Contractor's performance of Services under this Agreement and to that extent the Contractor shall pay such claims and losses and shall pay all such costs and judgments which may issue from any lawsuit arising from such claims and losses including wrongful termination or allegations of discrimination or harassment, and shall pay all costs and attorneys' fees expended by the City in defense of such claims and losses including appeals. The parties agree that ten percent (10%) of the total compensation is a specific consideration from the City to the Contractor for this indemnity. 10. TERMINATION. A. If, through any cause within the reasonable control the Contractor shall fail to fulfill in a timely manner or otherwise violate any of the covenants, agreements or stipulations material to this agreement, the City shall have the right to terminate the services then remaining to be performed. Prior to the exercise of its option to terminate for cause, the City shall notify the Contractor of its violation of the particular terms of the agreement and grant Contractor thirty (30) days to cure such default. If the default remains uncured after thirty (30) days the City may terminate this agreement (i.) In the event of termination, all finished and unfinished documents, data, and other work product prepared by Contractor shall be delivered to the City and the Contractor shall compensate the City for twenty one percent (21%) monthly percentage of sales made by Contractor, in addition to sponsorship of items up to the effective date of termination. (ii.) Notwithstanding the foregoing, the Contractor shall not be relieved of liability to the City for damages sustained by virtue of a breach of the agreement by Contractor. Termination for Convenience of City. The City may, for its convenience and without cause terminate the Services then remaining to be performed at any time by giving written notice which shall become effective thirty (30) days following receipt by Contractor. The terms of Paragraphs A(i) and (ii) shall be applicable hereunder. C. Termination for Insolvency. The City also reserves the right to terminate the remaining services to be performed in the event the Contractor is placed either in voluntary or involuntary bankruptcy or makes any assignment for the benefit of creditors. 11. ASSIGNMENTS, TRANSFERS, SUBCONTRACTING. The Contractor shall not subcontract, assign, or transfer any work under this agreement with the prior written consent of the City. Should the Contractor subcontract any services under this agreement, it shall be done with continued liability for the Contractor. The Contractor shall remain responsible for services, responsibilities, and liabilities of any person or entity acting under Contractor. 12. CONFIDENTIAL INFORMATION. The Contractor shall not, either during the term of this Agreement or any time for a period of TEN (10) years subsequent to that date upon which the Contractor shall leave the employment of the City for any reason whatsoever, disclose to any person or entity, other than in the discharge of the duties of the Contractor under this Agreement, any information which the City designates in writing as "confidential." As a violation by the Contractor of the provisions of this Section could cause irreparable injury to the City and there is no adequate remedy at law for such violation, the City shall have the right, in addition to any other remedies available to it at law or in equity, to enjoin the Contractor in a court of equity for violating such provisions. 13. NOTICES. All notices and other communications required or permitted to be given under this Agreement by either party to the other shall be in writing and shall be sent (except as otherwise provided herein) (i) by certified or registered mail, first class postage prepaid, return receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized courier service, or (iii) by facsimile with confirmation receipt (with a copy simultaneously sent by certified or registered mail, first class postage prepaid, return receipt requested or by overnight delivery by traditionally recognized courier service), addressed to such party as follows: If to the City: Christopher J. PUBLIC RECORDS. The Contractor shall be required to comply with the following requirements under Florida's Public Records Law: (i.) Contractor shall keep and maintain public records required by the City to perform the service. (ii.) Upon request from the City, Contractor shall provide the City with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law. (iii.) Contractor shall ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if the Contractor does not transfer the records to the City. (iv.) Contractor shall, upon completion of the contract, transfer, at no cost, to the City all public records in possession of the Contractor or keep and maintain public records required by the City to perform the service. If the Contractor transfers all public records to the City upon completion of the contract, the Contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Contractor keeps and maintains public records upon completion of the contract, the Contractor shall meet all applicable requirements for retaining public records. All records stored electronically must be provided by Contractor to the City, upon request from the City, in a format that is compatible with the information technology systems of the City. GOVERNING LAW, VENUE, AND ATTORNEYS FEES. Venue for any legal proceeding shall be in Miami Dade County, Florida. In the event it becomes necessary for the City to file a lawsuit to enforce any term or provision under this Agreement and the City is the prevailing party then the City shall be entitled to its costs and attorney's fees at the pretrial, trial and appellate levels. 16. BACKGROUND CHECKS. A criminal background check will be required for any employee of the Contractor performing Services under this Agreement. The Contractor shall be required to perform the criminal background check at their own sole cost and expense through the City. The Contractor shall ensure that only their properly designated employees listed with the City Manager be permitted to perform Services. In the event the designated employees are removed by the Contractor, the Contractor shall immediately notify the City Manager or his designee. Additionally, identification cards will be provided by the City at the Contractor's sole cost and expense. Contractor shall ensure that all designated employees wear the City's provided identification cards while performing Services. 17. AUDIT. The Consultant shall make available to the City or its representative all required financial records associated with the Agreement for a period of THREE (3) years. 18. NON-DISCRIMINATION. The Contractor agrees to comply with all local and state civil rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VIII of the Civil Rights Act of 1968 as amended, Title 1 of the Housing and Community Development Act of 1974 as amended, Section 504 of the Rehabilitation Act of 1973, the Americans with Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with Executive Order 11248 as amended by Executive Orders 11375 and 12086. The Contractor will not discriminate against any employee or applicant for employment because of race, color, creed, religion, ancestry, national origin, sex, disability or other handicap, age, marital/familial status, or status with regard to public assistance. The Contractor will take affirmative action to insure that all employment practices are free from such discrimination. Such employment practices include but are not limited to the following: hiring, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff, termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. The Contractor, agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the City setting forth the provisions of this non- discrimination clause. The Contractor agrees to comply with any Federal regulations issued pursuant to compliance with Section 504 of the Rehabilitation Act of 1973 (29 U.S.C. 708), which prohibits discrimination against the handicapped in any Federally assisted program. 19. CONFLICT OF INTEREST. The Contractor agrees to adhere to and be governed by the Miami-Dade County Conflict of Interest Ordinance Section 2-11.1, as amended; and by Chapter 33 of the City of Sunny Isles Beach Code of Ordinances, which are incorporated by reference herein as if fully set forth herein, in connection with the Agreement conditions hereunder. The Contractor further covenants that in the performance of this agreement, no person having any such interest shall knowingly be employed by the Contractor. No member of, or delegate to the Congress of the United States shall be admitted to any share or part of this agreement or to any benefits arising therefrom. 20. CONFLICTING PROVISIONS. The terms and conditions in this agreement supersede any other conflicting provisions that are contained in any other document or attachment, including but not limited to Attachment "A" and "B". 21. ENTIRE AGREEMENT. This Agreement contains the entire agreement of the parties, and may be amended, waived, changed, modified, extended or rescinded only by a writing signed by the party against whom any such amendment, waiver, change, modification, extension and/or rescission is sought. Proposed Services Our management plan is to install the proper equipment for each location. And schedule service at twice per week at community centers and once per week for all other areas. We will maintain communication with the different departments so we can adjust schedule for special events such as summer camps and city wide events. The operations department will be placed on our emergency list for pre and post hurricane emergency stops. As it comes to equipment, we have used all brands and have tested most models available. We are willing to work with the City if a specific brand/model is necessary. On the next few pages you will see catalogs corresponding to many of these models. Our plan is to implement 100% ADA compliant equipment. With 4in1+ Credit Card acceptors in all machines, the 4in1+ is a device able to accept multiple forms of payments such as, credit card, mobile payments (Apple Pay, Android pay, etc.), RFID Credit Cards and allows us to combine it with the bill acceptor which can be program to accept up to G 0 $20 bills. All machines can be installed in one day. However, to ensure a successful installation schedule we would recommend to install in 2 days, being the incumbent vendor it would guarantee a smooth transition plan. QJ j L..- ® Item 4 Approach and Methodology As to the safety protocols. All NAMA standards, CFW, will be followed during services as we do in all our other machines. (Clean, Filled, Working). In some locations extra cleaning will be needed due to the weather conditions that occurred next to the ocean. New machines brought to replace current equipment will be ADA compliant as per the 2010 guidelines. We preferred to maintain the Coca Cola Product Line up but are willing to work with the city if a change is desired, as we currently work with both major bottlers as well as many other independent brands. Since the space is limited at all the sites, we would not be able to offer multiple bottler machines at a single location. At some locations we'll be able to provide non-branded machines that may be stocked with items from any bottler. All publicly accessible machines will have cashless device acceptance as well as any other mutually agreed upon location. ® Our experience deploying contracts with over 300 machines has given us the confidence that we can certainly handle the city's need and our standard methodology for deployment should exceed the city's expectations. Please notice that our prices are the same for Cash or Credit. We do not charge extra for Cashless (or give a "discount" for cash purchase).The industry has grown to this proposal of adding an additional 10 cents for credit card purchase and getting around the law by placing stickers on the machine that ascertain that the prices posted include a 10 cents discount for cash buyers.This creates confusion, customer dissatisfaction, and a general feeling of disappointment. We have seen a better response from our customer base by maintaining the same price cash or credit. Concession locations and current configurations are listed below. Contractor will propose replacement configurations for machines currently in place to provide a variety of healthy snacks and beverages, including healthy fresh fruit juices, all natural organic snacks, healthy fruit bars, healthy fruit snacks, baked and naturally popped chips, water, and optional healthy smoothies. In addition to, snacks such as chips, crackers, pastry, Chex mix, granola bars, mints, peanuts, pretzels, designated machines may include dispensed products such as, bottled and canned sodas, water, juices, teas (diet and regular snapple), sports drinks such as Gatorade, energy drinks. Contractor shall not sell or distribute any gum, glass bottles or containers. Healthy foods for this contract are defined as products which contain only"all natural ingredients"which means no trans fats, artificial flavors, preservatives, artificial sweeteners, synthetic ingredients or high fructose corn syrup(HFCS).The contractor shall ensure that a minimum ® of 40% of all the snacks and beverages per machine must contain"all natural ingredients". The City reserves the right to request changes in products offered. The Contractor shall endeavor to accommodate the City's requests or provide justification for rejection. All product change requests will be subject to prior agreement and approval by the City. The Contractor may request changes in vending equipment or products if sales do not warrant continuation. Such requests should be submitted in writing to the City for review and consideration. If the request is approved, a mutual date will be agreed for the change to take effect. The Contractor shall submit as a part of this proposal, the quantity and variety of machines proposed, as well as a complete listing (manufacturer, name of product, and sale price) of proposed products. 3.2 MINIMUM REQUIREMENTS/RESPONSIBILITES 1. Successful respondent must provide a copy of their occupational/business license and State registration at time of award. 2. Vendors must thoroughly describe all machines covered in their proposal, including the following data: a. Physical size, make, model, year b. Number of food products dispensed c. All vending machines must be of current manufacture, no older than five (5) years, and in excellent physical and mechanical condition. Equipment shall be secured to provide for safe, secure operation and to prevent tipping or shifting. All delivery and installation costs shall be the responsibility of the Contractor. 3.7 CURRENCY AND COIN USAGE All vending equipment must have the ability to accept one-dollar bills and various coins and to dispense change for any vended product in U.S. Currency only. Request for repairs shall be completed within 24 hours of the original request.
