1. INTRODUCTION This document is in response to your Request for Proposal, (RFP#04-04-01). Our proposed structured cabling system design will meet and exceed your requirements to support your voice, data and imaging needs as well as the required 25 year system warranty and 25 year extended product and application assurance warranty. (see Tab 2). 2. SCOPE It is the intent of this section to provide a fully compliant outline to the requirements of and in accordance with. OVERVIEW Pursuant to having reviewed the design we here at Quality Communications, Fire & Security are pleased to propose an alternative solution to the cable plant infrastructure design. We have been a certified installer of Berktek/Ortronics cabling systems since 1996, (see Tab 3). In as much as your statement of work. (SOW) permits the substitution of equal products in all aspects of the cable plant design where permissible, this would facilitate a complete end to end 25 year warranty of the entire cable plant infrastructure under the umbrella of one warranty solution. In review of your plans and specifications, we have provided a design solution based upon the network design information provided and our proposal will include a Siecor fiber optic backbone solution as well since there was no clarification of an equal to their products in your design statements. I have provided a typical communications equipment room detail, (see Tab 3) within this section. This displays the complete equipment rack layout to include a total data and voice solution including data and voice runs, data rack, 110 blocks and entrance protection for the voice cable at the access provider, (AP) point within the ® telecommunications closet. This attachment is in no way representative of your final design layout or components but merely indicates the level of our expertise to provide a fully documented design solution. 5. SUMMATION Pursuant to your requirements and in junction with Section 2.1 I have enclosed a detailed list of projects and customers which currently have existing and or on-going relationships with our company, (see Tabs 5 and 6). In conclusion, this proposal comprises a complete communications infrastructure system to include all associated distribution and backbone cabling, terminations, rack and patch panel equipment, pathways and all necessary hardware for a total turnkey solution., LAW • your specifications. Company Background Quality Communications Fire & Security, Inc., herein after referred to as "Fire & Security. Inc.". • was incorporated February 25, 2002 as a Florida Corporation. The company is a service contractor engaged in providing parts and labor in building, upgrading and maintaining fire and security systems to businesses and public schools. Quality Communications of Florida, Inc. was incorporated in 1990 as a Florida corporation and merged fully with Fire & Security, Inc. as of July L 2003. The Company was a service contractor engaged in providing pans and labor in building, upgrading and maintaining fiber optic networks fire and security systems for commercial businesses and public schools. Quality Holding Group. L.L.C. herein referred to as "LLC" is a Florida Limited Liability Company that was formed July 31, 2002. The Limited Liability Company purchased a building on August 13, 2002 and upon completion of renovations, the building was leased to Quality Communications Fire & Security. Inc. a related entit'. Prior to June 30, 2003; Quality Holding Group, L.L.C. was a development stage company. Jointly "LLC" and "Fire & Security, Inc.",, hereinafter referred to as the Company. In September 2003, Quality Communications Fire & Security, LLC, a Delaware Limited Liability Corporation, was formed and became the owner of all of the common stock of Quality Communications Fire & Security, Inc. B. Cash and Cash Equivalents For purposes of the statements of cash flows, the Company considers all highly liquid debt instruments purchased with a maturity of three (3) months or less to be cash equivalents. C. Recognition of Revenues and Expenses In prior years Quality Communications of Florida, Inc. recognized revenues from service contracts when they were earned. Contract costs include all direct material and labor costs and those indirect costs related to contract performance, such as indirect labor, supplies, tools, repairs and depreciation. General and administrative costs were charged to expense as incurred. Starting January I, 2003 the Company entered into long-term contracts for which the percentage of completion method of accounting is applied. The balance sheet at December 31, 2002 was not materially different under either of these methods as there were no jobs in process at that date. D. Provision for Doubtful Accounts Quality Communications Fire & Security, Inc. provides for estimated losses on accounts ® receivable based on prior bad debt experience and a review of existing receivables. In lieu of corporation income taxes, the stockholders of an "S" corporation are taxed on their proportionate share of the Company's taxable income. Quality Holding. Group, L.L.C. is a limited liability company. In lieu of corporation income taxes, the members of the "LLC are taxed on their proportionate share of the "LLC As a result, no provision or liability for federal income taxes has been included in these combined financial statements. Nineteen of these notes bear interest ranging from 0.9% to 8.69%; the other four notes are non-interest bearing. All notes are collateralized by the transportation equipment. Quality Holding Group. L.L.C. has negotiated a new fixed rate mortgage payable commencing August 2003 with Union Planters Bank which is collateralized by the building located at 3700 S.W. 30th .Avenue, Hollywood. Florida. The rate is fixed at 6.25% for five years with the mortgage being amortized over twenty years and is due and payable in full in June 2008. A re-pricing is available at the banks sole discretion to extend an additional five years at a fixed rate of interest equal to the then-current five year United States Treasury bill rate plus 3.35% per annum. NOTE 6 - LINE OF CREDIT Quality Communications Fire & Security, Inc. negotiated a $1,000,000 line of credit with Union Planters Bank in May 2003, which matures annually, and later negotiated an increase in the credit line of S320,000. The balance line of credit of S 1,326,940 at December 31, 2003 bears interest at 0.25% above the bank's prime rate and is guaranteed by a stockholder of the company, and includes approximately 540,000 due to VtWachoyia Bank. NOTE 7 - LEASE COMMITMENT Quality Communications Fire & Security, Inc. entered into a lease agreement with Quality Holding Group, L.L.C. for its office and warehouse space. The lease commenced July 2003 and will expire "upon the satisfaction of that certain mortgage between Union Planters Bank and the lessor", but not to exceed June 18, 2008. Purchases from this vendor represent approximately 32% of their purchases. NOTE 9 - 401(K) PROFIT SHARING PLAN Quality Conununications Fire & Security; Inc. sponsors a 401(k) Profit Sharing Plan. Individuals are eligible after the first day of the plan year following completion of th ee (3) months of service. The Company's policy is to match employee contributions by 25%, up to a maximum of 8% of the employees' annual compensation.
