A RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF SUNNY ISLES BEACH, FLORIDA, APPROVING A
CONSULTANT AGREEMENT BETWEEN THE CITY OF
SUNNY ISLES BEACH AND FRED MAAS, ATTACHED
HERETO AS EXHIBIT "A"; PROVIDING THE CITY
MANAGER AND THE CITY ATTORNEY WITH THE
AUTHORITY TO DO ALL THINGS NECESSARY TO
EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, Chief Fred Maas is one of the founding members of the City of Sunny Isles
Beach Police Department and was appointed Chief of Police on April 6, 1998; and
WHEREAS, after serving the City for 20 years, Chief Maas has given notice of his
retirement from the Sunny Isles Beach Police Department effective July 20, 2018; and
WHEREAS, during his tenure Chief Maas has gained extensive knowledge of the daily
operations of the Sunny Isles Beach Police Department; and
WHEREAS, the City wishes to enter into a Consultant Agreement attached hereto as
Exhibit "A", to retain Fred Maas for a one (1) year period as a Consultant to the Sunny Isles
Beach Police Department on an as-needed basis; and
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approving the Consultant Agreement. The City Commission hereby approves the
Consultant Agreement between the City of Sunny Isles Beach and Fred Maas attached hereto as
Exhibit "A" to assist on an as-needed basis with general policy matters for the City of Sunny Isles
Beach Police Department.
. Section 2. Authorization of City Manager and City Attorney. The City Manager and City
Attorney are hereby authorized to do all things necessary to effectuate the terms of this
Resolution.
Section 3. Effective Date. This Resolution shall become effective upon adoption.

CONSULTANT AGREEMENT
THIS CONSULTANT AGREEMENT, made this 2,1 qday of June, 2018 by and between
FRED A. MAAS (hereinafter"Consultant") and the CITY OF SUNNY ISLES BEACH(hereinafter
"City"):
WITNESSETH:
WHEREAS, Consultant has been employed by City on April 6, 1998, as Police Chief of
• the City of Sunny Isles Beach pursuant to Section 3.2 of the City of Sunny Isles Beach City Charter;
and
WHEREAS, during his tenure, Consultant has gained extensive knowledge of the functions
of Sunny Isles Beach Police Department; and
WHEREAS, the City wishes to retain Consultant's services on an as-needed basis
throughout the term of this Consultant Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and agreements as
hereinafter set forth, Consultant and City agree as follows:
1. Services: Consultant shall assist on as-needed basis with policy matters for City of Sunny
Isles Beach Police Department.
2 Term: The term of the Agreement is for one (1) year from July 23, 2018.

3. Compensation and taxes: Consultant agrees to provide the desired Services to the City of
Sunny Isles Beach Police Department in a total amount not to exceed One Hundred Ninety Four
Thousand Thirty Three Dollars and Seventy Seven Cents ($194,033.77). The Consultant's fee
will be made in twelve (12) monthly installments of Sixteen Thousand One Hundred Sixty Nine
Dollars and Forty Eight Cents ($16,169.48). Consultant shall be responsible for the payment of
his own taxes, including but not limited to personal income taxes. If this Agreement is terminated
prior to the expiration of the Agreement, Consultant shall be - ►title• to full payment of any
remaining amount under this Agreement.
4. Employee Benefits: As of the close of busi .ess . July , 20 :, •nsultant will no longer
be eligible to participate in the following Employet efit programs offered by the City, including
but not limited to: (i) vacation benefits; (ii) 401; ement benefits; (iii) long term disability
benefits; (' -. - - - -, or Qv) accidental death benefits. Notwithstanding th-

5. Termination: This Consultant Agreement may be terminated by either party upon 15
(fifteen) days written notice to the other party.
6. Indemnification: Consultant agrees to indemnify, defend and hold harmless the City, and
its officers, agents, representatives, volunteers and employees from any and all loss or damage, and

from any and all suits, actions and claims filed or brought by any person or persons, however
caused,arising out of Consultant's negligent performance of the duties required by this Agreement.
7. Entire Understanding. The parties acknowledge that this Consultant Agreement contains the
entire understanding of the parties and that it may not be modified without the express written
consent of both parties hereto.
8. Jurisdiction. This Agreement shall be governed by Florida law and venue for any action
arising out of this Agreement shall be in Miami-Dade County, Florida.
9. Attorney's Fees. In the event any party is required to institute litigation to enforce this
agreement or in the event that any party brings a suit or files a charge or claim in violation of this
Agreement, the prevailing party shall be entitled to reasonable attorneys' fees and costs, including
appeal.

MEMORANDUM

RE: Approving a Consultant Agreement between the City of Sunny Isles Beach and
Chief Fred Maas
RECOMMENDATION:
The attached Resolution is presented for your consideration.
REASONS:
Chief Fred Maas has been with the Sunny Isles Beach Police Department for the past twenty (20)
years, and has given notice of his retirement effective July 20, 2018. The Chief has expressed a
desire to continue to help the new police chief and the Police Department in a role of a
consultant. As such, the City wishes to enter into the attached Consultant Agreement with Chief
Maas to facilitate a smooth transition process and to maintain access to his institutional
knowledge on an as-needed basis. He will be paid for a one year period his annual salary.
ADDITIONAL INFORMATION:
Chief Maas is one of the founding members of the Sunny Isles Beach Police Department. He was
instrumental in every aspect of the creation of the department, including the selection of sworn
and non-sworn staff. Additionally, Chief Maas is well revered amongst his peers, local and
national. He has served on many intergovernmental task forces and is often called to speak at
numerous public safety events. Chief Maas has received numerous accolades and awards
throughout his law enforcement career including the most recent, being inducted into the Florida
Law Enforcement Hall of Fame on May 19, 2018. He is a testament to his profession and he will
be missed by many.
