EP]EDMUNDS <br />& ASSOCIATES <br />Simple. . Solutions. <br />THIRD PARTY SOFTWARE <br />VENDOR agrees to be the initial responder to CITY calls for service to determine if the cause for <br />problems with the running of software applications are related to hardware, operating system, <br />Edmunds & Associates software, third party software, or communications causes. VENDOR is <br />providing third party software from other vendors. Third party software products shall carry the full <br />warranties provided by the licensor. The database management software maintenance includes <br />telephone support and any enhancements released during the term of the Agreement and will continue <br />prop, ided that CITY maintains in full force and effect a Software Maintenance Agreement with the <br />licensor. VENDOR, as authorized agent for third party software, shall be responsible for furnishing to <br />CITY third party software support. <br />COUNTY, GASB, AND STATE, AND FEDERAL REPORTING <br />VENDOR also agrees to provide to the CITY, at no additional cost, enhancements due to changes to <br />federal, GASB, or state reporting requirements in a timely manner while support & maintenance <br />agreements are paid. <br />SECURITY OF APPLICATION SOFTWARE <br />CITY will protect the confidential nature of application software by establishing written procedures <br />with respect to CITY's employees who are permitted access to application software or take reasonable <br />efforts to prevent the application software from being acquired by unauthorized persons. CITY will <br />promptly notify VENDOR of any unauthorized person(s) having access to application software. <br />NON - STANDARD SOFTWARE CHANGES <br />Any changes, modifications or enhancements to said software during the period of the Contract, which <br />is initiated by the CITY shall be at a price mutually agreed to by the parties. Any changes to software <br />performed by VENDOR will be supported in all future releases without extra fee if software <br />maintenance is in effect. <br />OPERATING ENVIRONMENT <br />VENDOR shall review and provide written approval or rejection of the CITY's site preparation plan and <br />operating environment. VENDOR shall provide written minimum standards for any backup hardware <br />requirements. CITY agrees to install an uninterruptable power supply (UPS) or battery backup with <br />power conditioning or other VENDOR defined equipment to prevent power interruptions and power <br />surges from damaging the hardware or software. <br />HARDWARE <br />All hardware provided by the VENDOR will either meet or exceed the specifications listed on the latest <br />proposal. Unless otherwise noted, the manufacturer's product listed on the proposal will be that provided <br />by the vendor. No responsibility is assumed for hardware not purchased from Edmunds & Associates. <br />The original manufacturer warrants all hardware proposed for one year. Any exceptions will be listed on <br />the vendors attached proposal. <br />22 <br />
