AGREEMENT FOR COUNTY ATTORNEY SERVICESThis Agreement made and entered into this/^_ 8hy of /}^iSA^/h^/ , 2014, by andbetween OKALOOSA COUNTY, FLORIDA, a political subdivision of the State of Florida("County") and the law firm of NAJBORS, GIBLIN & NICKERSON, PA. ("NON") for theprovision of County Attorney services as more particularly set forth herein.WITNESSETHWHEREAS, the County has selected NGN to provide legal services as county attorneyas a result of the County's Request for Letters of Interest (#BCC 04-14); andWHEREAS, NGN represents that it has the ability to render the services as required bythe County as set forth herein; andWHEREAS, the County seeks to engage NGN to serve as county attorney.NOW THEREFORE, in consideration of the above and the mutual covenants containedherein, the parties agree as follows:ARTICLE I. RECITALS. The above recitals are true and correct and areincorporated herein as essential terms of fins Agreement.ARTICLE II. SCOPE OF SERVICES. NON shall provide county attorneyservices in accordance with the Scope of Services set forth in EXHIBIT A attached hereto andincorporated by reference.ARTICLE III. COMPENSATION AND INVOICES.3.1 Compensation. Compensation under this Agreement shall be as set forth inEXHIBIT "B" attached hereto and incorporated by reference.3.2 Invoices for General County Attorney Services. NON shall submit an invoice forthe compensation-for General County Attorney Services on. a monthly basis. Each invoice-willbe for the prior month's service and in an amount equal to one twelfth of the agreed upon Annual.Compensation amount of $250,000. The invoice for General County Attorney Services shallconsist only of a request for payment for the prior month's service and will not contain a detailsummary of the actual services provided. However, NON will maintain such mforcnation andmake that infonnation available upon request.3.3 Invoices for Litigation Services. All statements or invoices for fees and costs forLitigation, services rendered, that are submitted by NGN to the County shall be submitted indetail sufficient for proper pre-audit and post-audit thereof to msure that the work perfonned,expense incurred, or service rendered actually took place, and that the correct amount has beencharged.CONTRACT # C14-2166-BCCNABORS GIBLIN & NICKERSONCOUNTT ATTORNEY SERVICESEXPIRES: 03/31/2015 W/ADDITIONAL1 YR TERMS
