ARTICLE TK: CONTRACTOR REQUIREMENTS & CERTIFICATIONS.9.1 NGN hereby certifies that it is legally entitled to. enter into this Agreement withthe County and that it will not be violating, either directly or indirectly, any conflict ofinterest statute or any other applicable laws by the performance of this Agreement.9-2 NON represents that it has fimu.sh.ed a Public Entity Crimes Affidavitpursuant to Section 287.133, Florida Statutes and the other required executed forms ascontained in the Request for Letters of Interest.9.3 In. coimection with the services to be performed under this Agreement, NON shallcomply with the applicable provisions of State and Federal Equal Employment Opportunitystatutes and regulations.ARTICLE X. GENERAL PROVISIONS.10.1 NGN shall comply with the provisions of Chapter 119, Florida Stahites in theprovision of the services provided herein to the County.10.2 Insurance. During the term of this agreement, NON shall maintain tiie insurancerequirements as set forth on. Exhibit "C" attached hereto.10.3 Conflict of iaterest. NON represents that it presently has no interest and shallacquire no interest, either direct or indirect, which would conflict m any manner with theperformance of this legal services provided herein, as provided in the standards set forth m PartIll of Chapter 112, Florida Statutes. NON shall promptly notify the County in writmg of anycircumstance or representation that may create a conflict of interest or other circumstance whichmay influence or appear to influence the NON's judgment or quality of service. NGN shallabide by The Florida Bar's ethics rules and applicable provisions in Chapter 112, FloridaStatutes, in the provision of the services provided herein.10.4 Indemmflcation. To the fullest extent permitted by law, NGN shallindemnify and hold the County hamiless, its officers and employees from Liabilities, damages,losses, and costs includmg but not limited to reasonable attorney fees, to the extent caused by thenegligence, recklessness, or intentional wrongful conduct of the NON and other personsemployed or utilized by the NGN in the performance of this Agreement.10.5 Goveming Law and Venue. This Agreement shall be governed by the laws of theState of Florida. Venue for all legal actions necessary to enforce this agreement shall be inOkaloosa County, Florida.
