City of Sunny Isles Beach |Request for Qualifications No. 19‐02‐02 13   <br />  <br />employment, conduct and control of its employees and for any injury sustained by such <br />employees in the course of their employment. <br /> <br />2.8.4 Professional Liability Insurance <br />Professional Liability Insurance including Errors and Omissions with minimum limits of One <br />Million Dollars ($1,000,000.00) per occurrence. <br /> <br />2.8.5 Cancellation and Re-Insurance <br />If any insurance should be cancelled or changed by the insurance company or should any <br />insurance expire during the period of this contract, the Contractor shall be responsible for <br />securing other acceptable insurance to provide the coverage specified in this section to <br />maintain coverage during the life of this Contract. All deductibles must be declared by the <br />Contractor and must be approved by the City. At the option of the City, either the <br />Contractor shall eliminate or reduce such deductible or the Contractor shall procure a Bond, <br />in a form satisfactory to the City, covering the same. <br /> <br />2.9 EVENT OF DEFAULT <br /> <br />An event of default shall mean a breach of the Agreement by the vendor. Without limiting the <br />generality of the foregoing and in addition to those instances referred to herein as a breach, an <br />event of default, shall include but not limited to the following: <br /> <br />1. The Respondent has repeatedly not delivered service on a timely basis; <br />2. The Respondent has refused or failed, except in any case for which an extension of time is <br />provided, to supply enough properly skilled staff personnel; <br />3. The Respondent has failed to make prompt payment to subcontractors or suppliers for any <br />Services; <br />4. The Respondent has become insolvent (other than as interdicted by the bankruptcy laws), or <br />has assigned the proceeds received for the benefit of the Contractor's creditors, or the Contractor <br />has taken advantage of any insolvency statute or debtor/creditor law or if the Contractor's affairs <br />have been put in the hands of a receiver; <br />5. The Respondent has failed to obtain the approval of the City where required by the <br />Agreement; <br />6. The Respondent has failed in the representation of any warranties stated herein. <br /> <br /> <br /> <br />
