Contractor shall make no other charges to the City for supplies, labor; taxes, licenses, permits, <br />overhead or aby otherexfienses or costs unless any such expense or cost i s incurred by Contractor <br />with the prior written approval of the City. If the City disputes any charges on the invoices, it <br />may make payment of the uncontested amounts and withhold payment on the contested amounts <br />until they are rewlved by agreement with Contractor. Contractor shall not pledge the City's- <br />credit <br />'.ity'Scredit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, <br />lien, or any form of indebtedness. The Contractor ftirther warrants and represents that it has tlo <br />obligation or indebtedness that would irnpair iu: ability to iitlEill the terms of this Agreement. <br />5. MULTIPLE CONTRACTORS. Contractor acknowlodges that the City has <br />awardod Services to multiple Contractor,, (primary and secondary) as available, by line i'lem, by <br />group, or in its entirety. The City Nvil l utilize Contractors in order of wa--ar f, The City may utilize <br />other C-ontractors in the. event that: 1) a Contractor is not or is tunable to be in compliance with <br />any contTaut or delivery requirement; 2) it iy in the best interest of the City to do so rcgardlcss of <br />reason. In the event (bat one Contractor (primary or secondary) is deemed to he perlon-ping <br />unsatisfactorily as determined by the City, the City may opt to award Services.to a Contractor <br />performing to City's approval. <br />b. PENALTIES FOR RE-INSP1+ CTION. The Contractor shall promptly correct all <br />apparent and latent deFicioncies and/or defects in work, and/or any Unsatisfactory Work that <br />fails to conform to the sr miract do0uments regardless ol` project completion status. If <br />Unsatisfactory Work is identified, through planned, random or tinunnounwd inspections, or any <br />other cireums(ancc through which the City becomes aware of doll -Compliant Work, the <br />Contractor will be notified within two (2) business days. All corrections shall be made within <br />two (2) business days alley such rejected defects, deficiencies; and/or Non -Compliant *ork are <br />verbally reported to the Contractor by the City's Project Manager(s), who may c:onfinn all such <br />verbal reports in writing. The Contractor shall bear all costs of correcting such rejected work. If <br />the Contractor fails to correct the work within the period specified, ied, (he City may, at its discretion, <br />notify the Contractor, in writing, that the Contractor is subject to 011tructual deNLi]l proviSionS <br />iI•111e corrections arc not completed to the satisfaction of the City within one (1) business day of <br />receipt of the nkice. <br />In addition to ranc10111 or llnan11ot111ced inspections, the City will conduct phinned inspections•lbr <br />parks i111d recreational facilitic5 each month which will be conducted prior to the Contractor <br />sub111itting its monthly invoice, The City may provide the Contractor an opportunity to correct <br />any Non-('ompliant work or the City will withhold payment or assess a payment reduction Im <br />the Unsatisfactory Work. Whorl either planned or unplanned inspection efforts identify Non - <br />Compliant Work or Unsatisfhc:tory Work, the Contractor will he notified per the procedure set <br />north above and the City' -vill conduct a subsequent inspection to ensure ccolnpliance.
