The <br />Contractor hereby submits to venue in the county chosen by the Department. <br />e. Section 6.2, Assignment <br />The Contractor will not sell, assign, or transfer any of its rights, duties, or <br />obligations under the Contract without the prior written consent of the <br />Department. However, the Contractor may waive its right to receive payment and <br />assign same upon notice to the Department. In the event of any assignment, the <br />Contractor remains responsible for performance of the Contract, unless such <br />responsibility is expressly waived by the Department. The Department may <br />assign the Contract upon prior written notice to the Contractor. <br />Section 8.1.2(d) <br />Upon completion of the Contract, transfer, at no cost, to the public agency all <br />public records in possession of the Contractor or keep and maintain public <br />records required by the public agency to perform the service. If the Contractor <br />transfers all public records to the public agency upon completion of the Contract, <br />the Contractor shall destroy any duplicate public records that are exempt or <br />confidential and exempt from public records disclosure requirements. Subject to <br />any retention of data required by applicable taxing authorities. If the Contractor <br />keeps and maintains public records upon completion of the Contract, the <br />Contractor shall meet all applicable requirements for retaining public records. All <br />records stored electronically must be provided to the public agency, upon request <br />from the public agency's custodian of public records, in a format that is <br />compatible with the information technology systems of the public agency. <br />g. Section 9, Data Security <br />Contractor hereby represents, warrants and covenants that it shall cause and <br />ensure that all measures set forth in Section 9.6 and Exhibit G, Section 7 of the <br />Master Agreement be provided and delivered to the State, and all <br />representations, warranties and covenants made in such sections are hereby <br />also made to State. <br />Section 13.1, Background Check <br />The Department or Customer may request the Contractor to conduct background <br />checks of its employees providing services under this Contract (directly or <br />indirectly) and/or perform appropriate screening of all agents, representatives, <br />and subcontractors providing services under this Contract (directly or indirectly). <br />The cost of the background checks will be borne by the Contractor. The <br />Department or Customer may require the Contractor to exclude the Contractor's <br />employees, agents, representatives, or subcontractors should they fail a <br />background check and/or screening process. In addition, the Contractor must <br />ensure that all persons have a responsibility to self -report to the Contractor within <br />five (5) calendar days (or sooner as directed by the relevant Contractor policy) <br />any conviction (or plea of no contest) for any disqualifying offence listed in 13.3 <br />below, that triggers reporting obligations pursuant to the relevant Contractor <br />policies. The Contractor must promptly notify the Contract Manager of all details <br />concerning any reported conviction. Upon the reasonable request of the <br />Department or Customer, the Contractor will re -screen any of its employees <br />providing services under this contract (directly or indirectly) or request re- <br />
