City of Sunny Isles Beach |Request for Proposal No. 22-03-01 10 2.3 MANDATORY PRE-PROPOSAL CONFERENCE A mandatory pre-proposal conference is scheduled for THURSDAY, MARCH 10, 2022 AT 2:30 PM AT GATEWAY PARK CENTER (Eastern Time US and Canada). It is mandatory that Firms attend the pre-proposal conference. No claim of ignorance by the firm of conditions that exist, or that may hereinafter exist as a result of failure to make the necessary examinations or investigations or failure to fulfill in every detail the requirements of the contract documents, will be accepted as basis for varying the requirements of the City of Sunny Isles Beach. Oral statements may not be relied upon and will not be binding or legally effective. As such an addendum will be issued if any alterations are made to the specifications contained herein. 2.4 TERM The resulting agreement will commence upon execution by both parties which shall be the effective date succeeding approval of the contract by the City Commission, unless otherwise stipulated in the agreement; and contingent upon the completion and submittal of all required proposal documents. This agreement shall remain in effect for an initial two (2) year term provided that the services rendered by the vendor during the contract period are satisfactory. 2.5 OPTIONS TO RENEW The City, at its sole option, may renew the contract for an additional two (2) year term and a subsequent renewal for an additional (1) year term. Exercising the option to renew is at the sole discretion of the City. The awarded contractor shall not be entitled to the renewal and agrees it shall not be entitled to any monies or damages should the Director, designee or City decide not to renew the contract. 2.6 REVENUE PAYMENTS Gateway Center is expected to generate revenues from weddings, corporate events, and other occasions, as well as other local events the proposer is able to market and attract. Proposer should recommend a compensation structure to the City for this scope of work, maximizing the proposer’s ability to provide highest and best use for Gateway Center, such as a flat percentage of revenue collected. Proposer should specify over the life of the agreement (specify an amount for Years 1 through 5), how the proposer envisions that the revenues will be allocated to event expenses, to the proposer (management fee and profit structure), maintenance, repair, management/administration, capital repair escrow account, etc. Provide an annual business plan. 2.7 DELIVERY Unless otherwise indicated, all items shall be delivered F.O.B. with destination and delivery charges included in the proposal price. F.O.B. destination is interpreted to mean unloading and rendering in the building or area as directed by the City.
