<br />City of Sunny Isles Beach |Request for Proposal No. 22-03-01 10 <br /> <br />2.3 MANDATORY PRE-PROPOSAL CONFERENCE <br /> <br />A mandatory pre-proposal conference is scheduled for THURSDAY, MARCH 10, 2022 AT 2:30 <br />PM AT GATEWAY PARK CENTER (Eastern Time US and Canada). It is mandatory that Firms <br />attend the pre-proposal conference. No claim of ignorance by the firm of conditions that exist, or <br />that may hereinafter exist as a result of failure to make the necessary examinations or <br />investigations or failure to fulfill in every detail the requirements of the contract documents, will be <br />accepted as basis for varying the requirements of the City of Sunny Isles Beach. Oral statements <br />may not be relied upon and will not be binding or legally effective. As such an addendum will be <br />issued if any alterations are made to the specifications contained herein. <br /> <br />2.4 TERM <br /> <br />The resulting agreement will commence upon execution by both parties which shall be the effective <br />date succeeding approval of the contract by the City Commission, unless otherwise stipulated in <br />the agreement; and contingent upon the completion and submittal of all required proposal <br />documents. This agreement shall remain in effect for an initial two (2) year term provided that the <br />services rendered by the vendor during the contract period are satisfactory. <br /> <br />2.5 OPTIONS TO RENEW <br /> <br />The City, at its sole option, may renew the contract for an additional two (2) year term and a <br />subsequent renewal for an additional (1) year term. Exercising the option to renew is at the sole <br />discretion of the City. The awarded contractor shall not be entitled to the renewal and agrees it <br />shall not be entitled to any monies or damages should the Director, designee or City decide not to <br />renew the contract. <br /> <br />2.6 REVENUE PAYMENTS <br /> <br />Gateway Center is expected to generate revenues from weddings, corporate events, and other <br />occasions, as well as other local events the proposer is able to market and attract. Proposer should <br />recommend a compensation structure to the City for this scope of work, maximizing the proposer’s <br />ability to provide highest and best use for Gateway Center, such as a flat percentage of revenue <br />collected. Proposer should specify over the life of the agreement (specify an amount for Years 1 <br />through 5), how the proposer envisions that the revenues will be allocated to event expenses, to <br />the proposer (management fee and profit structure), maintenance, repair, <br />management/administration, capital repair escrow account, etc. Provide an annual business plan. <br /> <br />2.7 DELIVERY <br /> <br />Unless otherwise indicated, all items shall be delivered F.O.B. with destination and delivery charges <br />included in the proposal price. F.O.B. destination is interpreted to mean unloading and rendering <br />in the building or area as directed by the City. <br /> <br /> <br />
