DocuSign Envelope ID: 7EFFOC16-3A7E-46EO-A543-DF2266B87D3D <br />Department of <br />MANAGER <br />SERVICES <br />I'= We serve those who serve Florida <br />CONTRACT AMENDMENT NO.: 2 <br />Contract No.: 44111513-17-01 <br />Contract Name: Office Supplies <br />This Amendment No.: 2 ("Amendment") to the Office Supplies State Term Contract No. <br />44111513-17-01 ("Contract"), is made by and between the State of Florida, Department of <br />Management Services ("Department") and Staples Contract & Commercial LLC ("Contractor"), <br />with its principal place of business located at 500 Staples Drive, Framingham, MA 01702, <br />collectively referred to herein as the "Parties". <br />WHEREAS, the Contract began on April 18, 2017, for the provision of Office Supplies and is <br />currently set to expire April 17, 2022; <br />WHEREAS, on February 20, 2017, Gulf Coast Office Products, Inc., assigned all of its rights and <br />obligations under the Contract to the Contractor; and the Contractor was assigned the Contract <br />on October 4, 2017; <br />WHEREAS, the Contractor was already a vendor under the Contract at the time of the <br />assignment; <br />WHEREAS, on January 25, 2022, Staples Contract & Commercial, Inc. modified their name to <br />Staples Contract & Commercial LLC; <br />WHEREAS, in accordance with section III of the Contract, upon mutual agreement, the <br />Department and the Contractor may amend the Contract; <br />WHEREAS, in accordance with section II of the Contract, the Parties agree to renew the Contract <br />for five years, for the period beginning April 18, 2022, and ending April 17, 2027. <br />THEREFORE, in consideration of the mutual promises contained in the Contract documents, the <br />Parties agree as follows: <br />I. Contract Amendment. <br />A. Contract Exhibit A, General Contract Conditions, is hereby deleted and replaced <br />in its entirety with the attached Exhibit A, Special Contract Conditions, which is <br />incorporated into the Contract by reference herein. Any and all references in the <br />Contract to the General Contract Conditions shall, upon the amendment effective <br />date, be a reference to the attached and incorporated Exhibit A, Special Contract <br />Conditions. <br />B. Contract Exhibit F, Additional Special Contract Conditions, is hereby added in its <br />entirety, which is incorporated into the Contract by reference herein. <br />Contract Amendment (approved by State Purchasing, 9/7/2021) <br />195 <br />
