In such case, the Contractor shall not be entitled to receive <br />any further payment until the Work is finished. <br />12.2.2.2 If the costs of finishing Work exceed the unpaid balance of the Contract Price, <br />the Contractor shall pay the difference to the City. This obligation for payment shall survive <br />the termination of the Contract. <br />12.2.2.3 In the event the employment of the Contractor is terminated by the City for <br />cause pursuant to Subparagraph 12.2.2 and it is subsequently determined by a Court of <br />competent jurisdiction that such termination was without cause, such termination shall <br />thereupon be deemed a Termination for Convenience under Subparagraph 12.2.1 and the <br />provisions of Subparagraph 12.2.1 shall apply. <br />ARTICLE XIII <br />INSURANCE <br />13.1 Contractor agrees, at its sole expense, to maintain on a primary, non- contributory <br />basis during the life of this Contract, or the performance of work under this Project, insurance <br />coverages, limits, and endorsements as required herein. The Contractor agrees the insurance <br />requirements herein as well as City's review or acknowledgement, is not intended to and shall <br />not in any manner limit or qualify the liabilities and obligations assumed by the Contractor <br />under this Contract. Any coverage maintained by the City shall apply excess of, or contingent <br />upon the absence of, other insurance required or maintained by Contractor. All insurance <br />policies and bonds required by this Contract shall be issued by an insurance company, <br />acceptable to the City and authorized to do business in the State of Florida with an AM. <br />Best rating of B+ or better. <br />13.2 Comprehensive General Liability. Contractor agrees to maintain General <br />Liability at a limit of liability not less than $1,000,000 Each Occurrence $2,000,000 Annual <br />Aggregate on a primary and non-contributory basis, including the City of Sunny Isles <br />Beach as an Additional Insured. Coverage must be offered in a form no more restrictive <br />than the latest edition of the Comprehensive General Liability policy, without restrictive <br />endorsements, as filed by the Insurance Services Office, and shall specifically include <br />the following with minimum limits not less than those required for Bodily Injury <br />Liability and Property Damage Liability: <br />— Premises and Operation; <br />— Independent Contractors; <br />— Products and/or Completed Operations Hazard; <br />— Broad Form Property Damage <br />— Broad Form Contractual Coverage applicable to this Contract, including <br />any hold harmless and/or Indemnification Agreement; <br />— Personal Injury Coverage with Employee and Contractual Exclusions <br />removed, with minimum limits of coverage equal to those required for Bodily <br />Injury Liability and Property Damage Liability; <br />— $3,000,000 Umbrella/Excess Liability over and above and following the <br />above mentioned General Liability & Business Automobile Liabilities. <br />31 <br />
