C1314 -066 <br />THIS AGREEMENT (hereinafter referred to as the "Agreement ") is made in duplicate. this <br />_k�r—day of July, 2014 by and between the CITY OF SUNNY ISLES BEACH, (hereinafter <br />referred to as "Cite "), and SAFEWARE, INC.. a Corporation authorized to do business in <br />the State of Florida (hereinafter referred to as "Contractor ") whose Federal I.D. 4 is <br />S2• I1SZH$ <br />RECITALS <br />WHEREAS, City is in need of Contractor to provide a multiple zone security solution <br />with an expandable high bandwidth video surveillance system, for Public Safety and <br />Emergency Preparedness and Related Services at ten (10) parks and various locations <br />throughout the City: and <br />WHEREAS, Contractor has expressed the ability and desire to provide these Services <br />pursuant to the pricing terms and conditions offered to the County of Fairfax, Virginia, Contract <br />No. RQ1 1-205753-10A. as more fully described in the Contractor's Proposal, a copy of which is <br />attached hereto as Attachment "A ". and incorporated herein by reference: and <br />WHEREAS, pursuant to the City's procurement code provisions, purchases made under <br />state. county or other governmental contracts, or competitive bids with other governmental <br />agencies are exempt from the City's competitive bidding procedures: and <br />WHEREAS. the City desires to enter into this Agreement with Contractor to provide the <br />Services in a total amount not to exceed One \9illion Two Hundred Thirty Seven Thousand Seven <br />Hundred Fifty Five Dollars and Eighty Cents (51.237.755.80). <br />NOW THEREFORE, in consideration of the mutual covenants contained herein_. and for <br />other valuable consideration received. the receipt and sufficiency of which are hereby <br />acknowledged, the parties agree as follows: <br />ARTICLE 1. DEFINITIONS <br />Agreement means this Agreement together with the Contract Documents. <br />Bond(s) means the Payment Bond and the Performance Bond issued by a surety or sureties in <br />accordance with the provisions of the Contract Documents. <br />Commencement Date means the date specified in the Notice to Proceed from the City Manager <br />or his designee. <br />Contract Amount means the total sum of monies which has been agreed to between the Contractor <br />and the City as the total price for the supply and installation of the Project and the performance of <br />
