Questionnaire Form
TD Bank requires strict adherence to the NACHA Rules as well as US regulations. For direct file
transmissions, TD Bank supports secure web and FTP transmissions with Pretty Good Privacy
(PGP) encryption through our FTExpress file transmission system. An email confirmation is sent
after receipt of the file, and includes the dollar values in the file and a confirmation that the file
was in an acceptable format.

The Bank cutoff time of ACH is 8:00 p.m. ET, and the offsetting ACH entries are settled on the
night of the effective settlement date.

Direct Payroll Deposit:

Provide details of how your bank administers Direct Payroll Deposit Programs.
See responses below.
Is there a limitation as to participating financial institutions?
There is no limitation as to participating financial institutions.
In what form and timeframe would you need the information regarding the City's employees and
their respective account numbers, payroll amounts, and identification numbers?

For your Direct Payroll Deposits, once your ACH file arrives at TD Bank, we process files
from 3:15 a.m. through 8:00 p.m. ET each business day. All of the processing from file
transmission receipt, through processing in our ACH PEP Platform is a fully automated
process.

Any file rejects are promptly reviewed by our ACH Operations staff and mitigated quickly.
If necessary, we will reach out to the City designated employees to confirm or report any
issues.

Once resolved, we will promptly complete your processing and send transactions destined
for Receivers outside of the Bank to our ACH Operator for further processing. On-us items
will remain within the Bank and settle on the Effective Date settlement. We offer daily
reporting of NOCs and Returns either via our online system, TD eTreasury for your viewing
or via a daily outbound transmission via FT Express.

Payroll is an area where we have seen the use of same day ACH. Although most payroll
files are still handled on an effective date settlement method, same day ACH has provided
for a way to deal with issues concerning connectivity and timing of when files need to be
sent.

Proposed by: TD Bank, N.A.Page 76
