AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH <br />41 -i <br />-AND STYLE CATERING, INC. <br />CONTRACT NO.2022-7891-02 <br />�_ <br />,,F'DOl�FLCNO 4r <br />C.of SUN rNV THIS AGREEMENT (hereinafter referred to as the "Agreement") is made in <br />duplicate, this 4th day of August , 2022, by and between the CITY OF SUNNY ISLES <br />BEACH, Florida, (hereinafter referred to as "City"), and STYLE CATERING, INC., a for-profit <br />corporation authorized to do business in the State of Florida (hereinafter referred to as "Contractor"), <br />whose Federal I.D. is #824608200. <br />RECITALS <br />WHEREAS, the City is in need of a contractor to provide turn -key event management <br />operations of an existing City facility located at Gateway Center ("Services"); and <br />WHEREAS, the City issued Request for Proposals ("RFP") No. 22-03-01, "Gateway Rental <br />Management", as more particularly described in Attachment "A", a copy of which is attached hereto <br />and incorporated herein by reference; and <br />WHEREAS, Contractor is a certified and insured entity with the necessary experience to <br />provide the desired Services; and <br />WHEREAS, pursuant to Resolution No. 2022-3358, the City Commission awarded the RFP <br />to the Contractor, and the Contractor has agreed to provide the Services, as more particularly <br />described in Attachment `B", a copy of which is attached hereto and incorporated herein by <br />reference; and <br />WHEREAS, the City wishes to enter into this Agreement with Contractor to provide the <br />Services to the City, subject to the terms and conditions set forth herein, whereby Contractor will <br />receive 30% of the rental fee as compensation, and the City shall retain the remaining 70% of the <br />rental fee ("Revenue Share"). <br />NOW THEREFORE, in consideration of the promises and the mutual covenants herein <br />name, the parties agree as follows: <br />1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and <br />made a part hereof for reference. <br />2. THE CONTRACT DOCUMENTS. The following documents (collectively "Contract <br />Documents") are hereby incorporated into and made, part of this Agreement: <br />A. Request for Proposal No. 22-03-01, "Gateway Rental Management", including any <br />and all addenda, prepared by the City ("RFP" or "Attachment A") <br />B. The Contractor's response to the RFP ("Attachment B") <br />In the event of any conflict between or among the Contract Documents, or any ambiguity or missing <br />specifications or instruction, the following priority is established: <br />Style Catering Page 1 of 17 <br />
