SHERIFF may withhold progress payments until the MANAGER, is submitted by CONTRACTOR. 2.4.4CONTRACTOR shall submit five (5) copies of the required shop drawings to the PROJECT CONSULTANT. All drawings, designs and documents produced by CONTRACTOR maintain any proprietary rights or intellectual rights to the same. CONTRACTOR shall keep ina secure location and keep confidential any plans, diagrams, site plans, designs, blue prints, and related documents and not release them to any requester or third party unless and until CONTRACTOR receives permission from SHERIFF for suchrelease. 2.4.5CONTRACTOR shall be responsible for verifying the location of allutilities. 2.5 CONSULTANT copies of all correspondence, reports, and other communications related to the CONTRACTOR'S responsibilities under thisAgreement. 2.6Changes.There shall be no change in the character or extent of the work to be performed by CONTRACTOR except by Change Order agreement in writing between the CONTRACTOR and When the CONTRACTOR believes any extra compensation is requiredforwork andservicesnotcoveredbythisAgreement,CONTRACTOR shallpromptlynotify the PROJECT MANAGER in writing of the intention to make a claim for such extra compensation. Approval must be granted before commencing the work.After notification is given and received, CONTRACTOR shall proceed according to direction from the PROJECT MANAGER. If such notification is not given by the CONTRACTOR prior to the work being performed, no claim for such extra compensation will be considered. Such notice, when given, shall not be construed as providing validity of the claim. All changes authorized by SHERIFF shall be based upon the submittal of substantiating itemized and detailed statements by the CONTRACTOR. Work shall be changed and the total payment amount and date of Substantial Completion shall be modified only as set out in written and signed ChangeOrders. 2.7Resolution ofDisputes: 2.7.1To prevent all disputes and litigation, it is agreed by the parties hereto that the PROJECT MANAGER shall decide all questions, claims, difficulties and disputes of whatever nature which may arise relative to the technical interpretation of the Agreement documents and fulfillment of this Agreement as to the character, quality, amount and value of any work done and materials furnished, or proposed to be done or furnished under or, by reason of, the Agreement documents estimates and decisions upon all claims, questions, difficulties and disputes shall be final and binding to the extent providedin Section 2.7.2.
