<br />SHERIFF for payment. SHERIFF shall not make any progress payment before receipt of
<br />such certification, unless CONTRACTOR demonstrates good cause for not making any
<br />such required payment and furnishes written notification of any such good cause to both
<br />SHERIFF and the affected subcontractor(s) and supplier(s). Upon approval of the
<br />notification by the PROJECT MANAGER, the invoice shall be processed for payment.
<br />
<br />4.6!Certification of Final Payments to Subcontractors. CONTRACTOR shall within thirty
<br />(30) days of receipt of first progress payment or any other payments received thereafter,
<br />except the final payment, pay all subcontractors and suppliers having an interest in this
<br />Agreement, their pro rata shares of the payment for all work completed and materials
<br />furnished unless CONTRACTOR demonstrates good cause for not making any said
<br />required payment and furnishes written notification of any such good cause to both
<br />SHERIFF and the affected subcontractor or supplier within the thirty (30) day period.
<br />
<br />4.7!CONTRACTOR agrees to provide such records and accounts as may be necessary to
<br />record complete and correct entries as to hours expended and hourly billing rates, costs,
<br />and other expenses for which CONTRACTOR expects to be reimbursed.
<br />
<br />4.8!SHERIFF shall have the right to audit, review, examine, inspect, analyze, and make copies of all
<br />at a location within Broward County. SHERIFF reserves the right to
<br />conduct such audit or review at place of business, if deemed appropriate by
<br />SHERIFF, with seventy-two (72) hours' advance notice. CONTRACTOR agrees to provide
<br />adequate and appropriate work space. CONTRACTOR shall provide SHERIFF with reasonable
<br />access to the CONTRAand SHERIFF shall be allowed to interview all current
<br />or former employees to discuss matters pertinent to the performance of this Agreement.
<br />
<br />Contract Records include any and all information, materials and data of every kind and character,
<br />including without limitation, records, books, papers, documents, subscriptions, recordings,
<br />agreements, purchase orders, leases, contracts, commitments, arrangements, notes, daily diaries,
<br />drawings, receipts, vouchers and memoranda, and any and all other documents that pertain to rights,
<br />duties, obligations, or performance under this Agreement. Contract Records include hard copy and
<br />electronic records, written policies and procedures, time sheets, payroll records and registers,
<br />cancelled payroll checks, estimating work sheets, correspondence, invoices and related payment
<br />documentation, general ledgers, insurance rebates and dividends, and any other records pertaining
<br />to rights, duties, obligations or performance under this Agreement, whether by CONTRACTOR or
<br />Subconsultants, or otherwise necessary to adequately permit evaluation and verification of any or
<br />all of the following:

<br />a.!Compliance with this Agreement;
<br />
<br />b.!Compliance with this the pricing of
<br />Change Orders;
<br />
<br />c.!Accuracy of representations regarding the pricing of
<br />invoices; and
