<br />6.2!Where there is a conflict between any provisions set forth within this Agreement and a
<br />more stringent local, state or federal law, statute, rule, code, or regulation, which is
<br />applicable to this Project, the more stringent requirement provision shall prevail. The terms
<br />of Articles 1-15 of this document shall prevail over any conflicting terms contained within
<br />Exhibit A or Exhibit B. The terms of Exhibit A shall control over any conflicting terms
<br />contained within Exhibit B. Notwithstanding the forgoing order of preference, in the event
<br />there is an irreconcilable conflict between any of the Agreement documents, the terms that
<br />are more favorable to the SHERIFF shall prevail over all other documents, as determined
<br />by the PROJECT MANAGER.
<br />
<br />ARTICLE 7 - INDEMNIFICATION
<br />
<br />7.1!CONTRACTOR shall, at all times hereafter, indemnify, hold harmless and, at the option
<br />Broward Sheriff's Office, BSO, the Sheriff, Broward County, Florida, and the Board of
<br />Commissioners of Broward County, and their officers, agents, employees and commission
<br />members from and against any and all claims, suits, actions, demands, causes of actions of
<br />negligent or wrongful act or omission of CONTRACTOR, its officers, agents, employees,
<br />servants, independent contractors or subcontractors in the performance of this Agreement.
<br />
<br />7.1.1!CONTRACTOR shall inform SHERIFF in advance of planned actions and/or
<br />SHERIFF shall inform CONTRACTOR of any known restrictions, defenses or
<br />limitations which may arise or exist by reason of SHERIFF being a governmental
<br />entity.
<br />
<br />7.1.2!SHERIFF shall not be liable for and CONTRACTOR agrees to indemnify
<br />SHERIFF, Broward County Florida, and the Board of Commissioners of Broward
<br />County, against any liability resulting from death, injury or illness, of any kind
<br />servants during the performance of the services, duties, and responsibilities
<br />contemplated herein.

<br />7.1.3!The above indemnification provision shall survive the expiration or termination of
<br />this Agreement.
