SET -OFFS, BACKCHARGES, DISCOUNTS <br />Payment of invoices shall not be subject to any discounts or set -offs by the Client, unless agreed to in writing by the <br />Consultant. Payment to the Consultant for services rendered shall be due and payable regardless of any subsequent <br />suspension or termination of this Agreement by either party. <br />XVI. ENTIRE AGREEMENT <br />This agreement, comprising pages one (1) through four (4), is the entire Agreement between SDM Consulting <br />Engineers, Inc. and Keith. It supersedes all prior communications, understandings and agreements, whether oral or <br />written.
