against any claim, cause of action, demand, cost, expense (including attomeys' fees), loss suit, proceeding, damage and liability of any kind arising out of or relating to Customer's use or inability to use the System or unauthorized us of the System, including, without limitation, any use by the owner of the premises and/or property on which the System is installed; any use by the owner, operator, or insurer of any vehicle or equipment for which the System is used; and any use by any person claiming injuries arising from the use of any vehicle or equipment for which the System is used. Nothing herein is intended to waive or modify Customer's sovereign immunity protections, pursuant but not limited to, Section 768.28, Florida Statutes. Waiver Failure by ETA or Customer to enforce any of its rights hereunder shall not constitute a waiver of any such rights. No waiver by either party of any breach or default shall be deemed to be a waiver of any preceding or subsequent breach or default. Assignment Neither party may assign, directly or indirectly, all or part of its rights or obligations under the Agreement without the prior written consent of the other party. Governing law The parties agree that this Agreement shall be interpreted under the laws of the State of Florida, and that jurisdiction and venue shall be only in Miami -Dade County, Florida.
