Docusign Envelope ID: 96373C15-E640-4BB3-9961-24079CAD47D6 <br />Department of <br />MANAGEN <br />SERVICES <br />We serve those wt <br />Enterprise Alternate Contract Source (ACS) <br />No. 31160000-25-NASPO-ACS <br />For <br />Facilities Maintenance Repair, and Operations (MRO) and Industrial <br />Supplies <br />This Enterprise Alternate Contract Source No. 31160000-25-NASPO-ACS Facilities Maintenance <br />Repair, and Operations (MRO) and Industrial Supplies ("Term Contract"), is between the <br />Department of Management Services ("Department"), an agency of the State of Florida, located <br />at 4050 Esplanade Way, Tallahassee, FL 32399; and W.W. Grainger, Inc. ("Contractor"), located <br />at 100 Grainger Parkway, Lake Forest, IL 60045; collectively referred to herein as the "Parties." <br />WHEREAS, section 287.042(16), Florida Statutes (F.S.) authorizes the Department to evaluate <br />contracts let by the Federal Government, anotherstate, or a political subdivision for the provision <br />of commodities and contract services; <br />WHEREAS, the Lead State of Kentucky, competitively procured Facilities Maintenance Repair, <br />and Operations (MRO) and Industrial Supplies and executed Contract No. MA758 2500000413, <br />("Master Contract"), with the Contractor; and <br />WHEREAS, pursuant to section 287.042(16), F.S., the Secretary evaluated the Master Contract <br />and determined that use of the Master Contract is cost-effective and the best value to the state. <br />NOW THEREFORE, in consideration of the mutual promises contained herein, the receipt and <br />sufficiency of which are hereby acknowledged, the Parties agree as follows: <br />1. Tenn and Effective Date. <br />The Master Contract became effective on September 1, 2024, and its term currently ends on <br />August 31, 2026. The Master Contract has four years of renewals available. This Term <br />Contract will become effective on January 1, 2025, or on the date signed by all Parties, <br />whichever is later. This Term Contract will expire on August 31, 2026, unless terminated <br />earlier or renewed in accordance with the Exhibit B, Enterprise Standard Terms and <br />Conditions. <br />2. Order of Precedence. <br />This contract document and the attached exhibits constitute the Term Contract and the entire <br />understanding of the Parties. This contract document, Exhibits A, B, C, and D constitute the <br />Participating Addendum to the Master Contract and modify or supplement the terms and <br />conditions of the Master Contract.
