Docusign Envelope ID: FF61F54D-C7EF-4E66-AFF2-4E568732A6C8 <br />AMENDMENT #1 <br />TO <br />CONTRACT # 121923-SHI <br />THIS AMENDMENT, effective upon the date of the last signature below, is by and between <br />Sourcewell and SHI International Corp., 290 Davidson Avenue, Somerset, NJ 08873 (Supplier). <br />Sourcewell awarded a contract to the Supplier to provide Technology Products and Services <br />with Related Solutions, Category 1 to Sourcewell and its Participating Entities, effective March <br />20, 2024, through February 27, 2028 (Contract). <br />Supplier and Sourcewell wish to amend the Contract as follows: <br />Section 6. Participating Entity Use and Purchasing, B. Additional Terms and <br />Conditions/Participating Addendum, is revised by adding the below: <br />Dell Apex Terms and Conditions: Dell Apex purchases made under this Contract are subject <br />to additional terms and conditions that will be provided at the time of the transaction. In <br />order to access this product, Participating Entities agree that these additional terms and <br />conditions will take precedence over any conflicting terms in the Contract and any <br />Participating Addendum. <br />Amazon Web Services (AWS) Terms and Conditions: AWS purchases made under this <br />Contract are subject to the SHI AWS Terms for U.S. Public Sector Customers (the "AWS <br />Terms") contained at this link: https://www.publicsector.shidirect.com/terms/aws-customer- <br />agreement-public-sector.
