MIAMI-DADE COUNTY QUOTE NO.: 6-2015 <br /> SECTION 1 <br /> TERMS AND CONDITIONS <br /> 1. The general terms and conditions pertaining to this solicitation may be viewed online at the Miami-Dade County <br /> Procurement Management website by clicking on the below link: <br /> http://www.miamidade.00v/procurement/library/boilerplate/general-terms-and-conditions-r14-3.pdf. <br /> 2. Pursuant to Sections 2-8.1, 2-8.8 and 10.34 of the County Code, for all contracts which involve the expenditure of <br /> one hundred thousand dollars ($100,000) or more, the entity contracting with the County must report to•the <br /> County the race, gender and ethnic origin of the owners and employees of its first tier subcontractors. Complete <br /> and sign the Subcontractor/Supplier Listing form. <br /> 3. Bidder shall insert unit price as required opposite each item. Unit price shall prevail. <br /> 4. This quote form, any addenda, and/or properly executed modifications, the purchase order (if issued), and a <br /> change order(if applicable), constitute the entire contract. <br /> 5. All products specified herein shall be fully guaranteed by the awarded Bidder. The Bidder at no cost to the <br /> County will correct any product defects, which may occur as the result of faulty products. The County does not <br /> waive the implied warranties granted under the Uniform Commercial Code or other standards as applicable. <br /> 6. All products shall be new and unused. <br /> 7. The County may, at its sole discretion, extend the prices and delivery date for up to ninety (90) days after <br /> expiration of the term of this ITO where the County determines that it is in the best interest of the County. <br /> 8. Rejected goods remain the property of the Bidder and all risk of loss remains with the Bidder. Bidder must <br /> remove all rejected goods from County property within the time frame established by the County. <br /> 9. The Internal Services Department Director, or designee, shall issue an award under this solicitation. The <br /> awarded Bidder shall honor no request for performance until the Director, or designee, has made an award. <br /> 10. Pursuant to Section 2-2113 of the Code of Miami-Dade County, for all contracts for goods and services, the <br /> successful Bidder, prior to hiring to fill each vacancy arising under a County contract shall (1) first notify the South <br /> Florida Workforce Investment Board ("SFWIB"), the designated Referral Agency, of the vacancy and list the <br /> vacancy with SFWIB according to the Code, and (2) make good faith efforts as determined by the County to fill a <br /> minimum of fifty percent (50%) of its employment needs under the County contract through the SFWIB. If no <br /> suitable candidates can be employed after a Referral Period of three to five days, the successful Bidder is free to <br /> fill its vacancies from other sources. Successful Bidders will be required to provide quarterly reports to the SFWIB <br /> indicating the name and number of employees hired in the previous quarter, or why referred candidates were <br /> rejected. Sanctions for non-compliance shall include, but not be limited to: (i) suspension of contract until awarded <br /> Bidder performs obligations, if appropriate; (ii) default and/or termination;and (iii) payment of$1,500/employee, or <br /> the value of the wages that would have been earned given the noncompliance, whichever is less. All out-of-pocket expenses, including employee travel, per diem, and miscellaneous costs and fees, are included <br /> in the awarded Bidder's price, as the County shall not reimburse them separately. <br /> 12. All prices are quoted F.O.B. destination. Freight (i.e., transport costs) shall only be paid by the County pursuant <br /> to the "Pricing" section, Paragraph C "Emergency Fuel Delivery" herein. All fuel shall remain property of the <br /> Contractor until accepted and signed for by an authorized County representative. <br /> 13. 2015 Fuel Tax Rates. Miami-Dade County is exempt from all sales and excise taxes (Federal, State, and Local) <br /> except those taxes and fees shown in the table below. Tax Exemption Certificate furnished upon request. <br /> 14. Any bidder may protest any recommendation for contract award in accordance with the applicable provisions of <br /> the Miami-Dade County Code. <br /> • <br /> 3 <br />
