<br />IV. EFFECTIVE DATE, DURATION <br /> <br />This revised agreement shall be effective the 21 st day of December 2000, and shall be effective <br />through December 2003, subject to renewal upon such terms as the parties mutually agree. <br /> <br />V. TERMINATION <br /> <br />Either party hereto, at its discretion, may terminate this contract at any time, upon thirty (30) <br />days advance written notice to the other. In the event of such termination, the CITY shall be <br />obligated for costs incurred prior to the termination notice. <br /> <br />VI. PRIORITY <br /> <br />BOOK shall not be prohibited from representing or providing the like services to other persons <br />and entities besides CITY, so long as BOOK shall avoid any representation or relation which <br />would create a conflict of interest, as determined by the City Attorney and City manager. <br />Further, BOOK shall not take on any client or matter that would jeopardize BOOK's ability to <br />devote time, resources and effort necessary to fulfill to CITY hereunder. <br /> <br />VII. MALPRACTICE INSURANCE <br /> <br />BOOK shall carry lawyer's professional malpractice insurance or other form of insurance, which <br />shall provide coverage of not less than Five Hundred Thousand and NoI100 ($500,000.00) <br />Dollars. <br /> <br />VIII. PROCESSING OF COSTS <br /> <br />BOOK shall be reimbursed by CITY for reasonable costs, including travel expenses, telephone, <br />copy fees, federal express and postage. Such costs shall not exceed Three Thousand and Noll 00 <br />($3000.00) Dollars on an annual basis for calendar year 1998, and Five Thousand and NolI 00 <br />($5,000.00) each for calendar years 1999 and 2000, and Seven Thousand Five Hundred and <br />NoI100 ($7,500.00) for calendar years 2001-2003, unless approved by the City Manager. If <br />BOOK is traveling on behalf of several clients, the City shall be responsible for such costs on a <br />pro-rated and equal basis. <br /> <br />IX.
