(F) "Mobile Equipment" is defined as all vehicular mounted radios, personal portable radios, vehicular repeaters and portable radio chargers and as otherwise specifically described as Fixed Equipment for maintenance in this agreement. (G) "Demand Services" are defined as service requests that are not included in the fixed fee arrangement in this agreement. (H) "Working Hours" as defined as 8:00 a.m. to 5:00 p.m. Monday through Friday excluding holidays unless otherwise defined within this agreement. Services performed outside of working hours shall be defined as "Emergency Services". 2.0 SCOPE OF AGREEMENT. CII agrees to maintain the ability to provide the Services set forth in this agreement and to provide the Products and Services described herein including Emergency Services and Demand Services. The Customer agrees to purchase these Products and Services from CII, as needed, in accordance with the terms and conditions of this Agreement. 3.0 TERM OF AGREEMENT (A) This shall be a one year contract. However, the term of this Agreement shall automatically renew for one year in the event that neither party, at least thirty (30) days prior to each annual expiration date, notifies the other in writing of an intention not to renew. There shall be no more then four (4) automatic annual renewals of this Agreement. In connection with each automatic annual renewal, the prices reflected in the exhibits hereto shall be adjusted based upon the consumer price index (CPI) for all urban consumers of the Bureau of Labor Statistics' most recently published prior to the contract renewal. Each unit price during each one year extension period shall be equal to the unit price for the immediately preceding year under this Agreement adjusted upward or downward by the percentage of which the afore -referenced CPI has increased or decreased over the CPI for the immediately preceding year. This agreement may be terminated by either party at will with or without cause, upon not less than thirty (30) days notice in writing by overnight delivery, personal delivery, or registered mail return receipt request to the other party. (B) Before any piece of equipment can be added to this contract, CII has a right to evaluate the equipment and bill The Customer for time and materials for any corrective actions at the demand services rate as specified in Exhibit B and Exhibit D of this contract.
