4.0 PRICES AND TERMS OF PAYMENT <br />(A) The prices to be charged by CII for the regular routine maintenance Services <br />as well as the Emergency Services and Demand Services are set forth in <br />Exhibit A, Schedule 1 and Exhibit D of this Agreement. <br />(B) The prices to be charged by CII for the sale of new products and equipment <br />are set forth in Exhibit B of this Agreement. <br />(C) The prices to be charged by CII for Professional Services are set forth in <br />Exhibit C of this Agreement. <br />(D)The prices to be charged by CII for portable - mobile programming and <br />installations are set forth in Exhibit D of this Agreement. <br />(E) Payment terms for monthly recurring Maintenance Services, as outlined in <br />Exhibit A, Schedule 1, are in advance in accordance with Florida Statutes <br />218.7 the "Florida Prompt Payment Act". <br />(F) Emergency Services, Demand Services, Professional Services and purchase of <br />all product and/or equipment will be in accordance with Florida Statutes 218.7 <br />"Prompt Payment Act". <br />5.0 EXTRA CHARGES <br />No extra charges of any kind will be allowed unless specifically agreed to in <br />writing from both parties. <br />6.0 MISCELLANEOUS TERMS <br />(A) Demand Services, including the installation, removal, or reinstallation of <br />equipment, shall be performed by CII, following reasonable notice to The <br />Customer, and at the rates listed in Exhibit D to this Agreement. Service work <br />made necessary because of abuse or neglect (which is not under the control of <br />CII) will be performed at the hourly rate for Demand Services, plus parts. <br />(B) Items that are not covered under Maintenance in Exhibit A Schedule 1, such <br />as portable batteries, portable antennas, mobile antennas and items abused or <br />misused by The Customer will be repaired and/or replaced under the Demand <br />Services pricing structure of this Agreement. <br />(C) In addition to the Services specified in this Agreement, The Customer may <br />order other work to be provided by CII including specially designed work or <br />services otherwise not in conformity with this Agreement. Within ten (10) <br />business days of receipt of a Special Requirements Order, CII will furnish The <br />Customer with a proposal to fill such Order including price and delivery time. <br />The Customer may accept or reject any such proposal within ten (10) business <br />Sunny Isles Beach Police Department Maintenance Contract rev. 1.04.3A <br />
