16.0 WAIVER OF TERMS AND CONDITIONS, SURVIVAL. <br />(A) The failure of CII or The Customer in any one or more instances to insist upon <br />performance of any of the terms and conditions of this Agreement, or to <br />exercise any right or privilege contained in this Agreement or the waiver of <br />any breach of the terms or conditions of this Agreement shall not be construed <br />as thereafter waiving any such terms, conditions, rights or privileges, and the <br />same shall continue and remain in force and effect as if no waiver had <br />occurred. <br />(B) Either Party's obligations under this Agreement which by their nature would <br />continue beyond the termination, expiration or cancellation of this Agreement <br />shall survive termination, expiration or cancellation of this Agreement <br />including, but not limited to, warranties, indemnity, and limitation of liability. <br />17.0 PARTIAL INVALIDITY, HEADINGS. <br />(A) If any term or provision of this Agreement shall be found to, be illegal or <br />unenforceable then, notwithstanding same, this Agreement shall remain in full <br />force and effect and such term of provision shall be deemed stricken. <br />(B) The headings of each section of this Agreement are provided for convenience <br />only. If any conflict of interpretation arises between a heading and the text <br />will control. <br />18.0 ORDER OF PRECEDENCE. <br />Any inconsistency between this Agreement, Purchase Order Releases, the <br />specifications and other documents will be resolved by giving precedence to those <br />documents in the following order, with the document to be given greatest <br />precedence listed first: <br />1) Purchase Orders with non-standard terms and conditions accompanied <br />by a mutually approved Statement of Work. <br />2) This Agreement and Attachments. <br />3) Purchase Orders with standard terms and conditions. <br />Sunny Isles Beach Police Department Maintenance Contract rev. 1.04.3A <br />
