The City of Sunny Isles Beach sball be named as additional insured. <br /> <br />~~< <br /> <br />5.1.%: All insurance sball be issued by compenies rated A:.7 or better per AM. Best's Key Rating Guide, 1atest edition <br />and authorized to issue insurance in the State of Florida. . It sball be the responsibility of the vendor and insurer to notify <br />the City Manager of the City of Sunny Isles Beach of c:ance1lation, lapse, or material modification of any insurance policies <br />insuring the vendor, which relate to the activities of such vendor and the City of Sunny Isles Beach. Such notification <br />shall be in writing, and sball be submitted to the City Insurance Manager within 30 days prior to cancellation of such <br />policies. This requirement shall be reflected on the Certificate of Insurance. <br /> <br />5.1.3: Failure to fully and satisfactorily comply with the City's insurance and bonding requirements set forth berein will <br />authorize the City Manager to implement a rescission of the bid award within thirty (30) days of awarding without further <br />City Commission action. The bidder bereby bolds the City harmless and agrees to indemnify City and covenants not to <br />sue tbe City by virtue of such rescission. <br /> <br />5.1.4: COPYRIGHTS AND/OR PATENT RIGHTS: Bidder warrants that there has been no violation of copyrights <br />or patent rights in manufacturing, producing or selling of goods shipped or ordered, as a result of this bid. The seller <br />agrees to indemnify City from any and all liability, loss or expense occasioned by any such violation. <br /> <br />5.1.5: UNDISCLOSED CONDmONS: In the event that undisclosed conditions are discovered during the performance <br />of this Agreement, the City shall have the right to cancel this Agreement upon thirty (30) days written notice to <br />contractor. Upon termination. the City may re-bid the project if the contractor fails to perfonn under this Agreement due <br />to the undisclosed conditions. <br /> <br />00210 - 5 <br />
