E. At Member meetings, the Mayor of the City of Sunny Beach shall preside, or in <br /> his or her absence, the Vice Mayor shall be the presiding officer. <br /> F. The order of business at annual Member meetings and, as far as practical at any <br /> other Member meetings, shall be: <br /> (1) Collection of Election Ballots <br /> (2) Calling of the roll and certifying of proxies <br /> (3) Proof of notice of meeting or waiver of notice <br /> (4) Reading of minutes <br /> (5) Reports of Officers <br /> (6) Reports of committees <br /> (7) Appointment of Chairman of Inspectors of Election <br /> (8) Election of Directors <br /> (9) Unfinished business <br /> (10) New business <br /> (11) Adjournment <br /> 4. BOARD OF DIRECTORS AND OFFICERS <br /> A. The Board of Directors shall be members of the current City Commission of the City <br /> of Sunny Isles Beach, Florida and need not be Members of the Association. The Board of <br /> Directors shall initially consist of five (5) directors ("Director" or "Directors"). Thereafter, the <br /> number of Directors shall be at least three (3) but no more than five (5) if so elected upon by the <br /> Members. Each Director elected at the first annual meeting of the Members shall serve so long <br /> as the Director is a member of the City Commission of the City of Sunny Isles Beach, Florida, or <br /> resigns or is removed. A Director may be elected multiple times and for multiple years. <br /> B. The Officers of the Association shall be elected by the Board of Directors <br /> annually but need not be a member of the Board of Directors. There shall be at least three (3) <br /> Officers and the same person may hold two (2) offices, provided however, that the office of the <br /> President and Vice President shall not be held by the same person and the President may not serve <br /> as the Treasurer. The Officers shall serve at the pleasure of the Board of Directors. Any Officer <br /> may be removed, either with or without cause, and his successor elected at any regular meeting <br /> of the Board of Directors, or any special meeting of the Board of Directors called for such <br /> purpose. An Officer may hold office multiple times and for multiple years. <br /> C. Regular meetings of the Board of Directors may be held at such time and place as <br /> shall be determined from time to time by a majority of the Directors. Notice of regular meetings <br /> shall be given to each Director, personally or by mail, telephone or electronic mail at least ten <br /> 5 <br />
