<br />4. Closing. <br /> <br /> <br />"Phis transaction shall be closed and the Deed, other closing instruments and possession <br /> <br /> <br />shall be delivered to Buyer within one hundred fifty (150) days of the Effective Date (the <br /> <br /> <br />"Closing" or "Closing Date"), unless extended by other provisions of this Agreement; provided <br /> <br /> <br />however, that all contingencies to Buyer's obligations and all other terms and conditions to be <br /> <br /> <br />performed by Seller have been satisfied. In the event Buyer obtains its zoning approval as <br /> <br /> <br />required and defined in Paragraph 21 herein prior to one hundred fifty (150) days, and all other <br /> <br /> <br />contingencies to Buyer's obligations and all other terms and conditions to be performed by Seller <br /> <br /> <br />have been satisfied, then Buyer will close within ten (10) days of receipt of final, non-appealable <br /> <br /> <br />zoning approval and satisfaction of Buyer's obligations and Seller's performance of its terms and <br /> <br /> <br />conditions. <br /> <br />In the event all contingencies, terms and conditions have not been satisfied herein, at the <br /> <br /> <br />option of the Buyer, Closing shall then take place fifteen (15) days after all such conditions, <br /> <br /> <br />terms, and contingencies have been satisfied or waived subject to Paragraph 21 herein. The <br /> <br /> <br />precise time and place of closing shall be determined by Buyer, and the Closing shall take place <br />in the Escrow Agent's office. <br /> <br />5. Proceeds of Sale. <br /> <br />The Purchase Price, plus or mlllUS any prorations, deposits, or adjustments shall be <br /> <br /> <br />payable at Closing by the Buyer to the Escrow Agent. A gap affidavit will be required along <br /> <br /> <br />with the gap exception deleted from the title commitment before any funds are disbursed to <br /> <br /> <br />Seller. <br /> <br />3 <br />
