<br />6. Documents for Closing. <br />At Closing, Seller shall deliver to Buyer a statutory warranty deed (the "Deed") in proper <br /> <br />form for recording, and effective to vest in Buyer good and marketable title to the Property <br /> <br />subject to no exceptions to title and encroachments or items creating title defects as shown on a <br /> <br />new certified survey obtained by Buyer, except the "Permitted Exceptions" as follows: a) taxes <br /> <br /> <br />and assessments as of the Closing Date and subsequent years; b) Utility Easement in favor of <br /> <br /> <br />Gas Company of Miami Beach, Inc. filed in Deed Book 1321, Page 186, together with <br /> <br /> <br />Subordination of Utility interests filed in OR Book 12080 at Pages 689 and 691 and OR Book <br /> <br /> <br />12490 at Pages 1571, 1575, 1579, 1583, 1587 and 1591; c) Restrictions filed in Deed Book 1856, <br /> <br /> <br />Page 175 as modified by Deed Book 2206, Page 213, Deed Book 2273, Page 364, Deed Book <br /> <br /> <br />313 Page 325 and Deed Book 2873, Page 331; d)Easement in favor of the City of North Miami <br /> <br /> <br />Beach in OR Book 4839, Page 561; e) Sanitary Sewer Connection Agreement in OR Book 5334, <br /> <br /> <br />Page 13; f) Agreement in OR Book 8794, Page 1014 and g) Ordinance No. 80-13 in OR Book <br /> <br /> <br />10702, Page 1615, zoning and other governmental regulations; Seller's affidavit; and a closing <br /> <br /> <br />statement all with copies delivered to Buyer's attorney at least two (2) days prior to the Closing. <br /> <br /> <br />At or before Closing, Seller shall deliver to Buyer an affidavit attesting to the absence, unless <br /> <br />otherwise provided for herein, of any claims of lien or potential lienors known to Seller and <br /> <br /> <br />further attesting that there have been no improvements to the Property for ninety (90) days <br /> <br /> <br />immediately preceding the Closing Date. <br /> <br /> <br />7. Expenses. <br /> <br />State surtax and documentary stamps which are required to be affixed to the Deed, the <br /> <br />cost of an Owner's Title Insurance Policy for the amount of the Purchase Price and the cost of <br /> <br />4 <br />
