<br />ADT SECURITY SERVICES, INC. ("ADT") BID EXCEPTION LANGUAGE <br /> <br />IN RE: CITY OF SUNNY ISLES SECURITY SYSTEM FOR GOVERNMENT CENTER <br /> <br />In lieu of proposing specific modifications and revisions to Company's proposed generic Master <br />Service Agreement, Contractor proposes that the parties enter into the attached Commercial Sales <br />Proposal/Agreement, as such may be modified and revised by an amendment negotiated and <br />agreed to in good faith by Contractor and Company. Company should deem any and all <br />inconsistencies between the attached Commercial Sales Proposal/Agreement and Company's <br />proposed generic Master Service Agreement to be modifications and revisions proposed to be <br />made to Company's generic Master Service Agreement. <br /> <br />In addition, please note that ADT has attached a proof of insurance letter that represents what the <br />Customer can expect to be offered should the bid be awarded to ADT. <br /> <br />****************************************************************************** <br /> <br />This proposal is based upon Contractor's interpretation and understanding of the information set <br />forth in the Proposal No. 04-08-01 plus addendum dated August 24.2004. Where ambiguities <br />were perceived, Contractor either requested clarification or made the necessary assumptions that <br />it deemed appropriate. This proposal does not constitute a commitment or an offer. Any future <br />business relationship between Company and Contractor shall be subject in all respects to the <br />negotiation, execution and delivery of a formal and comprehensive contract acceptable to <br />Company and Contractor, and their respective legal counsel.
