<br />~ <br /> <br />CLIENT-PRINTED DRAFl'S <br /> <br />With our Client-Printed Drafts Services, you use your computer (using Software we provide or <br />by accessing our treasury management website) to print drafts (which may include drafts <br />denominated in a CUlTency other than the currency in which the relevant account is <br />denominated) drawn on either (i) accounts maintained by you with us or another bank or <br />(ii) accounts designated and owned by us. <br /> <br />AUTHORIZED PERSONS <br />Before using a Client-Printed Drafts Service, you give us a written list, in a form <br />acceptable to us, of the persons authorized by you to perform certain duties in connection <br />with such Service. <br /> <br />SECURITY PROCEDURE <br />You agree to use the Security Procedure when you deliver P~ent Advices or electronically <br />transmit Stop Payment Requests to us. The purpose of the Security Procedure is to <br />verify the authenticity of Payment Advices and Stop Payment Requests delivered to us in your <br />name and not to detect any en'ors in the transmission or content of these messages. Each <br />time you use a Client- Printed Drafts Service, you represent and warrant that, in view of your <br />requirements, the Security Procedure is a satisfactory method of verifying the authenticity of <br />Payment Advices and such Stop Payment Requests. You agree we may act on any Payment <br />Advice or electronically transmitted Stop Payment Request the authenticity of which <br />we have verified through use of the Security Procedure. <br /> <br />STOP PAYMENT REQUESTS <br />Generally, you may send us a Stop Payment Request with respect to a draft drawn on an <br />account designated and owned by us only if the draft is lost, stolen or destroyed. In such <br />case, you must complete and provide us with a declaration of loss and indemnity agreement <br />reasonably acceptable to us. If you wish to stop payment on a draft drawn on an account you <br />maintain with us, you must make your request as provided in your Account Agreement. <br /> <br />YOUR RESPONSffiILITIES <br />You must verify the contents of each shipment of blank draft stock and sign and return to <br />us the receipt accompanying each shipment or notify us of any discrepancy. You must notify <br />us immediately if any draft stock is lost or stolen. You will be liable for any damages <br />arising out of the loss 01' theft of any draft stock received by you. <br /> <br />You must create and transmit to us a Payment Advice for each draft you issue using a <br />Service. You must make certain that each draft, Payment Advice and electronically <br />transmitted Stop Payment Request conforms in form and substance to the requirements, <br />including cutoff times on a Business Day, described in the applicable User <br />Documentation. <br /> <br />You must retransmit any Payment Advice, electronically transmitted Stop Payment Request <br />or other message initially transmitted to us through a Service if you have not received an <br />acknowledgment message from us within the time period specified in the applicable User <br />Documentation. <br /> <br />AD-AG-0455B (2004-2) <br /> <br />14 <br />
