<br /> <br />CITY OF SUNNY ISLES BEACH AGREEMENT <br />WITH AMC MEDICAL TRANSPORTATION <br />CONTRACT NO: C0809-044 <br /> <br />THIS AGREEMENT (the "Agreement"), is entered into as of , 2009 (the <br />"Effective Date"), by and between City of Sunny Isles Beach ("CITY"), a municipal corporation <br />located at 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 and AMC MEDICAL <br />TRANSPORTATION (hereinafter referred to as "AMC") whose Federal I.D.# is <br /> <br />WITNESSETH: <br /> <br />WHEREAS, the CITY, a government municipality, desires to provide transportation <br />services to certain authorized individuals, from specified locations within the CITY boundaries to <br />Mount Sinai Medical Center North Campus, (formerly known as "Miami Heart Institute"), <br />located at 4700 Meridian Avenue, Miami Beach, Florida 33140 and Mount Sinai Medical Center <br />South Campus, located at 4300 Alton Road, Miami Beach, Florida 33140, ("Transportation <br />Services"); and <br /> <br />WHEREAS, AMC is in the business of managing transportation services and has <br />expressed the desire and ability to provide such services to the CITY's authorized individuals. <br /> <br />NOW THEREFORE, in consideration of the mutual covenants and agreements set forth <br />herein, the PARTIES agree as follows: <br /> <br />1. TERM. Subject to the provisions relating to the termination of this Agreement as set <br />forth in Section 5 hereunder, the term of this Agreement shall begin upon execution of this <br />Agreement and shall end one (1) year thereafter. The Agreement may be renewed at the option of <br />the City for additional one (1) year terms, provided the City has not notified AMC prior to the <br />optional renewal period that it does not wish to renew the Agreement. <br /> <br />2. THE SERVICES. <br /> <br />2.01 Designated Vehicles; Transportation Services. <br />(a) AMC shall provide to the CITY for its shared use during the Hours of Service one <br />(1) twenty four (24) passenger motor vehicle, (the "Designated Vehicles") for the <br />purpose of providing Transportation Services in accordance with the terms and <br />conditions of this Agreement. <br /> <br />(b) If at any time during the Term of this Agreement, the CITY determines that the <br />percentage of passenger seats allocated to the CITY and/or type of Designated <br />Vehicles are unsatisfactory for its purposes, the PARTIES agree to renegotiate the <br />number and/or type of the Designated Vehicles and related issues, including but <br />not limited to Compensation. If after ten (10) days, the PARTIES are unable to <br />agree on mutually beneficial terms, then either party may terminate the Agreement. <br /> <br />Exhibit "A" <br /> <br />SIB <br />
