(c) The PARTIES agree that the Transportation Services may be provided by <br />companies that are subsidiaries or affiliates of AMC, or by subAMCs to AMC. <br /> <br />2.02 Hours of Service. AMC shall provide the Transportation Services during Monday, <br />Wednesday and Fridays with a pick up at either 9:00 a.m. or 11 :00 a.m. return trips at <br />either 12:00 noon or 3 :00 p.m. unless otherwise amended in writing between the CITY <br />and AMC. Reservations for next day service must be received by AMC by 3 :00 p.m. the <br />day prior to the anticipated transport. If at any time during the Term of this Agreement, <br />the CITY determines that the hours and/or days of service are not satisfactory to the <br />CITY, the PARTIES agree to renegotiate the hours and/or days of service and related <br />issues, including but not limited to Compensation. If after ten (10) days, the PARTIES are <br />unable to agree on mutually beneficial terms, then either party may terminate the <br />Agreement. <br /> <br />2 .03 Trip Logs. AMC shall require each driver to prepare and maintain a trip log for each trip <br />and shall make such logs readily available for the CITY's inspection. The trip logs shall <br />identifY the date and time for each departure and arrival trip, the driver's name, the name <br />of the final destination for each trip, the total number of CITY authorized passengers per <br />trip and each passenger's name. <br /> <br />2 .04 Holidays. AMC shall not be required to provide Transportation Services on the following <br />holidays: New Year's Day, Memorial Day, Independence Day, Labor Day, Thanksgiving <br />Day, and Christmas Day. AMC shall post a sign to be easily viewed by the passengers in a <br />conspicuous place regarding the Holiday Schedule at least five (5) days prior to the <br />scheduled holiday. <br /> <br />2 .05 Communication System. In connection with providing the Transportation Services, <br />AMC shall install and maintain, at its sole cost and expense, a functioning two-way <br />communication system, on the Designated Vehicle(s). AMC shall ensure that all drivers <br />assigned to provide Transportation Services to the CITY are adequately trained to use the <br />communication system installed in the designated vehicles. <br /> <br />2.06 Maintenance of Designated Vehicles. <br />(a) AMC shall ensure that the Designated Vehicles are clean, safe, and maintained in <br />good working condition. AMC shall conduct regular preventative maintenance on <br />the Designated Vehicles in accordance with industry standards and consistent with <br />manufacturers' recommendations and applicable operating manuals. The CITY <br />shall not be responsible for any costs associated with the maintenance, operation <br />and use of the Designated Vehicles, including but not limited to, fuel, maintenance, <br />and repairs. <br /> <br />(b) AMC shall ensure to the extent possible that there is no interruption III <br />Transportation Services during the Hours of Services.
